Resolving disputes by litigation, arbitration and alternative dispute resolution is a vital component of corporate
risk management and strategy. The speed and force of the globalisation of business and the unprecedented
expansion and growth of the Middle East market are resulting in more cross-border disputes requiring high

Regional Expertise
As the largest law firm in the Gulf, we are fortunate to have legal practitioners qualified in jurisdictions
throughout the Middle East and North Africa, including Egypt, Sudan, Iraq, Lebanon, Jordan and Syria. Many
of these practitioners bring to the Dispute Resolution and Litigation Practice considerable expertise of legal
practice in their country of origin as well as other countries within the region.

The Litigation Group is, therefore, regularly approached by existing clients wishing to obtain preliminary legal
advice on matters involving the laws of these and other countries in the region, especially Saudia Arabia. In
particular the Litigation Practice has extensive experience in advising on the enforcement of UAE judgments
within the region and is regularly asked to advise on the provisions of multi-lateral and bi-lateral treaties
between the region’s states. The existence of such treaties, is an important consideration when drafting forum
selection and governing law clauses in contracts or when deciding whether to provide for the arbitration rather
than litigation of contractual disputes.

International Expertise

The UAE Legal System
The UAE is a Civil Law Jurisdiction whose primary source of law is a statutory code. It has been heavily
influenced by the Egyptian legal system which has its own roots in French and Roman Law. Islamic law codified
in the Shari’ah is applied in family courts but is very much less evident in the commercial sphere.

The increasing presence in the local market of international contracts governed by the laws of a variety of
common law countries (particularly the United Kingdom and United States) has led to a greater familiarity
with common law principles and practices on the part of the commercial judiciary. Thus, whilst by comparison
with common law countries Court hearings remain short, and the rules governing the production of documents
conservative, there is, for example, an increasing preparedness on the part of judges to consider legal precedents
notwithstanding they may not be bound by them.

The receptivity of the judiciary to legal innovation is partly a reflection of global trends in the law generally
and partly a consequence of the multi-national composition of the Bench. In order to keep pace with the rapid
rate of commercial development, particularly in Abu Dhabi and Dubai, a large number of judges have been
recruited or seconded from across the Middle East and North Africa. The appointment of a significant number
from Egypt has led to increasing note being taken of that countries highly developed jurisprudence. Sudanese
judges with common law backgrounds and civil law trained Syrian and Lebanese judges also add to the creative
mix.

The UAE Court Structure

The UAE Constitution permits each Emirate to have its own legislature, judges and Courts. However, all Emirates
other than Dubai and Ras Al Khaimah have chosen to operate their Courts according to a uniform federal model
– thus they are referred to as Federal Courts. Whilst the rules and procedures of the Dubai and Ras Al Khaimah
courts are slightly different, all Courts in the UAE fall into the civil law hierarchy of First Instance, Appeal and
Cassation. All three Courts have civil, criminal and family/sharia divisions. Lawyers authorised to practice in
the Federal Courts require separate licenses to practice in the Local Courts. Only UAE Nationals may appear
before all UAE courts.

Local and Federal Courts apply UAE federal laws (which are enacted by the UAE Federal Legislative Authority)
as well as the laws and regulations enacted by the rulers of several Emirates. Generally, when a court is
determining an issue it gives first consideration to the provisions of any applicable federal law. If the federal
law in question does not provide a solution, the court considers relevant provisions of the particular Emirate’s
own law. Where no federal or local law exists to cover the matter in issue the court will look at trade practice.
Should the court still be unable to identify any relevant authority, the provisions of Al Maliki and Al Hanbali
Schools of Shari’ah will be applied where possible. Although the laws applied in the Local and Federal Courts
of the individual Emirates are broadly similar, conflicts can arise. When these occur it is the Federal law that
prevails.

International Jurisdiction

The UAE courts, and the Courts of the Emirate concerned, whether Federal or Local have authority to hear
disputes with an international element. The international jurisdiction of the Courts of the UAE relates provides
that these Courts in general have jurisdiction over an action with an international element. The international
jurisdiction can be invoked where there is an action against citizens of the UAE and against a foreign person or
entity which has a domicile or a place of residence in the UAE.

The New York Arbitration Convention

On 19 November 2006, the UAE formally acceded to the New York Convention on the Recognition and
Enforcement of Foreign Arbitral Awards and the terms of the Convention became law throughout the UAE. The
new law confirms and strengthens the UAE’s commitment to respecting written agreements in which parties
have provided that they will refer their present and future disputes to private arbitrators rather than the Courts of
the UAE or of any other state. Such agreements are typically found in substantial commercial contracts or those
involving contracting parties from more than one country.

The UAE’s accession to the Convention will enable arbitration awards issued in the UAE to be enforced in the
Territory of the 136 other states that have agreed to be bound by the Convention. Until now, arbitration awards
from the UAE have only been enforceable in a very limited number of overseas jurisdictions. The law will
undoubtedly contribute further to the UAE’s increasing importance as a venue for international commercial
arbitration.

Under the law, UAE courts will be able to enforce a much wider range of foreign arbitral awards i.e. those that
have been issued abroad by arbitrators who have held arbitration proceedings between the disputing parties
under the arbitration laws of a foreign state. As a result, the power of the Courts to enforce foreign made
arbitration awards against assets held by the losing party within the UAE have been limited to awards emanating
from a relatively narrow class of states.

Unlike a number of other states that are bound by the Conventions, the UAE has agreed to enforce foreign
arbitration awards regardless of whether or not they were made in another state bound by the Convention and
even though the subject matter of the dispute was not commercial in nature. The law will apply to arbitration
awards made both before and after the UAE acceded to the Convention on 19 November 2006.

Under the terms of the Convention, the UAE Courts will be entitled to refuse to enforce a foreign arbitration
award only on certain narrowly defined grounds. Broadly speaking, enforcement may be refused where (i) the
arbitration agreement was invalid (ii) a party was not given an opportunity to present its case (iii) the tribunal

of arbitrators that decided the dispute was incorrectly formed or acted beyond its competence (iv) that award is
not final in the state that was made (v) under UAE law the subject matter of the dispute cannot be decided by
the arbitration and (vi) enforcement of the award would be against the public policy of the UAE.

The Convention will make resolving disputes easier and fairer for all parties doing business in and connected
with the UAE and, consequentially, further enhance the prevailing investment climate.

Specialist Courts and Tribunals

As in most jurisdictions, the general Civil and Criminal Courts are augmented by a range of specialist tribunals.
From a commercial point of view the most important of these are the Dubai International Financial Centre
Courts.

In addition, the Rent Committee Tribunal which exercises jurisdiction over all rental disputes (residential and
commercial) plays a central role in the day to day business of UAE companies and residents whilst the Ministry
of Labour is competent to deal with all manner of issues and disputes arising under the enforcement of UAE
Labour Law. Not only do our litigation lawyers have rights of audience before all UAE Courts, they also appear
regularly before the Rent Committee and Ministry of Labour with extensive experience and credentials.

Customary Approaches to Dispute Resolution

A fascinating aspect of life in the UAE today, and one that is certainly essential to an understanding of its
political system, is that whilst modern institutions of government have developed in response to public need
and demand, traditional forms of administration have maintained their relevance. For example, the rulers of
the separate Emirates continue to hold open majlis at which participants can raise grievances or express their
views on issues of current affairs. Although it would be wrong to suggest that these traditional institutions are
ever likely to be utilised in anything but a very small minority of disputes, the possibility that they exist needs
to be kept in mind. Our practitioners are well placed to identify those instances in which a more customary
approach should be explored.

Litigation Trends in the UAE

There is a general belief that litigation is not declining. More companies are facing a growing number of
lawsuits and fewer are escaping them, even as arbitration numbers also grown.

The UAE statistics tend to support this general proposition. In particular in its annual statement, the Dubai Court
has published results which show that whilst there has been a moderate decline in Court proceedings filed at
first instance in 2006 at 9,714 cases (down from 13,633 in 2005), preliminary results for 2007 are showing
that litigation is indeed on the rise again. These figures are emulated in other Emirates such as Abu Dhabi and
Sharjah.

As the UAE (particularly Dubai) continues to assert itself as the financial, commercial and trading capital of the
Middle East, and attract international companies from a diverse range of industries and services, it is inevitable
that traditional court proceedings will continue to play a central role in the dispute resolution process. In
addition, unlike many Western jurisdictions, traditionally civil causes of action such as defamation and the
bouncing of cheques are criminal offences punishable under the UAE Penal Code, thereby creating potential
civil and criminal proceedings that can be run in parallel.

Arbitration
Al Tamimi & Company recognises that business people are often anxious to resolve disputes privately and
quickly without incurring the relatively substantial costs involved in protracted litigation. In the commercial
world, arbitration has become the preferred method for resolving conflicts expeditiously and confidentially.
Nevertheless, arbitration proceedings are a feasible option only if your rights are entrusted to experienced
lawyers with considerable experience in the field.

Our lawyers have participated in many UAE and international arbitrations, involving commercial and maritime
disputes, both as counsel and as arbitrators. We have worked closely with the AGCC Arbitration Center and the
Dubai Chamber of Commerce and Industry in the establishment of the latter’s Rules of Commercial Conciliation
and Arbitration.

The principal arbitration centres in the UAE are those located in the Emirates of Abu Dhabi and Dubai. The Abu
Dhabi Chamber of Commerce and Industry has established an arbitration centre called the Abu Dhabi Com-
mercial Conciliation and Arbitration Centre which is responsible for matters relating to commercial disputes. In
Dubai, the Dubai Chamber of Commerce and Industry established the Dubai International Arbitration Centre
which supervises domestic and international arbitration. In addition the Dubai International Financial Centre is
in the process of establishing its own Arbitration Scheme, the Dubai International Financial Centre Arbitration
Centre.

The Dubai International Financial Centre Courts
Whilst the UAE has experienced considerable growth as a whole over the last thirty years, the last ten years has
seen extraordinary economic growth in Dubai. This growth has produced opportunities and expectations that
call for swift and innovative management. An example of this is the autonomous Dubai International Financial
Centre (DIFC) – home to the regional offices of many of the worlds leading financial institutions and the site of
Al Tamimi & Company’s Head Office.

Under UAE law the DIFC is a Financial Free Zone. As such it is authorised to create its own legal framework for
the conduct and regulation of civil and commercial affairs within its jurisdiction. Federal and Dubai civil and
commercial laws do not therefore apply within the DIFC. A broad range of English language civil, commercial
and regulatory laws have already been enacted by the DIFC and its constituent bodies and establishments. The
civil and commercial laws alone cover:

Not only does the DIFC have its own English language civil and commercial laws drawn from a range of
overseas jurisdictions, but it also has its own Common Law Courts. The Chief Justice of the DIFC Court is a
distinguished former judge of the English Court of Appeal.

The DIFC Courts comprise those of First Instance and of Appeal. The Court of First Instance is modelled on
the English Commercial Court and the procedural rules for both tiers of Court are based on the English Civil
Procedure Rules (CPR). The language of the Courts is English. To appear before the DIFC Courts advocates have
to obtain accreditation on an annual basis. Accreditation is given to those practitioners that can establish that
they are fluent in English and are currently entitled to practice in the higher Courts of their home jurisdiction.

The DIFC Courts are well placed to become the preferred judicial tribunal for the determination of complex
international disputes arising out of or in connection with the DIFC. A key attraction of the DIFC Courts is that in
contractual matters they will apply any substantive law chosen by the parties with the Law of England & Wales
applying in default. Furthermore, the Law of England & Wales will apply in default of any other laws applying
to a particular matter before the court.

We are honoured to have been actively involved in the establishment of the DIFC Courts and the drafting
and promulgation of its procedural rules. The Litigation Group includes solicitors and barristers qualified in a
number of common law jurisdictions including England, Australia, New Zealand, Pakistan, South Africa and
Malaysia, the majority of which are accredited to appear before the DIFC Court.
