MEMORANDUM OF AGREEMENT

KNOWN ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement (MOA) is made and entered into on this (day) of (month) (year) by
and between;

KETOLIVING PH, a corporation duly authorized by laws of the Republic of the Philippines
with office address at #9 Cornus corner Camella Street., St. Dominic, 6 Tandang Sora, Quezon
City, herein represented by KATHLEEN R. BUENDIA, in her capacity as the Chief Executive
Officer, herein referred to as the “COMPANY”;

GLOIRE UNLIMITED CO., a corporation duly authorized by laws of the Republic of the
Philippines, with office address at 87 Greenmeadows Avenue, Acropolis Avenue Subdivision,
Bagumbayan 1110, represented herein by JUAN PAOLO ESPIRITU, in his capacity as the
Officer-in-charge, hereinafter referred to as the “MANUFACTURER”.

WITNESSETH:

WHEREAS, the “COMPANY” and the “MANUFACTURER” will collaborate for a project
herein referred to as “Keto Burn”;

WHEREAS, the “COMPANY” and the “MANUFACTURER” will work closely for several
months, contributing complementary expertise towards mutually beneficial endeavors in furtherance of
healthy living and dietary supplements;

WHEREAS, the sharing of profits will be pro-rated based on costs of the products and will be
internally agreed upon;

NOW, THEREFORE, for and in consideration of the foregoing, the PARTIES do hereby agree
to undertake its respective commitments under the following terms and conditions, viz;

KETOLIVINGPH shall:
1. ensure to sell in package deal its own products and the capsules of the manufacturer;
2. promote the products as Company’s own;
3. devotedly give assistance to online related inquiries in Social Media for Keto Burn Food
Supplement;
4. serve as the sales and marketing arm for Keto Burn Brand for the initial duration of contract;
5. initiate efforts in setting up a web of different KOL/Social Media Influencers;
6. help come up with and provide for PR kits for influencers;
7. contribute in marketing through content writing, blogs and creative writing to be posted on
different social media accounts;
8. sell the product not lower than agreed SRP 2295 not unless both parties agree on a special
discounted retail price;
9. help promote brand awareness;
10. help establish curated Instagram feed with Before and After photos from clients and their
success stories.

MANUFACTURER shall:
1. supply Keto Burn Food Supplement for x deals to be used in marketing;
2. pipeline and sell Keto Burn in channels such as Lazada, Shoppee and Sozo.ph;
3. submit brand name for trademark IPO;
4. specify and label the capsules produced as exclusively manufactured for KetoLivingPH’;
5. handle all marketing and advertisement campaigns of the project, and all its associated costs;
6. include in all marketing and advertisement campaigns the logo of KetoLivingPH;
 MISCELLANEOUS

Entire Agreement – This Agreement and any other provisions or terms specifically
incorporated herein constitute the entire agreement of the Parties and supersedes all prior agreements
that may have been executed in connection with the subject hereof. This Agreement may only be
amended by an instrument in writing signed by the respective authorized signatories of the Parties. The
terms, provisions and covenants of any such amendment/s shall inure to the benefit of and be binding
upon the Parties hereto, their successors and assigns.

Term – This agreement shall exist for a period of Three (3) years, unless sooner terminated by
any of the Parties on account of the breach by any of the Parties of its obligations herein.

Effectivity – This Agreement shall be in force and effect upon the signing of this instrument by
the PARTIES.

IN WITNESS WHEREOF, the PARTIES have hereunto signed this Memorandum of
