concerning their businesses, their manner of operation, plans,
processes or data of any kind which I acquired, learned and
received during the period I was connected with the Company. I
shall not, except as may be required by law, upon lawful order of the
court, or by express written consent of the Company, reveal
(whether deliberately or through negligence) any proprietary
information as herein-below-defined, to any person, firm, company,
organization or otherwise make use of any of the Company's trade
secrets, proprietary business methods or any such similar
information (other than those of public knowledge) concerning the
organization, business, financial transaction or other similar affairs
of the Company.

4. I acknowledge and understand that the term “proprietary

information” shall include all information and idea in whatever form,
tangible or intangible (including such information or idea on any
electronic or machine-readable medium), pertaining to the business
of the company other than any information or idea which is or has
become publicly known through lawful means.

5. I further declare that if I commit an act contrary to any

provision of this document, I will hold the Company, its principals,
stockholders, officers, directors, agents and employees free and
harmless from any and all liabilities, and will pay for all damages
suffered by them and acknowledge that the Company may proceed
against me for breach of this confidentiality clause.

6. I have read this document and fully understood every word

of it and its meaning and have affixed my signature hereunder
voluntarily and freely with the full and complete knowledge of the
meaning and intent of this document and of my rights under existing
laws and rules on equity.
