AMENDMENT N°1 TO THE INTERNET SERVICE CONTRACT TERMS

DATED: 15th February 2019


THIS AMENDMENT AGREEMENT (“THE AMENDMENT N°1”)

This amended agreement is made and entered into this day 15th of February 2019, by
and between I-NET Communications Inc. of 210 Camp and New Market Streets, North
Cummingburg, Georgetown, hereinafter referred to as “the Service Provider” which
expression shall include their successors and assigns, of the one part and Regional
Executive Office ( Admin-Office) of Region # 1 (, herein after referred to as “The
Subscriber” which expression shall include their successors and assigns of the other part.

(I-NET Communications Inc. and the Subscriber are sometimes hereinafter referred to
individually as a “Party” and collectively as the “Parties”).

WHEREAS, the Parties have concluded on 29th April 2015, an Internet Service Contract,
for which I-NET Communications Inc. provides Internet Service to the Subscriber via
satellite (the “Agreement”);

WHEREAS, the Parties wish to modify certain provisions of the Primary Agreement;

NOW, THEREFORE, THE PARTIES HAVE AGREED AS FOLLOWS:

ARTICLE 1 – Definitions

Unless otherwise expressly defined herein all capitalized terms shall have the meaning
ascribed to them in the Internet Service Terms Contract

ARTICLE 2 – Purpose

The purpose of this Amendment N°1 is to:

1. Addition of Equipment Terms

1. Equipment:
i. The Service Provider shall provide to the Subscriber at the Subscriber location:
1-Newtec MDM2500 and 1-Transceiver 3W as a replacement to its current
hardware to facilitate ongoing network upgrades, ALL OF WHICH SHALL AT
ALL TIMES REMAIN THE PROPERTY OF THE SERVICE PROVIDER
(hereinafter referred to as “I-NET Equipment”).
ii. There’s a monthly rental fee of twenty thousand dollars ($20,000GYD) for this
new equipment, however this fee will be waived for the term of this amended
agreement upon the return of the old equipment (1 - Newtec MDM2200 and 1
- 2W - iLNB).
iii. The Subscriber shall at all times and at the sole cost to the Subscriber keep the
I-NET Equipment protected by connecting same to such power
protection/stabilization equipment as approved by the Service Provider.
iv. The Subscriber is hereby precluded from using any of the I-NET equipment for
any purposes other than pursuant of this amended agreement.

v. During the term of this amended agreement the Service Provider shall repair
and maintain all I-NET Equipment and the Subscriber is hereby precluded from
allowing/permitting any other persons or entity from repairing, attempting to
repair or tampering with I-NET equipment.
vi. The Subscriber hereby agrees not to part with possession of the I-NET
Equipment and that no part of I-NET equipment shall be sold, transferred,
leased, encumbered or assigned to any third party. If the Subscriber desires to
relocate the I-NET equipment then a request for relocation must be made to
the Service Provider, and that relocation shall be done at an additional agreed
charge in accordance with this amended agreement.
vii. The Subscriber shall return the I-NET Equipment by any method requested by
the Service Provider, within five (5) days after termination of the agreement as
amended. The I-NET Equipment shall be in good working condition, or the
Subscriber shall pay to the Service Provider the full manufacturer’s suggested
C.I.F landed, and customs cleared retail prices for the I-NET Equipment.

ARTICLE 3 – Other Provisions

All provisions of the Internet Service Contract which are not amended by this Amendment
n°2 remain in full force between the Parties until the end of the Contract referred above.

IN WITNESS WHEREOF the undersigned, duly authorized, have signed this Amendment
Agreement N°1 in two (2) originals of which this is one.
