SUPPLEMENTAL END USER LICENSE AGREEMENT FOR MICROSOFT SOFTWARE

IMPORTANT: READ CAREFULLY. The Microsoft Service Pack 1 ("Service Pack") for M
icrosoft SQL Server 2000 and Microsoft SQL Server 2000 Desktop Engine (MSDE) con
tains updates, including "on line" or electronic documentation ("Updates") and i
s subject to the terms and conditions of the end user license agreement (the "Ap
plicable EULA") under which you have validly licensed the applicable software pr
oduct identified below as well as the terms and conditions of this Supplemental
End User License Agreement ("Supplemental EULA").
Capitalized terms used and not otherwise defined herein shall have the meanings
assigned to them in the Applicable EULA.
BY INSTALLING, COPYING OR OTHERWISE USING THE SERVICE PACK OR ANY PART THEREOF,
YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THE APPLICABLE EULA AND THI
S SUPPLEMENTAL EULA. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT
INSTALL, COPY OR USE THE SERVICE PACK.
You are not authorized to use the contents of this Service Pack if you do not ha
ve a valid license for one of the following SOFTWARE PRODUCTS:
1. Microsoft SQL Server 2000 Standard Edition, Microsoft SQL Server 2000 Enterp
rise Edition, Microsoft SQL Server 2000 Developer Edition (or any other Microsof
t product or suite of products that includes any of the above-listed SOFTWARE PR
ODUCTS; or
2. Any Microsoft or third party product which contains the technology feature k
nown as Microsoft SQL Server 2000 Desktop Engine (MSDE).

GENERAL LICENSE TERMS:

1. The Updates supplement or replace certain existing functionality of the SOFT
WARE PRODUCTS. Microsoft grants you a license to use the Updates, or any portio
n thereof, on computers within your organization that are validly licensed for t
he SOFTWARE PRODUCTS (as specified above), subject to your compliance with the t
erms and conditions of the Applicable EULA (incorporated by this reference) and
this Supplemental EULA. To the extent any terms in this Supplemental EULA confl
ict with terms in the Applicable EULA, the terms of this Supplemental EULA contr
ol solely with respect to the Updates.
2. This Service Pack is provided "AS IS" with all faults and without warranty o
f any kind. The entire risk as to the results, performance or non-performance,
or support of your use or redistribution of this Service Pack remains with you.

Additional Rights and Limitations.

Certain Updates in Service Pack 1 are designed to be installed solely on Microso
ft SQL Server 2000 Enterprise Edition. Such Updates may only be installed and u
sed by you on computers which are validly licensed for Microsoft SQL Server 2000
Enterprise Edition.
REDISTRIBUTION LICENSE RIGHTS:
You agree to use commercially reasonable efforts to verify, from time to time, t
hat you are distributing the most recent version of the Service Pack (for exampl
e, this is Service Pack 1, which may be replaced by Service Pack 2). The latest
version will be found at the Microsoft web site currently located at http://sup
port.microsoft.com/support/sql, and if you find a more recent version, you may d
ownload the files for your own use only. You may not redistribute any such file
s without first obtaining them on a CD-ROM from Microsoft.
Subject to the foregoing, Microsoft grants you a non-exclusive, worldwide, royal
ty-free license to reproduce, distribute and sublicense to end users an unlimite
d number of copies of this Service Pack, in its entirety and on CD-ROM media, so
lely for use in conjunction with your computer hardware or software product that
is designed to operate in conjunction with any of the SOFTWARE PRODUCTS listed
above, subject to the following additional terms and conditions.
1. Each copy made by or on your behalf shall be a true and complete copy, inclu
ding all copyright and trademark notices contained in this Service Pack.
2. The Service Pack is provided in multiple foreign language versions. For your
chosen foreign language you shall distribute all of the Service Pack files as d
elivered by Microsoft.
3. You shall distribute your software product with the Service Pack incorporate
d therein, on one or more CD-ROMs, and pursuant to an end user license agreement
for use of the Service Pack with terms no less protective than those contained
in the Applicable EULA and this Supplemental EULA. Your end user license agreem
ent may be "break-the-seal", "click wrap" or signed. You may not distribute the
Service Pack as a web download or by any other means with out Microsoft's prior
written consent.
4. You shall not distribute this Service Pack or any portion thereof for profit
or as a standalone product.
5. You shall not modify this Service Pack or any portion thereof.
6. You shall not license or otherwise permit further redistribution of this Ser
vice Pack or any portion thereof.
7. All product support related to your distribution of this Service Pack and yo
ur software application is and shall remain your sole responsibility.
