DEED OF ABSOLUTE SALE WITH PACTO DE RETRO

KNOW ALL MEN BY THESE PRESENTS

This Deed of Absolute Sale with Pacto de Retro made and executed by and between:

Cha Taehyun, of legal age, Filipino, widow, and with postal address at No. 333 Kamias Road, Quezon
City, hereinafter referred to as the SELLER;

and

Kim Junho, of legal age, Filipino, single with residence address at 555 Kamagong Street, Ayala Alabang
Village, Muntinlupa City, Metro Manila hereinafter referred to as the BUYER.

WITNESSETH:

That the SELLER is the absolute owner of a certain parcel of land situated in San Pablo City, Province of
Laguna, and more particularly described and bounded as follows:

TCT No. T-123456

A PARCEL OF LAND (Lot 32 of the consolidation-subdivision plan (LRC) Pcs-5141, being a portion of
the consolidation of Lots 1 and 2, Psu-112287 Amd., LRC (GLRO) Rec. No. N-17511), situated in the Dist. Of
Concepcion, City of San Pablo, Laguna, Island of Luzon. Bounded on the NE., points 3 to 6, by Lot 85; on the S.,
points 6 to 1 by Lot 30; on the SW., points 1 to 2, by Lot 31; and on the N., points 2 to 3 by Lot 35, all of the
consolidation-subdivision plan. Beginning at a point marked "1" on plan, being N. 51 deg. 36' E., 1321.76 m. from
B.L.L.M. No.1, San Pablo, Laguna (a copy of which title is hereto attached as Annex "A")

THAT the SELLER, for and in consideration of the amount of FIVE HUNDRED THOUSAND PESOS
(P500,000.00), Philippine Currency, receipt in full is hereby acknowledged by her to her satisfaction, hereby SELL,
TRANSFER and CONVEY under PACTO DE RETRO unto said BUYER, his heirs and assigns, the above
described property with all the buildings and improvement thereon, free from liens and encumbrances whatsoever;

THAT the SELLER, in executing this conveyance, hereby reserves the right to REPURCHASE, and the
BUYER, in accepting the same, hereby obligates himself to RESELL the property herein conveyed within a period
of five (5) years from and after the date of this instrument for the same price of FIVE HUNDRED THOUSAND
PESOS (P500,000.00), Philippine Currency: Provided however, that if the SELLER fails to exercise her right to
repurchase as herein granted within the period stipulated, then this conveyance shall become absolute and
irrevocable, without the necessity of drawing up a new deed of absolute sale, subject to the requirements of the law
regarding consolidation of ownership of real property.

IN WITNESS WHEREOF, the parties have hereunto set their hands this 16th day of June 2013 in Manila,
Philippines.

SPECIAL POWER OF ATTORNEY COUPLED WITH INTEREST
KNOWN ALL MEN BY THESE PRESENTS:

I, Roy Kim ,Filipino, of legal age, married, and with residence address of Las Pinas City do hereby name, constitute
and appoint my wife, Yana Karunungan, Filipino, of legal age, married and with residence address at Las Pinas City
(whose signature appears herein below and which signature I now hereby attest to be true, genuine and authentic), to
be my true and lawful Attorney-in-fact, for me/us and in my/our name, place and stead, to do, and perform the
following special powers, to wit:

1.To borrow/obtain loan, from time to time, from the BANK OF THE PHILIPPINE ISLANDS/BPI
FAMILY SAVINGS BANK, INC. /BPI DIRECT SAVINGS BANK, INC./BPI INTERNATIONAL
FINANCE LTD., (hereinafter referred to as the (“BANK”), in such sum/s of money as in the judgment of my/our
Attorney-in-fact hereinafter authorized, provided that the aggregate amount of such borrowing(s), pursuant to this
Special Power of Attorney, shall not at any time exceed the sum of PESOS : one Million Pesos (P1,000,000).
Philippine Currency.

2.To sign, execute and deliver to the BANK, SINGLY, the Note/s, loan of credit agreement (s) or such other
instruments evidencing my indebtedness for the monies so borrowed, or to be borrowed with interest
thereon and said Attorney-in-fact is empowered to sign, execute and deliver, SINGLY, renewals, extensions,
supplements, modification and/or amendments of said note(s), loan or credit agreement(s) or such other instruments
from time to time.

3.As security for the prompt payment of the loan, any other obligations due to the Bank and the proper
performance of all covenants and agreements in connection therewith, to transfer, assign and convey by
way of FIRST MORTGAGEE unto the bank, its successors and assigns the following real property/ies.TCT NO.
12345 of which we are about to purchase as evidenced by Transfer Certificate of Title No.6789 of the Registry of
Deed for sale of such property being free of any lien or encumbrances.

4. To grant, transfer or assign to the BANK as security for any note(s) or credit/loan covering my
indebtedness to the BANK, my deposit/placement maintained with the said BANK, or with any of the BANK’s
affiliates or subsidiaries or with any member of the Bank of the Philippine Islands (BPI) Unibank, more particularly
described as BPI FAMILY SAVINGS BANK; and to sign, execute and deliver to the BANK, SINGLY, any and all
grants, transfers, instruments that may be necessary to implement the authorization herein granted;

5. To grant, transfer or assign to the BANK as security for any note(s) or credit/loan covering other
indebtedness of any third person, party or entity to the BANK, my deposit/placement maintained with the
said BANK, or with any of the BANK’s affiliates or subsidiaries or with any member of the Bank of the Philippine
Islands (BPI) Unibank, more particularly described as BPI FAMILY SAVINGS BANK; and to sign,
execute and deliver to the BANK, SINGLY, any and all grants, transfers, instruments that may be
necessary to implement the authorization herein granted;

6.This Irrevocable Special Power of Attorney is coupled with interest being one of the requirements and
considerations of the BANK for the granting of the loan to me/us. It is agreed that this Irrevocable Special Power of
Attorney shall not be revoked or cancelled without the prior written consent of the BANK.

HEREBY GIVING AND GRANTING unto my said Attorney-in-Fact full power and authority to do and
perform any and every act and thing whatsoever requisite, necessary or proper to be done in and about the premises
as I/We might or could do if personally present and acting in person; and

HEREBY RATIFYING AND CONFIRMING all that my/our said Attorney-in-Fact shall lawfully do and cause
to be done under and by virtue of these presents.

IN WITNESS WHEREOF, I have hereunto set my hand at Las Pinas City on this 2nd day of
