KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE OF TRACTOR is executed this

MARLENE J. AZCONA, of legal age, Filipino, single and resident of #4

9 Street, Bacolod City, Negros Occidental, Philippines, hereinafter called the
VENDOR.

- And -

ARSENIO G. ACUÑA III, of legal age, Filipino, and a resident of #52 Sto.
Domingo St. Sta. Clara, Brgy. Banago, Bacolod City, Negros Occidental,
Philippines, hereinafter called the VENDEE.

RECITALS: That –

WHEREAS, the VENDOR is the absolute, lawful and registered owner of

one (1) tractor, more particularly described as –

TYPE: AGRICULTURAL TRACTOR

BRAND: MASSEY FERGUSON
TRACTOR NAME: MF 445/4XTRA
TRACTOR SERIAL NO.: BWX06003
ENGINE SERIAL NO.: SINO10328

WHEREAS, the VENDOR is willing to sell the above-described tractor

while the VENDEE is willing to purchase the said tractor.

FOR AND IN CONSIDERATION of the sum of PESOS: ONE MILLION

FOUR HUNDRED FIFTY THOUSAND (1,450,000.00), Philippine currency,
said amount is delivered by the VENDEE and received by the VENDOR in full
and complete satisfaction of the total price or consideration, the VENDOR does
hereby absolutely and unconditionally SELL, TRANSFER, DISPOSE, AND
ALIENATE the above-described tractor, on as “as-is-where-is” basis to the
VENDEE, his heirs assigns and successors-in-interest, free from all liens and
encumbrances.
 The VENDOR warrants to defend the ownership of the VENDEE in case of
suit, action or case commenced by third persons against the VENDOR and/or
VENDEE.

acknowledgment is written covers the absolute sale of one (1) TRACTOR,
particularly described as MASSEY FERGUSON has been signed by the
VENDOR, VENDEE and their witness.
