April 24, 2018 [CONTRACT: CALL CENTER]

Contract

This is a contract between ABC COMPANY USA (hereinafter known as Establisher) represented by
Name , and [Call Center Name] (hereinafter known as Operator) represented by Name. Establisher has
asked Operator to assist in securing sales, marketing affiliated products and other related services on
the operations of the to be established call center (Call Center).

1. AREAS OF OPERATOR’S RESPONSIBILITY:

Operator will be responsible for:

A- Operator will market the affiliated products / services referred by Establisher.

B- Operator will bear the expenses related to work and operations of call center.
C- Active participation in the project from pre-establishment to post-establishment of call center.
D- Arrange to secure best possible human resource for call center.
E- Train the hired staff in reference to the campaigns in hand referred by Establisher.
F- To meet the targets ensuring ROI to at least meet breakeven point.
G- Raising the sales to ensure good profitability.
H- Revision / designing of the script as well as keep track the USA based campaigns.
I- Overall manage and assist every day operations of call center.
J- Operator will not assist, work or provide consultancy to any other call center.
K- Operator shall give one month prior notice before leaving project, handing over all data and
other hardware is mandatory before leaving.
L- Operator is not allowed to run similar function of call center separately by any means.

2. OPERATOR’S COMPENSATION:

In exchange for the duties listed in section 1 above, the Establisher shall compensate Operator as
follows:

A. Operator will be given percentage of the approved sales as per mentioned in the Annexure A
of funds transferred to establisher’s account in reference to the sales and marketing of the allied
products / services.
B. Operator will be given first chance to run (if any) other new campaigns.

3. AREAS OF ESTABLISHER’S RESPONSIBILITY:

Areas of Establisher responsibilities are under:

A. Establisher intends to use his best efforts to get good campaigns for a call center
establishment.
B. Establisher will make sure timely delivery of the funds generated from sales and marketing.
C. Establisher will be responsible for all legal works to carry out operations smoothly.
D. Establisher will be responsible to transfer funds bimonthly.
E. To provide payment solutions, broker(s) and Merchant(s) for required operations.
F. To assure quality of the commenced sales.
G. Establisher can give one month notice to Operator for discontinuation of his/her services in
case of low performance, fraudulent activity, mis-leading statements or crucial reasons.

4. ESTABLISHER’S COMPENSATION:

In exchange for the duties listed in section 3 above, Establisher shall be compensated as follows:

A. Establisher will be given 10% of generated sales from the campaign run by producer.
B. Establisher is allowed to run as many campaign as he wants to ensure the profitability.

5. ESTABLISHER APPROVALS:

ESTABLISHER will have the sole and ultimate approval of the following areas of the establishment:

A. The budget of the call center.

B. The key roles of the hired and acquired employees, manager, office staff of call center.
C. The final decision to run any campaign.
D. The schedule and human resource dedication to a particular campaign.
E. The secrecy of data related to sales for any or all campaigns.
F. Approval of any additional Operator on the call center.
G. To approve the quality of sales.

Notwithstanding the above, Operator(s) shall meaningfully consult Establisher in all aspects of the call
center.

6. ADDITIONAL TERMS AND CONDITIONS:

Operator(s) acknowledges and agrees to the following conditions:

A. The venue for any contract disputes or litigation pertaining to this MOU shall be Texas, USA.
B. This MOU shall be governed by the laws of USA.
C. This MOU represents the entire understanding between Operator and Establisher.
D. This MOU will be binding upon any successors, assigns, or servants of Operator.
F. Operator shall seek approval from Establisher before committing to any out of pocket
expenses that Operator may incur. Such approval will not be unreasonably withheld, and it is
understood that reimbursement for such expenses will come from operational funds.
