UTILITY EASEMENT LETTER

This is to certify that ______________________, of legal age,


Filipino and a resident of __________________________________, hereinafter
called "Grantor," for and inconsideration of PESOS: ______________________
(P________), Philippine currency, and other valuable consideration to Grantor in
hand paid by MN ELECTRO, a corporation duly registered under Philippine laws,
with office address at __________________________________, hereinafter
referred to as "Grantee", has acknowledged and hereby grant unto said Grantee, its
successors and assigns, a utility easement and right of way on the property
described as follows, for utility poles wherein power lines are to be installed,
consisting of a variable number of wires and cables, supporting structures, and all
necessary or desirable appurtenances over, across, and upon Grantor's land in the
Survey, Abstract No.___ , (insert name of city/municipality/province) more
particularly described in (insert type of land ownership) deed from ______, to
________, dated __________________ , recorded in Volume _____, Page _____,
Registry of Deeds of said (.insert name of city/municipality/province).

Said right-of-way granted being described as follows:

1. Purpose of Easement. The easement is granted for constructing utility


poles wherein power lines are to be installed. Including and without
limitation to the installation of supporting structures, wires and cables,
and all necessary appurtenances, reconstruction, replacement, upgrade,
repair,maintenance, operation, and removal of the equipments over,
across, and upon Grantor’s land, and to license, permit, or otherwise
agree to the joint use of or occupancy of the Equipment or Easement area
with a third party for electrification or telecommunication purposes.
2. Maintenance of Easement Area. Owner is allowed to maintain the
Property and Easement area, provided, however, that the Grantee shall
have the right to (a) cut, trim and control the growth of trees, shrubbery
and other vegetation in the Easement area to the extent necessary to keep
them clear of the Equipment, and (b) cut down, trim or control the
growth of all dead, weak, leaning or other trees on or near the Property
that the Grantee reasonably believes may endanger or interfere with the
Equipment and operation thereof. (Provided that the Grantee will pay a
consideration which is equivalent to the amount of any fruit trees that
will be trimmed or cut down)

Owner shall not erect or maintain any structure upon, over, under, or
within ten feet of the Equipment which could endanger the operation or
interfere with the operation or maintenance of the Equipment.

3. Non-exclusive. The Easement is nonexclusive to the Grantee. The Owner


may use the Easement area for purposes that do not impair the Grantee’s
rights hereunder, except that Owner shall not permit any other third party to
impair or interfere with the Grantee’s Equipment and operation and
maintenance thereof.

4. Location of the Easement Area. Upon installation of the Equipment, the


Easement area shall be limited to the area reasonably necessary to exercise
the Grantee’s rights hereunder, but in any event, no less than 10 feet on
either side of the Grantee’s installed equipment. Owner shall not
unreasonably withhold its consent to a relocation of the Equipment and
Easement area if the Grantee determines that such relocation or expansion is
necessary.

5. Ownership of Equipment; Damage. Owner agrees that all Equipment


installed by the Grantee shall remain the property of the Grantee. Owner
shall be responsible for any damage to the Equipment only if it is
intentionally caused by Owner, its agents, invitees or contractors.
6. Right to Grant Easement. Owner warrants to the Grantee that it is the
sole owner of the Property and has the right to grant the Easement under this
letter.

7. Binding Effect. This Easement shall be binding on the Property and all
owners of the Property.
