Below are three separate sets of License Terms.€ Only one set applies to you.€ To de
termine which License Terms apply to you check the license designation printed e
ither on your product key, near the product name on your Certificate of Authenti

1. RETAIL LICENSE TERMS
These license terms are an agreement between Microsoft Corporation (or based on
where you live, one of its affiliates) and you. Please read them. They apply t
o the software that accompanies these license terms, which includes the media on
which you received it, if any. The terms also apply to any Microsoft
updates,
supplements,
Internet-based services, and
support services
for this software, unless other terms accompany those items. If so, those terms
apply.
BY USING THE SOFTWARE, YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NO
T USE THE SOFTWARE. INSTEAD, RETURN IT TO THE RETAILER FOR A REFUND OR CREDIT.

AS DESCRIBED BELOW, USING THE SOFTWARE ALSO OPERATES AS YOUR CONSENT TO THE TRAN
SMISSION OF CERTAIN COMPUTER INFORMATION DURING ACTIVATION, VALIDATION AND FOR I
NTERNET-BASED SERVICES.
IF YOU COMPLY WITH THESE LICENSE TERMS, YOU HAVE THE RIGHTS BELOW FOR EACH LICEN
SE YOU ACQUIRE.
1. OVERVIEW. These license terms permit installation and use of one copy o
f the software on one device, along with other rights, all as described below.
2. INSTALLATION AND USE RIGHTS. Before you use the software under a licens
e, you must assign that license to one device. That device is the licensed devic
e. € A hardware partition or blade is considered to be a separate device.
a. Licensed Device. You may install and use one copy of the software on th
e licensed device.
b. Portable Device. You may install another copy on a portable device for
use by the single primary user of the licensed device.
c. Separation of Components. The components of the software are licensed a
s a single unit.€ You may not separate the components and install them on differen
t devices.
3. ADDITIONAL LICENSING REQUIREMENTS AND/OR USE RIGHTS.
a. Remote Access. The single primary user of the licensed device may access
and use the software installed on the licensed device remotely from any other d
evice. You may allow other users to access the software to provide you with sup
port services. You do not need additional licenses for this access. No other pe
rson may use the software under the same license at the same time for any other
purpose.
b. Media Elements and Templates. You may copy and use images, clip art, an
imations, sounds, music, shapes, video clips and templates provided with the sof
tware and identified for such use in documents and projects that you create. Yo
u may distribute those documents and projects non-commercially. If you wish to
use these media elements or templates for any other purpose, go to www.microsoft
.com/permission to learn whether that use is allowed.
c. Font Components. While the software is running, you may use its fonts to
display and print content. You may only
embed fonts in content as permitted by the embedding restrictions in the fonts;
and
temporarily download them to a printer or other output device to help print cont
ent.
d. Multiplexing. Hardware or software you use to
pool connections, or
reduce the number of devices or users that directly access or use the software
(sometimes referred to as multiplexing or pooling ), does not reduce the number of li
censes you need.
e. Trial and Conversion. Some or all of the software may be licensed on a
trial basis.€ Your rights to use trial software are limited to the trial period.
The trial software and length of the trial period are set forth during the activ
ation process. You may have the option to convert your trial rights to subscrip
tion or perpetual rights. Conversion options will be presented to you at the ex
piration of your trial period. After the expiration of any trial period without
conversion, most features of the trial software will stop running. At that tim
e you can continue to open, view and print any documents you created with the tr
ial software.
f. Subscription Software. If you licensed the software on a subscription b
asis, your rights to use the software are limited to the subscription period. €You
may have the option to extend your subscription or convert to a perpetual licen
se. If you extend your subscription, you may continue using the software until
the end of your extended subscription period.€ See the software activation screens
or other accompanying materials for subscription details. After the expiration
of your subscription, most features of the software will stop running. At that
time you can continue to open, view and print any documents you created with th
e software.
g. Pre-Activation. If you acquired an edition other than Microsoft Office U
ltimate 2007, some functionality is licensed for your use only until you activat
e the software or the end of the time recommended for activation, whichever come
s first.
h. Home Use Rights Edition. If you licensed a Home Use Rights edition, the
licensed device must be used primarily within your home.
i. Development Tools. The software may contain Microsoft Visual Studio Too
ls for Applications or other development tools. You may use any development too
ls included in the software only to design, develop, test, use and demonstrate y
our programs with the software.
4. MANDATORY ACTIVATION. Activation associates the use of the software wit
h a specific device. During activation, the software will send information about
the software and the device to Microsoft. This information includes the version
, the license version, language and the product ID of the software, Internet pro
tocol address of the device and information derived from the hardware configurat
ion. For more information, see www.microsoft.com/piracy/activation.mspx. BY U
SING THE SOFTWARE, YOU CONSENT TO THE TRANSMISSION OF THIS INFORMATION. After t
he time recommended for activation expires, your rights to use the software will
be limited until the software is activated. This is to prevent its unlicensed
use. You can activate the software by Internet or telephone; Internet and telep
hone service charges may apply. Some changes to your computer components or the
software may require you to reactivate the software. THE SOFTWARE WILL REMIND
YOU TO ACTIVATE UNTIL YOU DO.
5. VALIDATION.
a. The software will from time to time update or require download of the va
lidation feature of the software. Validation verifies that the software has bee
n activated and is properly licensed. Validation also permits you to use certai
n features of the software or to obtain additional benefits. For more informatio

b. During a validation check, the software will send information about the
software to Microsoft. This information includes the version of the software and
the product key. Microsoft does not use the information to identify or contact
you. BY USING THE SOFTWARE, YOU CONSENT TO THE TRANSMISSION OF THIS INFORMATIO

c. If the software is not properly licensed, the functionality of the softw
are may be affected. For example, you may need to reactivate the software, or r
eceive reminders to obtain a properly licensed copy of the software, or not obta
in certain updates, upgrades or services from Microsoft.
d. You may only obtain updates or upgrades for the software from Microsoft
or authorized sources. For more information on obtaining updates from authorize
d sources, see www.microsoft.com/genuine/downloads/faq.aspx.
6. INTERNET-BASED SERVICES. Microsoft provides Internet-based services wit
h the software. Except as otherwise noted in materials accompanying a service,
it may change or cancel them at any time.
a. Consent for Internet-Based Services. The software features described be
low connect to Microsoft or service provider computer systems over the Internet.
In some cases, you will not receive a separate notice when they connect. Unle
ss otherwise noted, you may switch off these features or not use them. For more
information about these features, see www.office.microsoft.com/en-us/FX01098654
1033.aspx. BY USING THESE FEATURES, YOU CONSENT TO THE TRANSMISSION OF THIS INF
ORMATION. Microsoft does not use the information to identify or contact you.
Computer Information. The following features use Internet protocols, which send
to the appropriate systems computer information, such as your Internet protocol
address, the type of operating system, browser and name and version of the soft
ware you are using, and the language code of the device where you installed the
software. Microsoft uses this information to make the Internet-based services a
vailable to you.
Web Content Features. Features in the software can retrieve related content fro
m Microsoft and provide it to you. Examples of these features are clip art, tem
plates, online training, online assistance and Appshelp. You may choose not to
use these web content features.
Digital Certificates. The software uses digital certificates. These digital ce
rtificates confirm the identity of Internet users sending X.509 standard encrypt
ed information. They also can be used to digitally sign files and macros to ver
ify the integrity and origin of the file contents. The software retrieves certi
ficates and updates certificate revocation lists using the Internet, when availa
ble.
Information Rights Management. The software contains a feature that allows you
to create content that cannot be printed, copied or sent to others without your
permission. You may need to connect to Microsoft to use this feature for the fir
st time. Once a year, you may need to re-connect to Microsoft to update it. For

.aspx. You may choose not to use this feature.
Groove Software and Services. If the software includes Microsoft Office Groove ( G
roove ), Groove will allow you to communicate directly with others over the Intern
et. If you are not on the Internet, your communications will be encrypted and se
nt through Microsoft servers for later delivery. You can not disable this servi
ce.
Groove makes some information about your Groove account and computer known to yo
ur contacts. For example, if you:
? add a contact to your contact list,
? import your user account onto a new device,
? update the information in your identity contact , or
? send a Groove workspace invitation using an URL to reference the invitation fi
le,
information about you and your devices may be sent to your contacts. If you con
figure Groove to use Microsoft servers, those servers will collect information a
bout your computer and user accounts.

b. Misuse of Internet-based Services. You may not use these services in an
y way that could harm them or impair anyone else s use of them. You may not use t
he services to try to gain unauthorized access to any service, data, account or
network by any means.
7. SCOPE OF LICENSE. The software is licensed, not sold. This agreement on
ly gives you some rights to use the software. Microsoft and if applicable your
manufacturer, reserve all other rights. Unless applicable law gives you more ri
ghts despite this limitation, you may use the software only as expressly permitt
ed in this agreement. In doing so, you must comply with any technical limitatio
ns in the software that only allow you to use it in certain ways. For more info
rmation, see www.microsoft.com/licensing/userights. You may not:
work around any technical limitations in the software;
reverse engineer, decompile or disassemble the software, except and only to the
extent that applicable law expressly permits, despite this limitation;
make more copies of the software than specified in this agreement or allowed by
applicable law, despite this limitation;
publish the software for others to copy;
use the software in any way that is against the law;
rent, lease or lend the software; or
use the software for commercial software hosting services.
8. BACKUP COPY. You may make one backup copy of the media. You may use it
only to reinstall the software.
9. DOCUMENTATION. Any person that has valid access to your computer or int
ernal network may copy and use the documentation for your internal, reference pu
rposes.
10. NOT FOR RESALE SOFTWARE. You may not sell software marked as NFR or Not fo
r Resale.
11. ACADEMIC EDITION SOFTWARE. You must be a Qualified Educational User to us
e software marked as Academic Edition or AE. If you do not know whether you are a
Qualified Educational User, visit www.microsoft.com/education or contact the Mic
rosoft affiliate serving your country.
12. HOME USE RIGHTS SOFTWARE. You must be a Home Use Rights User to use softw
are marked as Home Use Rights Edition. To be a Home Use Rights User, you must be
both:
an employee of an organization that has a Microsoft Volume License agreement wit
h Software Assurance, and
the user of a licensed copy of the software, or a product that includes the soft
ware, with active Software Assurance.
13. UPGRADE OR CONVERSION. To upgrade or convert software, you must first b
e licensed for the software that is eligible for the upgrade or conversion. Upo
n upgrade or conversion, this agreement takes the place of the agreement for the
software you upgraded or converted from. After you upgrade or convert, you may
no longer use the earlier version of the software you upgraded or converted fro
m.
14. PROOF OF LICENSE.
a. Genuine Proof of License. If you acquired the software on a disc or ot
her media, a genuine Microsoft proof of license label with a genuine copy of the
software identifies software licensed under the terms of this agreement. To be
valid, this label must appear on Microsoft packaging. If you receive the label
separately, it is invalid. You should keep the packaging that has the label on i
t to prove that you are licensed to use the software. If you acquire the softwa
re without a disc or other media, your proof of purchase and any accompanying co
llateral from your merchant identifying the software is your proof of license. P
roof of purchase may be subject to verification by your merchant s records.
b. Upgrade or Conversion License. If you upgrade or convert the software,
your proof of license is identified by
the genuine Microsoft proof of license for the software you upgraded or converte
d from; and
proof of purchase and any accompanying collateral from a merchant identifying th
e software you upgraded or converted to. Proof of purchase may be subject to ver
ification by your merchant s records.

15. REASSIGN TO ANOTHER DEVICE. You may reassign the license to a different
device any number of times, but not more than one time every 90 days. If you€rea
ssign, that other device becomes the licensed device. If you retire the licensed
device due to hardware failure, you may reassign the license sooner.
16. TRANSFER TO A THIRD PARTY. The first user of the software may make a on
e-time transfer of the software, and this agreement, directly to a third party.
The first user must uninstall the software before transferring it separately fr
om the device. The first user may not retain any copies. Before any permitted t
ransfer, the other party must agree that this agreement applies to the transfer
and use of the software. The transfer must include the proof of license. If t
he software is an upgrade, any transfer must also include all prior versions of
the software.
17. EXPORT RESTRICTIONS. The software is subject to United States export la
ws and regulations. You must comply with all domestic and international export
laws and regulations that apply to the software. These laws include restriction
s on destinations, end users and end use. For additional information, see www.m

18. SUPPORT SERVICES. Microsoft provides support services for the software
as described at www.support.microsoft.com/common/international.aspx.
19. ENTIRE AGREEMENT. This agreement (including the warranty below), any ad
dendum or amendment included with the software, and the terms for supplements, u
pdates, Internet-based services and support services that you use, are the entir
e agreement for the software and support services.
20. APPLICABLE LAW.
a. United States. If you acquired the software in the United States, Washi
ngton state law governs the interpretation of this agreement and applies to clai
ms for breach of it, regardless of conflict of laws principles. The laws of the
state where you live govern all other claims, including claims under state cons
umer protection laws, unfair competition laws, and in tort.
b. Outside the United States. If you acquired the software in any other co
untry, the laws of that country apply.
21. LEGAL EFFECT. This agreement describes certain legal rights. You may h
ave other rights under the laws of your state or country. You may also have rig
hts with respect to the party from whom you acquired the software. This agreeme
nt does not change your rights under the laws of your state or country if the la
ws of your state or country do not permit it to do so.
22. LIMITATION ON AND EXCLUSION OF DAMAGES. YOU CAN RECOVER FROM MICROSOFT
AND ITS SUPPLIERS ONLY DIRECT DAMAGES UP TO THE AMOUNT YOU PAID FOR THE SOFTWARE
. YOU CANNOT RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, S
PECIAL, INDIRECT OR INCIDENTAL DAMAGES.
This limitation applies to
anything related to the software, services, content (including code) on third pa
rty Internet sites, or third party programs; and
claims for breach of contract, breach of warranty, guarantee or condition, stric
t liability, negligence, or other tort to the extent permitted by applicable law
.
It also applies even if
repair, replacement or a refund for the software does not fully compensate you f
or any losses; or
Microsoft knew or should have known about the possibility of the damages.
Some states do not allow the exclusion or limitation of incidental or consequent
ial damages, so the above limitation or exclusion may not apply to you. They al
so may not apply to you because your country may not allow the exclusion or limi
tation of incidental, consequential or other damages.

LIMITED WARRANTY
A. LIMITED WARRANTY. If you follow the instructions, the software will perform
substantially as described in the Microsoft materials that you receive in or wit
h the software.
B. TERM OF WARRANTY; WARRANTY RECIPIENT; LENGTH OF ANY IMPLIED WARRANTIES. THE
LIMITED WARRANTY COVERS THE SOFTWARE FOR ONE YEAR AFTER ACQUIRED BY THE FIRST US
ER. IF YOU RECEIVE SUPPLEMENTS, UPDATES, OR REPLACEMENT SOFTWARE DURING THAT YE
AR, THEY WILL BE COVERED FOR THE REMAINDER OF THE WARRANTY OR 30 DAYS, WHICHEVER
IS LONGER. If the first user transfers the software, the remainder of the warr
anty will apply to the recipient.
TO THE EXTENT PERMITTED BY LAW, ANY IMPLIED WARRANTIES, GUARANTEES OR CONDITIONS
LAST ONLY DURING THE TERM OF THE LIMITED WARRANTY. Some states do not allow li
mitations on how long an implied warranty lasts, so these limitations may not ap
ply to you. They also might not apply to you because some countries may not all
ow limitations on how long an implied warranty, guarantee or condition lasts.
C. EXCLUSIONS FROM WARRANTY. This warranty does not cover problems caused by yo
ur acts (or failures to act), the acts of others, or events beyond Microsoft s rea
sonable control.
D. REMEDY FOR BREACH OF WARRANTY. MICROSOFT WILL REPAIR OR REPLACE THE SOFTWARE
AT NO CHARGE. IF MICROSOFT CANNOT REPAIR OR REPLACE IT, MICROSOFT WILL REFUND
THE AMOUNT SHOWN ON YOUR RECEIPT FOR THE SOFTWARE. IT WILL ALSO REPAIR OR REPLA
CE SUPPLEMENTS, UPDATES AND REPLACEMENT SOFTWARE AT NO CHARGE. IF MICROSOFT CAN
NOT REPAIR OR REPLACE THEM, IT WILL REFUND THE AMOUNT YOU PAID FOR THEM, IF ANY.
YOU MUST UNINSTALL THE SOFTWARE AND RETURN ANY MEDIA AND OTHER ASSOCIATED MATE
RIALS TO MICROSOFT WITH PROOF OF PURCHASE TO OBTAIN A REFUND. THESE ARE YOUR ON
LY REMEDIES FOR BREACH OF THE LIMITED WARRANTY.
E. CONSUMER RIGHTS NOT AFFECTED. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER
YOUR LOCAL LAWS, WHICH THIS AGREEMENT CANNOT CHANGE.
F. WARRANTY PROCEDURES. You need proof of purchase for warranty service.
1. United States and Canada. For warranty service or information about how to o
btain a refund for software acquired in the United States and Canada, contact Mi

2. Europe, Middle East and Africa. If you acquired the software in Europe, the
Middle East or Africa, Microsoft Ireland Operations Limited makes this limited w
arranty. To make a claim under this warranty, you should contact either
Microsoft Ireland Operations Limited, Customer Care Centre, Atrium Building Bloc
k B, Carmanhall Road, Sandyford Industrial Estate, Dublin 18, Ireland; or
the Microsoft affiliate serving your country (see www.microsoft.com/worldwide).
3. Outside United States, Canada, Europe, Middle East and Africa. If you acquir
ed the software outside the United States, Canada, Europe, the Middle East and A
frica, contact the Microsoft affiliate serving your country (see www.microsoft.c
om/worldwide).
G. NO OTHER WARRANTIES. THE LIMITED WARRANTY IS THE ONLY DIRECT WARRANTY FROM M
ICROSOFT. MICROSOFT GIVES NO OTHER EXPRESS WARRANTIES, GUARANTEES OR CONDITIONS
. WHERE ALLOWED BY YOUR LOCAL LAWS, MICROSOFT EXCLUDES IMPLIED WARRANTIES OF ME
RCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. If your l
ocal laws give you any implied warranties, guarantees or conditions, despite thi
s exclusion, your remedies are described in the Remedy for Breach of Warranty cl
ause above, to the extent permitted by your local laws.
H. LIMITATION ON AND EXCLUSION OF DAMAGES FOR BREACH OF WARRANTY. THE LIMITATIO
N ON AND EXCLUSION OF DAMAGES CLAUSE ABOVE APPLIES TO BREACHES OF THIS LIMITED W
ARRANTY.
THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHT
S WHICH VARY FROM STATE TO STATE. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FRO
M COUNTRY TO COUNTRY.
2. OEM LICENSE TERMS
These license terms are an agreement between you and the device manufacturer tha
t distributes the software with the device, or the software installer that distr
ibutes the software with the device. Please read them. They apply to the softw
are that accompanies these license terms, which includes the media on which you
received it, if any. Printed paper license terms, which may come with the softw
are, take the place of any on-screen license terms. The terms also apply to any
Microsoft
updates,
supplements,
Internet-based services, and
support services
for this software, unless other terms accompany those items. If so, those terms
apply. If you obtain updates or supplements directly from Microsoft, then thes
e terms apply except that Microsoft, not the manufacturer or installer, licenses
those to you.
BY USING THE SOFTWARE, YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NO
T USE THE SOFTWARE. INSTEAD, CONTACT THE MANUFACTURER OR INSTALLER TO DETERMINE

i. Language Version Selection. If the computer manufacturer provides you wit
h a one-time selection between language versions, you may use only the one langu
age version you select. If the computer manufacturer provides you with a MLP or LI

4. MANDATORY ACTIVATION. Activation associates the use of the software with a
specific device. During activation, the software will send information about th
e software and the device to Microsoft. This information includes the version, l
anguage and the product ID of the software, Internet protocol address of the dev
ice and information derived from the hardware configuration of the device. For

g the software, you consent to the transmission of this information. Before you
activate, you have the right to use the version of the software installed durin
g the installation process. After the time recommended for activation expires,

Web Content Features. Features in the software can retrieve related content fro

Digital Certificates. The software uses digital certificates. These digital ce
rtificates confirm the identity of Internet users sending X.509 standard encrypt

Information Rights Management. The software contains a feature that allows you

Groove makes some information about your Groove account and computer known to yo

8. BACKUP COPY. You may make one backup copy of the software media. You may
use it only to reinstall the software.
9. DOCUMENTATION. Any person that has valid access to your computer or int
ernal network may copy and use the documentation for your internal, reference pu
rposes.
10. NOT FOR RESALE SOFTWARE. You may not sell software marked as NFR or Not for Re
sale.
11. UPGRADE OR CONVERSION. To upgrade or convert software, you must first be li
censed for the software that is eligible for the upgrade or conversion. Upon up
grade or conversion, this agreement takes the place of the agreement for the sof
tware you upgraded or converted from. After you upgrade or convert, you may no
longer use the earlier version of the software you upgraded or converted from.
12. PROOF OF LICENSE.
a. Proof of License. If you acquired the software on a device, o
r on a disc or other media, a genuine Microsoft Certificate of Authenticity labe
l with a genuine copy of the software identifies licensed software. To be valid
, this label must be affixed to the device or appear on the manufacturer s or inst
aller s packaging. If you receive the label separately, it is invalid. You should
keep the label on the device or packaging to prove that you are licensed to use
the software.

13. TRANSFER TO A THIRD PARTY. You may transfer the software directly to a thi
rd party only with the licensed device, the Certificate of Authenticity label, a

14. EXPORT RESTRICTIONS. The software is subject to United States export laws a
nd regulations. You must comply with all domestic and international export laws

17. APPLICABLE LAW.
a. United States. If you acquired the software in the United States, Washington
state law governs the interpretation of this agreement and applies to claims fo
r breach of it, regardless of conflict of laws principles. The laws of the stat
e where you live govern all other claims, including claims under state consumer
protection laws, unfair competition laws, and in tort.
b. Outside the United States. If you acquired the software in any other country
, the laws of that country apply.
18. LEGAL EFFECT. This agreement describes certain legal rights. You may have
other rights under the laws of your state or country. You may also have rights
with respect to the party from whom you acquired the software. This agreement d
oes not change your rights under the laws of your state or country if the laws o
f your state or country do not permit it to do so.
19. LIMITATION ON AND EXCLUSION OF DAMAGES. EXCEPT FOR ANY REFUND THE MANUFACT
URER OR INSTALLER MAY PROVIDE, YOU CANNOT RECOVER ANY OTHER DAMAGES, INCLUDING C
ONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT OR INCIDENTAL DAMAGES.
This limitation applies to
anything related to the software, services, content (including code) on third pa
rty Internet sites, or third party programs; and
claims for breach of contract, breach of warranty, guarantee or condition, stric
t liability, negligence, or other tort to the extent permitted by applicable law

c. Font Components. While the software is running, you may use its fonts to disp
lay and print content. You may only

d. Multiplexing. Hardware or software you use to
pool connections, or
reduce the number of devices or users that directly access or use the software

basis.€ Your rights to use trial software are limited to the trial period. The t

nsed device must be used primarily within your home.

r Applications or other development tools. You may use any development tools in
cluded in the software only to design, develop, test, use and demonstrate your p

j. Language Version Selection. If you are provided with a one-time selection be

14. PROOF OF LICENSE.
a. Genuine Proof of License. If you acquired the software on a disc or ot
her media, a genuine Microsoft proof of license label with a genuine copy of the
software identifies software licensed under the terms of this agreement. To be
valid, this label must appear on Microsoft packaging. If you receive the label
separately, it is invalid. You should keep the packaging that has the label on i
t to prove that you are licensed to use the software. If you acquire the softwa
re without a disc or other media, your proof of purchase and any accompanying co
llateral from your merchant identifying the software is your proof of license. P
roof of purchase may be subject to verification by your merchant s records.
b. Upgrade or Conversion License. If you upgrade or convert the software,
your proof of license is identified by
the genuine Microsoft proof of license for the software you upgraded or converte
d from; and
proof of purchase and any accompanying collateral from a merchant identifying th
e software you upgraded or converted to. Proof of purchase may be subject to ver
ification by your merchant s records.

15. TRANSFER TO A THIRD PARTY. You may transfer the software directly to a thir
d party only with the licensed device. You may not retain any copies. Before a
ny permitted transfer, the other party must agree that this agreement applies to
the transfer and use of the software. The transfer must include the proof of l
icense. If the software is an upgrade, any transfer must also include all prio
r versions of the software.
16. EXPORT RESTRICTIONS. The software is subject to United States export laws a
nd regulations. You must comply with all domestic and international export laws
and regulations that apply to the software. These laws include restrictions on
destinations, end users and end use. For additional information, see www.micro
soft.com/exporting.
17. SUPPORT SERVICES. Microsoft provides support services for the software as d
escribed at www.support.microsoft.com/common/international.aspx.
18. ENTIRE AGREEMENT. This agreement (including the warranty below), any addend
um or amendment included with the software, and the terms for supplements, updat
es, Internet-based services and support services that you use, are the entire ag
reement for the software and support services.
19. APPLICABLE LAW.
a. United States. If you acquired the software in the United States, Washington
state law governs the interpretation of this agreement and applies to claims fo
r breach of it, regardless of conflict of laws principles. The laws of the stat
e where you live govern all other claims, including claims under state consumer
protection laws, unfair competition laws, and in tort.
b. Outside the United States. If you acquired the software in any other country
, the laws of that country apply.
20. LEGAL EFFECT. This agreement describes certain legal rights. You may have
other rights under the laws of your state or country. You may also have rights
with respect to the party from whom you acquired the software. This agreement d
oes not change your rights under the laws of your state or country if the laws o
f your state or country do not permit it to do so.
21. LIMITATION ON AND EXCLUSION OF DAMAGES. YOU CAN RECOVER FROM MICROSOFT AND
ITS SUPPLIERS ONLY DIRECT DAMAGES UP TO THE AMOUNT YOU PAID FOR THE SOFTWARE. YO
U CANNOT RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECI
AL, INDIRECT OR INCIDENTAL DAMAGES.
This limitation applies to
anything related to the software, services, content (including code) on third pa
rty Internet sites, or third party programs; and
claims for breach of contract, breach of warranty, guarantee or condition, stric
t liability, negligence, or other tort to the extent permitted by applicable law
.
It also applies even if
repair, replacement or a refund for the software does not fully compensate you f
or any losses; or
Microsoft knew or should have known about the possibility of the damages.
Some states do not allow the exclusion or limitation of incidental or consequent
ial damages, so the above limitation or exclusion may not apply to you. They al
so may not apply to you because your country may not allow the exclusion or limi
tation of incidental, consequential or other damages.

LIMITED WARRANTY
A. LIMITED WARRANTY. If you follow the instructions, the software will perform
substantially as described in the Microsoft materials that you receive in or wit
h the software.
B. TERM OF WARRANTY; WARRANTY RECIPIENT; LENGTH OF ANY IMPLIED WARRANTIES. THE
LIMITED WARRANTY COVERS THE SOFTWARE FOR ONE YEAR AFTER ACQUIRED BY THE FIRST US
ER. IF YOU RECEIVE SUPPLEMENTS, UPDATES, OR REPLACEMENT SOFTWARE DURING THAT YE
AR, THEY WILL BE COVERED FOR THE REMAINDER OF THE WARRANTY OR 30 DAYS, WHICHEVER
IS LONGER. If the first user transfers the software, the remainder of the warr
anty will apply to the recipient.
TO THE EXTENT PERMITTED BY LAW, ANY IMPLIED WARRANTIES, GUARANTEES OR CONDITIONS
LAST ONLY DURING THE TERM OF THE LIMITED WARRANTY. Some states do not allow li
mitations on how long an implied warranty lasts, so these limitations may not ap
ply to you. They also might not apply to you because some countries may not all
ow limitations on how long an implied warranty, guarantee or condition lasts.
C. EXCLUSIONS FROM WARRANTY. This warranty does not cover problems caused by yo
ur acts (or failures to act), the acts of others, or events beyond Microsoft s rea
sonable control.
D. REMEDY FOR BREACH OF WARRANTY. MICROSOFT WILL REPAIR OR REPLACE THE SOFTWARE
AT NO CHARGE. IF MICROSOFT CANNOT REPAIR OR REPLACE IT, MICROSOFT WILL REFUND
THE AMOUNT SHOWN ON YOUR RECEIPT FOR THE SOFTWARE. IT WILL ALSO REPAIR OR REPLA
CE SUPPLEMENTS, UPDATES AND REPLACEMENT SOFTWARE AT NO CHARGE. IF MICROSOFT CAN
NOT REPAIR OR REPLACE THEM, IT WILL REFUND THE AMOUNT YOU PAID FOR THEM, IF ANY.
YOU MUST UNINSTALL THE SOFTWARE AND RETURN ANY MEDIA AND OTHER ASSOCIATED MATE
RIALS TO MICROSOFT WITH PROOF OF PURCHASE TO OBTAIN A REFUND. THESE ARE YOUR ON
LY REMEDIES FOR BREACH OF THE LIMITED WARRANTY.
E. CONSUMER RIGHTS NOT AFFECTED. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER
YOUR LOCAL LAWS, WHICH THIS AGREEMENT CANNOT CHANGE.
F. WARRANTY PROCEDURES. You need proof of purchase for warranty service.
