….. PARTY OF THE THIRD PART

Hereinafter called and referred to as the “Developer”


(which expression shall unless it be repugnant to the context or meaning
thereof, shall be deemed to mean and include its partners, their legal
heirs, executors, successors, etc.)

WHEREAS:-

The Party of the First is interested and has finalized to grant


development rights of the properties bearing CTS NO. _______
S. NO. -________ Plot No. ________, _____________, Pune ____________
, Totally Plot Area adm. _____ sq. mtrs. i.e. approx __________
sq. fts., Pune city, District Pune, within the limits of Pune
Municipal Corporation, described in Schedule written hereunder,
which properties are hereinafter collectively called and referred to
as “the said property”.

1. The Developer has submitted proposal to the Society Dt.
__________ and the same which is attached herewith and is part
and parcel of this Memorandum of Understanding between the
parties.

2. Relying on the assurances and obligations of the Developer


contained in the said proposal (offer), the Party of the First Part
has decided to grant development rights to Mr. Amol Ajit
Ravetkar representing M/s. RAVETKAR GROUP, i.e. all its
Proprietary /Partnership / Associate Group Company through its
owner / promoter (hereinafter referred to as “the Promoter /
Developer”) by Development Agreement and Power of Attorney to be
duly executed and registered soon and within not more than 45
days from execution of this MOU.

3. The said society and all its members have also passed a
Unanimous Resolution to that effect Dt ________ and the same is
attached to this MOU and should be considered as a part and
parcel of this agreement. All the members have also executed
separate Consent Letters and the same have been attached to this
agreement. The said Society has also issued a “Letter of
Confirmation” in favor of M/s. RAVETKAR GROUP on ________ and
the same been attached to this agreement executed between the
parties mentioned in this agreement.

4. The Developer is satisfied about the title of the Party of the First
Part to the said Property and rights, title and interest of its
members for their respective flats and has inspected, examined
and satisfied of all documents of title as aforesaid before execution
of this MOU.

5. The Clauses / Assumptions mentioned in the said Proposal will be


binding on both the parties and those shall be essence of this
Agreement. The Society assures that so long as the Developer is
observing its obligations under the proposal at no point of time
above mentioned resolution dt __________will be cancelled and also
further assure the Developer, that the society shall execute all the
necessary legal documents along with Registered Power of Attorney
and a Registered Development Agreement in favor of the Developer
within a period not more than 45 days from execution of this
document. The said period shall be further extendable with mutual
agreement, if so required by the parties.

6. The Society has also granted permission to the Developer to


advertise about the said re-development project in all its future
advertisements, hoardings, and websites and has also further
granted permission to erect hoarding / display banner on the said
site / property of the existing society with immediate effect and no
separate permission for the same will be required. The Developer
can also at his own risks and consequences accept token amount
from perspective new purchasers for the sale of flats the Developer
proposes from his share of sale of flats based on this Memorandum
of Understanding and the Society or its members have not got no-
objection to such an arrangement.

7. And whereas, the Party of the First Part and its Members are re-
developing their existing building and some of the members also
desirous to purchase additional area from the Developer other than
that offered free by the Developer through the Development
Agreement.

8. In view of the said requirement and to finalize the deal with the
Developer, such members will finalize the said deal within not
more than 30 days and in any event before the Development
Agreement is executed to assure the Developer and Confirm their
interest in purchasing the additional area at the agreed and
negotiated price between the Members and the Developer.

9. After the 1st Commencement Certificate is issued by PMC, the


Developer will execute a separate agreement with each individual
member after receiving the desired and decided amount from the
individual members for the additional area to be purchased. It is
further agreed between both the parties that all the Individual
Members will bear charges of Stamp Duty, Registration, GST, LBT,
Service Tax, VAT or any other charges payable to the Government
for such purchase of additional area.

10. All the provisions of MCS, RERA and MOFA acts with respect to
redevelopment shall be applicable to this scheme.

Municipal Corporation, Pune, which is bounded as follows
