1.1 COMPANY PROFILE

1.2 Introduction to Syngenta

2.0 Document Scope and Objective


The following document is an invitation for companies to bid for the provision Drip Irrigation
Phase 2 Project for Corn Nursery in New RD Farm, Alabel, General Santos City

Following this RFP exercise, it is Syngenta’s intention to appoint a contractor/vendor who can
construct the phase 2 of our Drip Irrigation Project.

2.1 Statement of Objectives


The objective of this procurement exercise is to identify a Bidder who will ensure Syngenta is
benefiting from market leading service provision at best value.

In essence we are searching for a bidder who can:


 Demonstrate a proven track record in this area
 Experience of working in a similar Industry and/or Environment
 Possess the requisite organisational resource and managerial capability to
successfully run this contract
 Can demonstrate best practice and market leading service provision
 Have considered and can demonstrate their ability to deliver true value for money
 Provide a holistic package and can help innovate and propose solutions to what is
required
 Strictly abide and follow proposed timelines and schedule

Bidders who are able to provide similar consistent services in the Asia Pacific region will be
well placed as it is Syngenta’s intention to acquire these services in those Asia Pacific
countries where Syngenta conducts businesses.

In the delivery of these services the Bidder must ensure that it observes all prevailing
legislation and other rules and regulations regarding the services provided in respect of
Philippine law.
This RFP does not constitute an offer by Syngenta to contract, but rather represents a
definition of specific requirements and an invitation to Bidders to submit a Proposal
addressing those requirements. It also does not commit Syngenta to any course of action
resulting from its receipt and that Syngenta may, at its discretion:

 reject any submission

 reject any response which does not conform to instructions and specifications which
are contained herein
 Accept the proposal after the final submission date

Syngenta reserves the right to make a single or multiple awards or no award if it is


determined to be in its best business interest. For avoidance of doubt, Syngenta may, in its
sole discretion, award a successful Bidder the contract for such portion of the services or limit
the countries in which the services may be acquired from the successful Bidder.

If there are any provisions in this RFP that you cannot meet, they must also be addressed
and explained in your proposal.

3.0 SUPPORTING INFORMATION

3.1 Definitions
“Affiliate” means, any other person or entity which directly or indirectly controls, is controlled
by or is under ultimate common control with Syngenta.

“Bidder” means, any person or firm submitting a proposal in response to this RFP.

“Confidential Information” means, any and all information (whether disclosed orally, in
writing and/or electronically) concerning Syngenta’s business or proposed business not
generally known.

“Intellectual Property Rights” means all intellectual property rights, including patents, utility
models, trade and service marks, trade or business names, domain names, rights in designs,
copyrights, moral rights, topography rights, database rights, trade secrets and rights of
confidence, know-how, in all cases whether or not registered or registerable in any country,
for the full term of such rights including any extension to or renewal of the terms of such
rights, rights to apply for the same and all rights and forms of protection of a similar nature or
having equivalent or similar effect to any of these anywhere in the world.

“Primary Contact” means the respective primary contacts from Syngenta and the Bidder.

“Project” means, Syngenta’s project to acquire consistent high-standard logistics services in


various Asia Pacific countries.

“Syngenta” means, Syngenta Philippines, Inc.

3.2 Liability
None of Syngenta or any of its officers, employees or agents makes any express or implied
representation or warranty at to, nor will have any liability or responsibility for, the accuracy or
completeness of the information contained in this document or made available in connection
with the Project outlined in it. Syngenta and its officers, employees and agents expressly
disclaim any and all liability which may be based on such information, errors therein or
omissions there from.

3.3 Property, Amendments, Applicable Law


All and any information of Syngenta shall be immediately returned to Syngenta upon
Syngenta’s first written request or to destroyed promptly as may be directed by Syngenta.
These obligations shall be binding until they are replaced by and/or incorporated into a written
agreement. Modifications shall be valid only if they are made in writing by Syngenta. Any
dispute arising out of, or in connection with, this Request for Proposal shall be governed by
Philippine Law, excluding principles of Conflict of Laws and all disputes shall resolved by
arbitration in accordance with the prevailing Rules of the Philippine Dispute Resolution
Center.

4. CONDITIONS OF REQUEST FOR PROPOSAL


Syngenta has endeavored to include as much ‘useful’ information as possible within this RFQ.
You are requested to make assumptions where appropriate and ensure that they are
documented within your response. Bidders are requested to note the following concerning the
Request for Proposal process:

4.1 RFQ Instructions


Bidder Primary Contact
Each Bidder should nominate one person to act as the primary contact for liaison with
Syngenta.
Quotations shall detail name, e-mail address, telephone number and fax number of the
Primary Contact.

Intent to Bid
Recipients of this RFP should confirm using the “Intent to Participate / Not to Participate” form
in Annexure A and send to the contact named below that they intend to submit a proposal in
response to this RFP and that they agree to be bound by the terms and conditions herein
within 2 days of receipt of the RFP. If a recipient does not wish to make a submission he
should return this RFP and not to further distribute to other parties.

To enable Syngenta to evaluate all the replies fairly and completely, Bidders should prepare
their response economically in accordance with the format of the Business & Operational
Requirements, Scope and Pricing sections of this document. The response should be a
concise delineation of the company’s capabilities to satisfy the requirements, with emphasis
on completeness and clarity of content. Elaborate bindings, displays, and promotional
materials are not required nor desired unless they add substance to the bidders’ proposal.

Information Provision:
To help ensure that Bidders understand the requirements of this RFP, the Bidder can send
questions to the Primary Contact via e-mail.

Please do not contact any other Syngenta personnel or other members of the consultancy
team for this Project with regard to this RFP, as this may lead to disqualification.

Syngenta shall make all reasonable efforts to respond to any requests received from the
Bidders for additional information within 3 business days, up to and including 3 working days
prior to the return date of this RFP.

Syngenta may also at its discretion share information generated from requests for clarification
to all of the Bidders involved in this process.

All bidders were also invited to attend a pre-tender meeting in the actual site in General
Santos, held last April 10, 2019.

Syngenta does not warrant or guarantee the accuracy of any of the information contained in
this RFP, including quantities provided and under no circumstances shall Syngenta be liable
to any bidders, whether in contract, tort or otherwise in respect of any direct, indirect or
consequential losses arising out of the information contained in this RFP and the RFP
process itself.

Response Format:
The proposal should be submitted in English.

Bidder’s responses shall contain a point-by-point response to each of the questions raised in
the RFP. Bidders shall not refer to information provided elsewhere in the response when
answering a point, even if in the Bidder’s opinion duplication of information results.

The Bidder is required to respond using this documents numbering scheme. In addition,
Bidders must restate every RFP question or statement, in their response.

The Bidder shall reproduce all tables and complete the boxes indicated providing detailed,
concise information.

Proposals must contain a version number or issue number in order to make any agreed
revisions easily identifiable

Proposal Preparation Costs


Nothing in this RFP shall create or be deemed to create a partnership, any rights by license or
otherwise and nothing shall create any obligation to Syngenta. This RFP shall not be
construed in any manner to create an obligation on the part of Syngenta to enter into any
contract, or serve as a basis for any claim whatsoever for the reimbursement of costs for
proposal or other efforts expended. The company issuing the proposal will do so entirely at its
own cost.

Except as expressly and specifically permitted in these Instructions to Proponents, no


proponent shall have any claim for any compensation of any kind whatsoever, as a result of
participating in this RFP, and by submitting a Proposal each proponent shall be deemed to
have agreed that it has no claim.

Quantities Stated:
All quantities for the goods and service information stated in this document are best estimates
on the most recent information available.
They should therefore not be interpreted as actuals and should not be construed as any form
of commitment on the part of Syngenta.

Pricing:
The Bidder shall state in his quotation the price including mandatory taxes including VAT and
withholding tax, in Philippine Peso. All tax percentages and values should be clearly
indicated.

The Bidder may provide additional information in support of this pricing matrix if required.

A Bidder’s proposal is presumed to represent its best efforts to respond to the RFP. Any
inconsistency, whether real or apparent, between proposed performance and price must be
explained in the proposal. Any significant inconsistency, if unexplained, raises a fundamental
issue of the Bidder’s understanding of the nature and scope of the work required and of its
ability to perform the contract as proposed and can be cause for rejection of the proposal.
The burden of proof as to credibility rests with the Bidder.

Confidentiality
The information mentioned by Syngenta is of proprietary nature and constitutes a valuable
asset of Syngenta and its Affiliates and any misappropriation or disclosure thereof to third
parties might cause severe damage to Syngenta. The confidential information contained
herein has either been created by Syngenta, or legally procured by Syngenta from third
parties. For the avoidance of doubt all such information shall be regarded as Syngenta
Confidential information and treated as such.

The Bidder has to maintain in strict confidence all or any and all samples, data and
information by or on behalf of Syngenta and its Affiliates and to protect the Confidential
Information disclosed by Syngenta or its Affiliates using the same practices which are use to
protect its own confidential information, but in no event less than a reasonable standard of
care.

This RFP, and any other Confidential Information furnished to the Bidder, shall be used solely
for the purposes of preparing a proposal response. All such Confidential Information shall
remain Syngenta property, shall be kept confidential, and shall be returned to Syngenta or
destroyed at its request.

Reproduction of any part of this Request for Proposal is authorized for the Bidder’s internal
use only, and only to the extent necessary for the preparation of its response.

The Bidder shall divulge confidential information only to those employees who are directly
involved in the proposal process and shall ensure that such employees are aware of and
comply with these obligations as to confidentiality. The Bidder may not, without obtaining
Syngenta’s written consent, use, disclose, or duplicate this RFP for any purpose other than
preparing a response as requested in this document. The Bidder shall keep Syngenta’s data
confidential and prevent its disclosure to any other party. Further, the Bidder shall restrict the
disclosure of this RFP and Syngenta’s data to those employees on a need to know basis.
Unless the Bidder has Syngenta’s written permission, it will not 1) associate Bidder’s products
or services with Syngenta or Syngenta’s operation, or 2) represent to anyone that Syngenta
has employed or endorsed Bidder’s products or services.

The Bidder should sign and return two (2) copies of the Confidentiality Agreement (Annexure
B) to Syngenta before April 22, 2019.

Contract Negotiations

Syngenta reserves the right to enter into discussions and/or negotiations with more than one
Bidder at the same time should such action be in the best interest of Syngenta. Syngenta
may contract with one or more Bidders, with no Bidder, or with any party or parties who did or
did not bid, should it determine that such actions are in its best interest.

Syngenta reserves the right to award the contract based solely on the proposal or to negotiate
further with one or more proposers. Any Bidder selected will be chosen on the basis of
greatest benefit to Syngenta, not necessarily on the lowest price.

Contract Conditions
Syngenta and/or its Affiliates (as determined by Syngenta in its sole discretion) expects to
contract substantially on the form of the attached Indirect Supply Agreement (set out in
Annexure E, referred to as “IS Agreement”) with the successful Bidder. Syngenta reserves
the right to issue any supplementary terms and provisions to this RFP and/or other terms and
conditions to the IS Agreement prior to the execution of any contract and subject to mutual
agreement these additional terms and conditions, if any, shall become part of the contract.
Where there are cost implications to you of accepting the terms and conditions as drawn,
these should be identified and quantified. No changes to those terms and conditions will
be considered by Syngenta unless they are notified as part of your response to the
RFP. Any changes which you do require should be supported by a concise explanation of
why the change is sought and by an analysis of the financial saving to Syngenta which would
result from accepting the change.

Presentations
Bidders will be given the opportunity to explain their quotation at the discretion of Syngenta.
Bidders may be invited to present their quotations to a selection committee. Syngenta may
also request to visit satisfied clients of similar projects.

Ownership of Proposals
All materials submitted in response to this RRP shall become the property of Syngenta and,
upon bidder’s request, may be returned only at the option of Syngenta and at the expense of
the bidder. In any case, Syngenta shall retain one copy for its official files.

Unsuccessful Quotations
All materials submitted in response to this RFP shall become the property of Syngenta and,
upon bidder’s request, may be returned only at the option of Syngenta and at the expense of
the bidder. In any case, Syngenta shall retain one copy for its official files.

The bidder shall submit the Quotation before 4 pm on Tuesday April 30 2019.

Discrepancies and Omissions


Bidders are responsible for examining this RFP and all attachments. Failure to do so will be
at the sole risk of Bidder. Should the Bidder find discrepancies, omissions, unclear or
ambiguous intent or meaning, or should any question arise concerning this RFP, Bidder shall
notify Syngenta of such findings immediately in writing via e-mail to Primary Contact.

Should such matters remain unresolved by Syngenta, in writing, prior to Bidder’s preparation
of its quotation, such matters must be addressed in Bidder’s quotation.

Syngenta is not responsible for oral statements made by its employees, agents, or
representatives concerning this RFP. If Bidder requires additional information, it must request
that such information be furnished in writing to Primary Contact

Integrity of Proposals
The proposal must be a Bona Fide Quotation intended to be competitive and Bidders must
not fix or adjust the proposed sum with the agreement of or in conjunction with any third party,

unless companies have explicitly declared to Syngenta (and Syngenta has agreed in a written
consent) in advance that a joint quotation will be submitted.

Additional Information
Syngenta advises that queries on the outcome of this Tender will not be answered prior to
Syngenta’s decision being made public.

Syngenta reserves the right to ask any or all of the recipients of this document to make a
formal presentation to representatives of Syngenta, at a date, time and venue to be advised.

Amendments to this document shall only be effective if advised in writing or by e-mail by the
Primary Contact.

The Proposal shall remain valid until 1 Jul 2019 and if successful will be attached to the IS
Agreement.

The Bidder is encouraged to use innovation, creativity and flexibility in its response.

The Bidder is to note that the words “shall” and “must” imply mandatory requirements.

Syngenta reserves the right to modify the scope of this document at any time prior to award of
contract

5.0 BUSINESS & OPERATIONAL REQUIREMENTS

Syngenta requires you, the Bidder, to provide various information in relation to the subject of
which is set out below, in order to evaluate the suitability of how you would intend to provide
the services described in this Section 5. The proposal must reference each heading and sub
heading.

5.1 Standards
(i) The Bidder shall have a demonstrable proven track record of working in a similar
Industry and/or environment.

(ii) The Bidder shall work to both Syngenta standards and relevant national and
International standards.

(iii) The Bidder shall be fully conversant with and fulfill all duties under the relevant and
applicable laws and regulations as may be prevailing in each country where the
business operates in.

5.2 Working Practices


Generally the Bidder shall produce work at their own premises.

(i) The Bidder shall be expected to produce documentation in line with Syngenta
systems:

 Microsoft Office Suite (Project, Word, Excel, PowerPoint, Access)

(ii) The normal media of documentation transmittal will be by paper and electronic copy.

5.3 Business Strategy


(i) Provide an overview of your current and future business strategy. This should focus
on key target markets and activity within this region.

5.4 Competence and Capability


(i) Provide an overview of your QA procedures (should include details of the Bidders quality
control plan covering organization, policies, facilities, technical capabilities, and
documentation system). The bidder should also explain steps that will be taken to assure
the quality and performance of its services.

(ii) Provide details of your company’s previous and current experience in similar industry
and/or environment

(iii) Provide details of experience in dealing with remote stakeholders and managing various
internal business units

(iv) Explain your approach to delivering this type services and identify key issues and
opportunities

(v) A brief statement on why your company is best placed to provide Syngenta with services
required on this tender.

5.5 Operating Model including Organigram


(i) Proposed team organization chart.

(ii) Team members’ resumes, detailing relevant experience in similar type of work.

(iii) Provide details of back-up resources for the key team members.

(iv) How is the competence and capability of personnel involved in providing the services
determined and what process would be put in place to allow successful assessment
and review of the ability to maintain the required service?

(v) How quickly can resource be supplied during normal working hours and outside this
period and how this would be managed in line with the flexibility required?

(vi) The operational delivery of the service will require the Bidder to engage with
Syngenta at various levels from Senior Management down. Please describe how you
would deliver the elements listed below and the important factors that are felt
necessary by yourselves:
i. Relationship with the Syngenta Contracts Manager
ii. Determination of the detailed delivery specifications
iii. Planning and supply of resources
iv. Interface with Syngenta personnel and Syngenta nominated
Contractors if any
v. Application for costs and their reporting
vi. Demonstration of work packages and service performance
vii. Support for Health, Safety and the Environment
viii. Culture and Behaviours desired

5.6 Key Performance Indicators and Measures of Performance


(i) Please provide examples of KPI’s that you currently use to monitor performance

(ii) How would these KPI’s be used to enhance the performance of a potential contract
including showing how they could be used to achieve cost savings and efficiencies?

5.7 Job Reference


(i) Bidders are required to provide company background detailing past work experience
with profiles similar to Syngenta (at least TWO) for job references, which must include
the following information:-

 Client’s Name and Address


 Contract Period
 Contract Value
 Client’s Contact Person and Title
 Client’s Telephone Number

Syngenta reserves the right to contact those companies for job references without giving any
prior notice to the Bidder and the Bidder will advise those companies to release information
relating to the job references listed.

5.8 Health and Safety Quality


(i) Bidder shall in the performance of the Services strictly adhere to the following policies
or standards as detailed in Annexure H:
a) Syngenta HSE Policy and Standards;

5.9 Additional Information


(i) What demands may you have of Syngenta in order for yourselves to achieve success
as you see it?
(ii) What are common failings of clients who do not match this expectation?

6.0 Scope of Services


Please refer to Annexure C for the detailed outline of the scope of work for this
Project.

6.1 Preliminary Programme

The intent is that on completion of the RFP process, the bidders selected and
appointed
should commence implementation according to an implementation schedule agreed with
Syngenta.

7.0 Pricing

Bidders are required to provide “Detail Pricing” proposal using the pricing template (Annexure
F) attached with this RFP. No additional costs will be entertained unless prior approval has
been obtained from Syngenta.
Bidders are required to quote the price in accordance with the Scope and description of
Services. The pricing template (Annexure F) must be duly filled by the bidders before
Syngenta will consider any of the submitted prices. Any creative pricing, risk and reward or
alternative execution models which may result in a lower cost to Syngenta will be considered
and should be included within your response. Bidders should be fully responsible for the
committed pricing in quotation.
Bidders are required to specify in detail, volume discounts price structures where applicable.
Bidders who are able to provide such volume discounts will be considered favorably as it is
Syngenta’s intention to acquire these services in those Asia Pacific countries where Syngenta
conducts businesses.

RFP. Please return a signed scan copy of this Confidentiality Agreement by 22 April 2019 and
dispatch via courier on the same day, two signed for our endorsement. Please provide courier
tracking number.
