Teleworking Policy and Agreement

1.0 PURPOSE

1.1 UROLIME management may at its discretion allow teleworking from home or a remote office
location on a case to case basis. Conditions under which Teleworking may be approved include:

 Employees when required to participate in meetings with clients or work long hours into late
night.
 Employees who may not be able to travel to work because of short term disability but can still
accomplish their work remotely
 Employees who may be required to be available for work during their vacation or on holidays

1.2 Teleworking employees are required to follow the same standards of work as they would if they
were physically present.

This includes being available during the time on phone and online for the period approved for
teleworking. They would also ensure that they use UROLIME approved hardware and software for
completion of their work

1.3 Teleworking is voluntary and it is not an employee right. Employee recognizes that the teleworking
arrangement is not an employee entitlement but an additional method the company may approve
to accomplish work. Employee agrees to work at the remote work location or remote work place
which means employees residence or any remote office location approved by UROLIME .

Employee is expected to follow all applicable policies and procedures.

2.0 OFFICIAL AND ALTERNATE WORK PLACE

2.1 UROLIME and employee agree that the employee's regular office (indicate office address) and
that the employee's approved alternative workplace is: (specify the employees residence
address).Unless otherwise instructed, employee agrees to perform official duties only at the
regular office or approved alternative workplace. The remote work space must be adequate for
performance of the employees official duties.

3.0 PERIOD

3.1 At the discretion of the supervisor, the employee will be permitted to telework on designated
day(s) (specify number of days/month) unless unforeseeable difficulties require earlier
cancellation.

Any extension in the permitted telework time period as mentioned in the agreement should
receive the approval of the Department Head, Division Head and Department of Human
Resources.
4.0 SALARY AND BENEFITS

4.1 During this period employee's duties, responsibilities, conditions of employment, salary and
benefits shall be unaffected by teleworking. The Supervisor/Employer shall have the discretion to
make changes that will be implemented from time to time.

5.0 WORK HOURS AND LEAVE

5.1 Employee agrees that work hours will conform to the terms agreed upon by the employee and
UROLIME .The employee agrees to obtain advance supervisory approval before taking leave.

All work hours, and leave usage will continue to conform to the Company's established policies
and procedures as well as the UROLIME Teleworking Agreement.

6.0 DISCIPLINE

6.1 The Company's established disciplinary procedures will remain in force and are not affected by
the employee's status as a teleworker.

The Company will take appropriate disciplinary action against the employee for failure to comply
with the provisions of the UROLIME Teleworking Agreement.

6.2 Employee agrees not to conduct personal business while in official duty status at the alternative
workplace, for example, caring for dependents or making home repairs. Employee agrees not to
conduct any work-related meetings at the remote work location which is employee's residence.

7.0 WORK SCHEDULE AND WORK STATUS

7.1 Employee agrees that the work schedule will be as designated in the Work Schedule.

7.2 Any changes to the Work Schedule must be agreed to by employee's supervisor in advance.
Employee agrees to maintain contact with the office as specified in the Work Schedule.

All the work products of the assigned projects should be periodically updated. Employee shall
maintain their shift timings as assigned by the Supervisor. Employee shall also share the work in
progress regularly and will be following holidays which they are being followed.

8.0 WORK PERFORMANCE

8.1 Employee agrees to complete all assigned work according to procedures mutually agreed upon
by the employee and the supervisor and according to guidelines and standards in the employee
performance plan.
8.2 Employee agrees to provide regular reports, if required, by the supervisor to help judge work
performance. Employee understands that a failure in performance of work may result in
termination of this agreement by UROLIME .

9.0 ATTENDANCE

9.1 The supervisor agrees to certify weekly the time and attendance for hours worked at the regular
office and the alternative workplace.

10.0 EQUIPMENT/SUPPLIES

10.1 Employee agrees to protect any UROLIME owned equipment and to use the equipment only for
official purposes. UROLIME agrees to install, service, and maintain any UROLIME owned
equipment issued to the teleworking employee.

The employee agrees to install, service, and maintain any personal equipment used. UROLIME
agrees to provide the employee with all necessary office supplies.

Employee agrees to take all reasonable precautions, including but not limited to, scanning all
computer equipment and software for viruses prior to use, installation and/or transmission, to
prevent the transmission of viruses, unauthorized software or code to any computer owned by the
UROLIME or onto the UROLIME 'S Local Access Network (LAN).

10.2 UROLIME will be providing Software tools that are necessary to give the teleworker access on
their personal equipment to perform their official duties. When this Agreement period end, the
teleworker is responsible for removing and returning all Software tools to UROLIME . No
proprietary or confidential information shall be shared or copied on Employee's personal
equipment. Any violation or breach of the above rules shall adhere to strict liability Urolime rt from
the monetary damages.

11.0 CANCELLATION

11.1 Employee understands that UROLIME may cancel the teleworking arrangement at any time with
or with out any reason and instruct the employee to resume working at the regular office.

12.0 OTHER ACTION

12.1 Nothing in this agreement precludes UROLIME from taking any appropriate disciplinary or
adverse action against an employee who fails to comply with the provisions of this agreement.

12.2 I affirm by my signature below that I have read this agreement and understand its subject matter.
