This Deed of Assignment of Shares of Stock made and executed

Jon Snow, Filipino, of legal age, with residence at 5121 Meranti Two
Serendra 11th Avenue Fort Bonifacio, Taguig City, hereinafter referred to as the
“ASSIGNOR;”

Pepper Stark, Filipino, of legal age with residence at 1501 Arya

Residences 8th Avenue Fort Bonifacio, Taguig City , hereinafter referred to as
the “ASSIGNEE;”

WITNESSETH That –

For and in consideration of the par value thereof, the ASSIGNOR hereby
ASSIGNS, TRANSFERS AND CONVEYS unto the ASSIGNEE, his heirs or
assigns, 10,000 shares of stock (with par value of PESOS: 100.00) in GLACE
Inc., a corporation duly organized and existing under and by virtue of
Philippine laws with principal office address at 8 Ayala Avenue Makati City.

Any and all taxes, fees and other expenses that may be due by reason of
this assignment and all other fees and expenses necessary and incidental to
the transfer of the said shares to the name of the ASSIGNEE shall be for the
ASSIGNEE’s account.

The ASSIGNOR hereby irrevocably constitutes and appoints the

Corporate Secretary of the Corporation as his attorney-in-fact to transfer the
Shares to the ASSIGNEE in the books of the Corporation with full power of
substitution in the premises, subject to presentation of this Deed of
Assignment of Shares of Stock and the required Bureau of Internal Revenue
clearance/authority to transfer.
 IN WITNESS WHEREOF, the parties have hereunto affixed their
signatures this 14th day of June, 2019 in Makati City, Philippines.
