MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS

This contract of service made and entered into at Cebu City, Philippines, by and between:

The RAMON ABOITIZ FOUNDATION, INC. a non-stock, non-profit organization and existing
under Philippine laws, with principal office at 35 Lopez Jaena Street, Cebu City, represented by
its Vice President for Social Development, JAMES ABADIA, and herein referred to as the RAFI.

TROY DINO ELIZAGA, Filipino citizen with address at Nasipit, Talamban, Cebu City, herein
referred to as the CONTRACTOR

-and-

LEAH CALLOMARDE, Filipino citizen with address at __________, __________, Cebu City,
herein referred to as the SUB-CONTRACTOR

THE PARTIES INVOLVED, THEREFORE, AGREE TO THE FOLLOWING:

That helping day care pupils, elementary and high school students in the Cebu Province by
creating an effective learning environment is one of RAFI’s focus area in its service to society.

That one of the program to achieve this goal is RAFI’s School Rehabilitation Program that aims
to assist in the rehabilitation of old and rundown school buildings and classrooms within the
province of Cebu in the hope of providing school children the effective learning environment
they deserve.

That to carry out its program effectively, RAFI needs to make an assessment of the existing
facilities of all the public schools in the province of Cebu, both elementary and secondary
schools.

That RAFI needs to carry out this assessment within three months

That the CONTRACTOR has the resources and expertise to carry out the assessment within the
specified time period.

1) OBJECTIVE
a) That the purpose of this agreement is to engage the services of the CONTRACTOR to
conduct an assessment of all the existing facilities of all public schools in the province
of Cebu for both elementary and secondary schools.
2) ARTICLES OF PARTNERSHIP
a) For RAFI to:
i) Provide the fund of PESOS SIX HUNDRED TWO THOUSAND FIVE HUNDRED NINETY
ONE AND SIXTY EIGHT CENTAVOS or PHP602,591.68 to the CONTRACTOR to cover
expenses related to the project
ii) Provide the CONTRACTOR with the assessment forms to be used in the project
iii) Provide the CONTRACTOR with the list of schools to be assessed
iv) Provide introductory letters addressed to the school heads explaining the purpose
of the activity and asking for support
b) For the CONTRACTOR to:
i) Receive the payment for the project and manage its disbursement
ii) Conduct site visit to all the public schools in Cebu Province, and assess the
conditions of all the facilities of each school using the assessment tool provided by
RAFI
iii) As a result of the assessment survey, the CONTRACTOR shall submit a summary of
the survey results in MS Excel format.
c) For the SUB-CONTRACTOR to:
i) Assist the CONTRACTOR in conducting the survey and submitting a summary of
survey result specifically for the LGUs listed in Annex 1
ii) To receive the amount of PESOS ONE HUNDRED FORTY-EIGHT THOUSAND ONLY
from the CONTRACTOR representing the budget for the 15 LGUs as shown in
Annex 1. The amount shall be given in two installments: 50% upon the release of
the third payment of RAFI to the CONTRACTOR, and 50% after the release of the
fourth payment of RAFI to the CONTRACTOR.
3) TERMS OF PAYMENT
1. After signing of contract, a down payment equivalent to 35% of the contract price or
PESOS TWO HUNDRED TEN THOUSAND NINE HUNDRED SIX AND EIGHTY-FIVE
CENTAVOS (PHP210,906.85) which is required to start the project.
2. After submission of assessment reports for 557 schools, an amount equivalent to 30%
of the contract price or PESOS ONE HUNDRED EIGHTY THOUSAND SEVEN HUNDRED
SEVENTY-SEVEN AND THIRTY CENTAVOS (PHP180,777.30) will be released to the
CONTRACTOR.
3. After submission of assessment reports for another 557 schools, an amount equivalent
to 20% of the contract price or ONE HUNDRED TWENTY THOUSAND FIVE HUNDRED
EIGHTEEN AND TWENTY CENTAVOS (PHP120,518.20) will be released to the
CONTRACTOR.
4. After submission of the assessment reports of the remaining 556 schools, the balance,
which is equivalent to 15% of the contract price, or PESOS NINEY THOUSAND THREE
HUNDRED EIGHTY-EIGHT AND SIXTY-FIVE CENTAVOS (90,388.65) will be released to
the CONTRACTOR.
4) TERMS AND CONDITIONS
1. The contract price is net of tax
2. Any additional schools for assessment which not covered in the list will be subject to
additional funding at a price to be agreed upon by both parties before commencing
work.
3. Day one of the work of the assessment immediately starts after the release of the
down payment.
4. The CONTRACTOR shall ensure the technical correctness and soundness of the
contents of the assessment reports.
