PARTNERSHIP DEED
THIS DEED OF PARTNERSHIP IS MADE on the 12th day of September 2018 by and
between

Mr. Tejas Gupta S/o Sandeep Gupta hereinafter referred to as the FIRST PARTNER (which
expression shall deem and include his heirs, executors, administrators, representatives,
assigns and agents), AND

Ms. Aafreen Moin Bushra D/o Syed Moin Ahmed hereinafter referred to as SECOND
PARTNER (which expression shall deem and include his heirs, executors, administrators,
representatives, assigns),

Whereas, the parties hereto have agreed to commence business in partnership and

it is expedient to have written instrument of partnership. Now this partnership deed

witnesses as follows:

1. BUSINESS ACTIVITY

The parties here to have mutually agreed to carry on the business of developing mobile
applications and web applications.

2. PLACE OF BUSINESS

The principal place of the partnership business will be situated at Phase 2 Hi-Tech City,
Hyderabad 500082

3. DURATION OF PARTNERSHIP

The duration of the partnership will be at will.

4. CAPITAL OF THE FIRM

Initially the capital of the firm shall be Rs. 15 lakhs.

5. PROFIT SHARING RATIO

The profit or loss of the firm shall be shared equally among all the partners and

transferred to partner’s current account.

6. MANAGEMENT
All the partners will be active partners who will look over the day-to-day activities of the firm
and shall attend diligently to the business of the partnership and carry on the same for the
greatest advantage of the firm.

7. OPERATION OF BANK ACCOUNTS

The firm shall open a current account in the name of Delta Tech at any bank and such
account shall be operated by First Partner and Second Partner jointly as declared from time to
time to the banks.

8. BORROWING

The written consent of all partners will be required for the partnership to avail credit facilities
from any financial institution.

9. ACCOUNTS

The firms shall regularly maintain in the ordinary course of business, true and correct
accounts of all its transactions and also of all its assets and liabilities, the property books of
account, which shall ordinarily be kept at the firm’s place of business. The accounting year
shall be the financial year from 1st April onwards and the balance sheet shall be properly
audited and the same shall be signed by all the partners. Every partner shall have access to the
books and the right to verify them.

10.RETIREMENT

If any partner shall at anytime during the subsistence of the partnership, be desirous of
retiring from the firm, it shall be competent for him/her to do so, provided he/she shall give at
least one calendar month notice of his/her intention of doing so. The remaining partner shall
pay to the retiring partner(s), the purchase money of his/her share in the assets of the firm.

11.DEATH OF PARTNER

In the event of the death of any partners, one of the legal representatives of the deceased
partner shall become the partner of the firm and in the event the legal representative shows
his/her denial to point the firm, they shall be paid the part of the part of the purchase amount
calculated as on the date of the death of the partner.

12.ARBITRATION
Whenever there is any difference of opinion or any dispute between the partners, the partners
shall refer the same to an arbitration of one person. The decision of the arbitration so
nominated shall be final and binding on all partners, such arbitration proceedings shall be
governed by Indian Arbitration Act, which is in force.

Aafreen Bushra Moin is a budding entrepreneur and an avid reader with a keen interest in

Delta Tech will be an IT start-up with Delta Chatbot as its primary product. Delta is a chatbot
designed to increase the usability of chatbots in general and also to enable chatbots to be used
by a wider audience.

Our chatbot serves as an interface between the user and other chatbots. Chatbots have started
to take the place of real human support agents. It is much more convenient and less time
consuming to chat with a chatbot as there is no delay that comes with a human interaction.
You can have a smooth conversation with it and not have any interruptions because it uses
A.I (Artificial Intelligence) to find the appropriate response for you.

Delta brings a more unified experience to the user as it is a chatbot that interfaces with other
chatbots and gets the job done. The user doesn’t have to go to different websites to use a

Delta is already equipped with infrastructure to support the chatbots of big companies like

The idea of chatbots first came into picture in the 1960s.But only after more than half a
century it is ready for implementation into the real life, due to the rapid progress in natural
language processing, AI, and the global presence of text messaging applications.

What is a chatbot?

“A chatbot is a computer program which conducts a conversation in natural language via


auditory or textual methods, understands the intent of the user, and sends a response based on
business rules and data of the organization”.
AI is being used together with chatbot in business which is changing the interactions between
clients and service providers. Chatbots offer immediate response as expected by the
customers. Present-day chatbots are able to afford split second reactions unlike phone calls,
emails and other web forms.
There are mainly two types of chatbots. They are
1. Rule based bots: in this approach the bot gives answers questions based in rules on which it
is trained. The rules on which it has been trained can either be complex or simple. The bot is
not effective in answering questions whose pattern is not the same as the rules on which the
bot is trained as the bot’s creation is straightforward based on specific rules.
2. AI bots: in order for the bots to answer questions it should be connected to artificial
intelligence. This technology helps the bot to learn from the interactions that it has from the
end users. In order to give the users, the right answers the chatbot uses analytics platforms,
and integrations with all APIs, among other things, that feed the AI. Delta is an AI bot.

AI technologies are still in its early stages of development due to which we haven’t found any
Chatbot that can pass the Turing test yet. But recently there have been advances in AI
development. AlphaGo Zero was created without using data from human games which made
it stronger than any previous version. The release of AlphaGo Zero could potentially change
how we develop AI software in the coming years. It means that data will become less critical,
and the focus will be on finding use cases where you can get a high volume of iterations, so
the AI system is quick enough to improve itself. For chatbot development, this is a significant
advantage as the chatbot could perform massive level of conversations with users. This will

trivial tasks like ordering a pizza or booking a cab neither would he/she like to interact with
multiple chatbots for each individual task.

According to Gartner, chatbots will power 85% of all customer service interactions by the
year 2020. This once again, points to a promising future for Delta.

industry, chatbots is a very small part of it and is considered by many as a small size industry
in itself. Chatbots amount to a 9 billion USD industry. But it growing rapidly in size as well
