General Terms and Conditions Applicable
General Freight and insurance
The applicable ter ms and conditions for acceptance
of our tenders as follows:
Acceptance
"The acceptance of the tender shall apply when the
parties agree in writing or otherwise thereto. When
the general conditions apply to the specific contract,
“modifications of or deviations from them must be
agreed in writing."
Prices
• The Ex-works Bangalore price quoted by us
has been arrived at after considering the
benefits obtained under MODVAT scheme.
• The prices are exclusive of all taxes, duties
and levies, such as Central Excise, Central
Sales Tax, VAT, Octroi, Entry Tax etc., and the
same will be charged extra at the rates
prevailing at the time of delivery.
Payment terms
• 100% with taxes and duties against Profor ma
Invoice before deliver y. 2% of the contract
price charges towards Freight and Insurance
will also be included in the Proforma Invoice.
• In case of delay in payment a nominal interest
shall be levied as applicable.
Delivery (ex-works)
• Delivery shall commence within 4 - 6 weeks
for conventional relays and 8 - 10 weeks for
numerical terminals from date of receipt of
Technically and Commercially clear order,
together with advance as applicable.
• The delivery indicated above is in good faith
and we would endeavour our best to deliver
the materials as above. The deliver y quoted is
subject to force majeure conditions.
4 ABB
The list prices quoted are exclusive of freight and
insurance charges. Necessary insurance cover
against transit risks will be arranged by you with our
underwriters. The applicable freight and insurance
charges @ 2% will be to your account.
Any replacement against items damaged during
transit will be entertained against fresh order only.
Delivery of such replacement items will be
confir med separately.
For dispatches by lorr y, necessary road permit in
the form applicable in the State concerned should
be sent with the order.
Performance guarantee
The goods will be guaranteed against defective
workmanship/defective material for a period of
eighteen months from the date of dispatch or twelve
months from the date of commissioning, whichever
is earlier.
Indemnity
• The order for the materials covered in the offer,
once placed on us, neither can be cancelled
nor can reduction in quantity of ordered items
be effected without our written consent. Incase
of such cancellations or reduction in quantity,
which are accepted by us, advance paid will
be forfeited.
• The commercial ter ms such as Penalty/
Liquidated damages/ Risk purchase clause/
B.G.clause/ EMD amount/ Security Deposit
etc., are not acceptable since the resultant
product using our relays / accessories are not
under our scope of supply.
Dispatch
• Whenever goods are transported by lorry/
courier, the Pre-authenticated Gate Pass cum
Modvat copy of Invoice will necessarily be
