SCOPE OF CONTRACT

1. The scope of WORK shall include Basic Design and Detailed Engineering, Procurement,
Supply, Supply of License(if applicable), Fabrication, Inspection by Third Party Inspection
Agency as applicable, Expediting, Route Survey for ODC’s, Insurance, Transportation of All
EQUIPMENT/ Materials to Work Site, Storage, Construction and Erection of all Civil,
Mechanical, Electrical and Instrumentation Works, Assembly and Installation, Obtaining
all necessary Statutory Approvals, Testing, Mechanical Completion, Pre-
Commissioning, Commissioning, Performance Guarantee Test Run including Total
Project Management and Handing Over of Plant(s) and all related Offsite & Utilities Facilities
at designated project site (as per Scope of Work detailed in Clause 3.2 of SCC) on a Lump-
Sum Turnkey contract Basis with Single Point Responsibility.
1.1 Carrying out Basic Engineering, Detailed Engineering, Conducting HAZOP Study and
incorporating its recommendation in the Project, Supply of PLANTS and associated Offsites &
Utilities, EQUIPMENT, Machinery, accessories, auxiliaries, spares and other related items,
packing, supplying, arranging comprehensive insurance, primary protection and testing of
individual items and assembly where necessary, construction, erection, testing, PRE-
COMMISSIONING and Commissioning, PERFORMANCE AND GUARANTEE TEST RUNS
as per CONTRACT specifications, supply of final DRAWINGS & DOCUMENTS, etc. on LSTK
basis by the CONTRACTOR himself and with stage wise review of all the aforementioned.
1.2 Arrange services of ocean transportation as applicable, carry out the services of port
clearance, handling, loading on Trailer/ Trucks and inland transportation up to SITE,
Comprehensive insurance, unloading, storage at SITE in OWNER’s premises, transportation
within SITE, unloading, storage, handling, site Assembly, fabrication, insulation, painting,
testing, arranging commissioning spares, complete services of erection, structural and
PRE-COMMISSIONING, COMMISSIONING and PERFORMANCE & GUARANTEE
TESTS for PLANT
1.3 The CONTRACTOR shall take all necessary steps and comply with all formalities to get the
CONTRACT registered with the appropriate Indian Custom Authorities to have the various
imported equipment including spares, assessed as applicable. Any Government Clearances/
Permissions like Labour License/Import License, etc. shall be obtained by CONTRACTOR
with assistance, as required, by OWNER. Only Statutory fees paid to Government Authorities
or Regulatory bodies for Licenses / permits obtained by CONTRACTOR in OWNER’s
name, shall be borne by OWNER (Also refer Clause 7.2.7 of GCC).
1.4 The CONTRACTOR shall be responsible on completion of CONTRACT or whenever
required to undertake Customs reconciliation work with Indian Customs Authorities
and finalize the Customs assessment by furnishing the necessary Technical Documents,
technical information etc. to the said Authorities.
1.5 Any additional equipment whether mentioned or not, but which is necessary for the
satisfactory operation and maintenance of plant and for achieving the guaranteed
performance of the PLANT shall be supplied, erected and commissioned by
CONTRACTOR at no additional cost to the OWNER as though such equipment were
originally specified and formed part of scope of WORK.
1.6 The scope of CONTRACT shall include spare parts necessary for commissioning of the
PLANT and special tools & tackle required for the maintenance of the Plant and shall be
concurrently ordered and supplied along with the main EQUIPMENT. The total bid price shall
also be inclusive of spares for two years required for satisfactory operation & maintenance of
the PLANT (Refer Clause 50.0 of GCC). In case any Catalysts/Adsorbent has life less than 6
months, suitable additional quantities shall be supplied along with the first charge of
Catalyst/Adsorbent.
1.7 CONTRACTOR shall give DRAWINGS, catalogues, sketches and literature that the OWNER
shall specify in the CONTRACT.
CONTRACTOR shall also handover to the OWNER the commissioning spares, if any, which
are not consumed during COMMISSIONING of the PLANT, at no additional cost to OWNER.
In case any of the mandatory spares (if part of contract) are consumed by the
CONTRACTOR during COMMISSIONING and/ or TRIAL RUN of the PLANT prior to
PRELIMINARY ACCEPTANCE, the same shall be replenished by the CONTRACTOR within
a reasonable time, failing which delivered cost of such replacement spares shall be
realised from the CONTRACTOR’s Final Bill or Performance Bank Guarantee. It is also
expressly understood by both Parties that there could be minor variations in the supplier-
specific description / nomenclature of a particular spare part vis-à-vis the description/
nomenclature as per the list of mandatory spare parts included in technical Section of the ITB
and any amendments thereto, which shall be mutually resolved by the OWNER and
CONTRACTOR with necessary inputs from the particular supplier.
1.8 Completeness of the EQUIPMENT shall be the responsibility of the CONTRACTOR.
Any equipment, fittings and accessories which may not be specifically mentioned in the
specifications or drawings but which are usual or necessary for the satisfactory functioning
of the equipment (successful operation and functioning of the EQUIPMENT being
CONTRACTOR'S responsibility) shall be provided by the CONTRACTOR without any
extra cost.
1.9 The CONTRACTOR shall follow modern engineering practices in design and manufacture of
high quality equipment notwithstanding any omission in the specifications. The true intent and
meaning of these documents is that, CONTRACTOR shall in all respects design, engineer,
manufacture and supply the EQUIPMENT in a thorough workman-like manner and supply the
same in prescribed time to the entire satisfaction of OWNER.
In case any changes, modifications or substitutions from the original specifications are
mutually agreed to be implemented, an equivalent or better solution than what was originally
envisaged, shall be selected at no additional cost to OWNER, so that the overall performance
of the PLANT is not jeopardized in any manner.
1.10 The CONTRACTOR shall furnish twelve (12) copies in English language of technical
DOCUMENTS, final DRAWINGS, preservation instructions, operation and maintenance
manuals, test certificates, spare parts catalogues, SOFTWARE and hardware
configuration.CD/DVD/USB Drive containing soft editable version of all “As-built” drawings /
final drawings in Auto-CAD (.dwg format) shall also be furnished along with above 12 copies
(Also refer Clause 20.9 of GCC).
1.11 The DOCUMENTS once submitted by the CONTRACTOR shall be firm and final. The
CONTRACTOR shall be responsible for any loss to the OWNER consequent to
furnishing of the incorrect data/drawings.
1.12 All dimensions and weights shall be in metric system.
1.13 All EQUIPMENTS to be supplied and WORK to be carried out under the CONTRACT
shall conform to and comply with the provisions of relevant regulations/acts of
Government of India and State Govt. relevant to project site as may be applicable to the
type of EQUIPMENT/WORK carried out and necessary certificates shall be furnished.
1.14 The CONTRACTOR shall provide cross-sectional drawings wherever applicable to identify the
spare part numbers and their location. The sizes of bearings, seals, etc. their make & number
shall also be furnished along with bearings/ seals of other make & number which can be also
used.
1.15 Specifications, design and drawings issued to the CONTRACTOR along with tender
specifications and CONTRACT are not sold or given but allowed for execution of the WORK.
These or its any copy made remain property of OWNER or his assignees and are subject to
recall by OWNER. The CONTRACTOR, his employees, and SUB-CONTRACTOR and his
employees shall not make use of the drawings, specifications and technical information for
any purpose at any time except for manufacture against the CONTRACT and shall not
disclose, the same to any person, firm or corporate authorities, without written
permission of OWNER. All such details shall be kept confidential and in case of dire necessity
can be shared with supplier or engineering sub-contractor only after confidentiality agreement
with owner
1.16 CONTRACTOR shall pack, protect, mark and arrange for despatch of EQUIPMENT as per
instructions given in the CONTRACT.
