SERVICE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This SERVICE AGREEMENT is made and entered in Gingoog City, Philippines,


by and between:

BALAY MINDANAW KALAMBUAN CENTER, a service provider team of


the KATILINGBANONG PAMAHANDI SA MINDANAW FOUNDATION,
INC. (KPMFI), a non government organization, registered under the Securities &
Exchange Commission, having its address at Balay Mindanaw Kalambuan Center
Bldg., Purok 1, Barangay 23, Gingoog City, represented in this act by its
Chairperson, Ariel C. Hernandez, hereinafter referred to as "BMKC"

And

ANTONETTE F. AWAYAN, having its legal address at Barangay 6, Gingoog


City hereinafter referred to as "Administrative Officer”

WITNESSETH

WHEREAS, the Balay Mindanaw Kalambuan Center, is development center, and a service
provider unit of KPMFI, a mindanao-based non-government organization established to
contribute to Balay Mindanaw’s Vision of Equity, Development and Peace in Mindanaw, the
Philippines and the World;

WHEREAS, BMKC will provide information technology based services on Administrative,


Human Resource Development Management and Accounting and Finance;

WHEREAS, BMKC will also engage in catering, office and venue rentals;

WHEREAS, BMKC needs to sign in managers and staffs who has the integrity, leadership,
commitment and competence to efficiently provide the above-mentioned services;

WHEREAS, Ms. Antonette F. Awayan, a graduate of Bachelor of Science Accountancy, with


expertise and experience in bookkeeping and accounting, agrees to provide her service as a the
Administrative Officer;

WHEREAS, the BMKC will primarily offer and provide its services to the Balay Mindanaw
Group such Katilingbanong Pamahandi sa Mindanaw Foundation, Inc. (KPMFI), Global
Mindanaw Polytechnic, Inc. (GMPI), Global Mindanaw Agri-ventures, Corporation (GMAV);

WHEREAS, the BMKC’s services will also be offered and be provided to other partners,
customers and agencies;

NOW, THEREFORE, the Parties, after friendly negotiations, hereby agree below:
ARTICLE I: SCOPE OF WORK

The Administrative Officer shall be required to possess the qualifications as well as


perform the tasks and responsibilities outlined below:

I. Administrative

1. Execute the proper implementation of the administrative systems and processes


provided to the KPMFI, GMPI, GMAV and BMKC.

2. In charge in the enhancement and provision of innovation to the administrative


systems and processes provided to KPMFI, GMPI, GMAV and BMKC.

3. Ensure the proactive, timely and accurate administrative responsibilities for


KPMFI, GMPI, GMAV and BMKC such as;

3.1.1. Annual Renewal of Business Permits and Licenses;

3.1.2. Coordinate with the Head Bookkeeper to ensure compliance and


submission of the annual Reportorial Documents to the Securities and
Exchange Commission such as General Information Sheet, Financial
Statement and Sworn Statement;

3.1.3. Annual Submission of Employee Income Tax Return, Company


Income Tax Return to the Bureau of Internal Revenue;

3.1.4. Yearly Financial Statements duly receive and stamp by the BIR;

3.1.5. Annual Renewal of Tax Clearance, Philippine Government Electronic


Procurement System (PhilGEPS) and any other related documents;

3.1.6. Perform any other administrative responsibilities necessary and/or


related to the operations.

4. Consolidate and submit weekly and monthly administrative report to the BMKC
Manager.

II. Coordination and Technical Support Staff

1. In general, the Coordination and Technical Support Staff will provide her
professional services in coordinating the operations of the Broiler and Logistics
Enterprise of Global Mindanaw Agri-Ventures Corporation.

2. The following are her scope of work as the Coordination and Technical Support
Staff of the Broiler and Logistics and attached in this contract is the details of its
Terms of Reference:

2.1.1. Help ensure the proper coordination and the efficient management
systems of the Broiler and Logistics Functions of the enterprise.
2.1.2. Help ensure proper coordination with the GMAV Management and
other enterprises or units.
2.1.3. Provide weekly report on:

3.1. The accomplishments and gaps based from the set target in
the approved work plan and budget.
3.2. Target activities and outputs for the incoming week.
3.3. Proposed innovations and strategies to increase efficiency of
the operation.

3. Other Responsibilities

1. As member of the Disaster Risk Reduction Resiliency Building and Emergency


Assistance Mission (DREAM) Program of the Balay Mindanaw Group, the
Administrative Officer is expected to perform and/or render her volunteer services
as the need arises in times of disasters and emergencies. The tasks and
responsibilities will be determined and assigned by the designated team leader
depending on the demand.

ARTICLE II: REMUNERATION

In respect of the services provided by the Administrative Officer, pursuant to this


Agreement, BMKC will provide the following:

1. Salaries and Allowances

Monthly Compensation Amount_


Basic Salary P 7,500.00
Allowances:
Rice And Travel Allowance P 1,500.00
Communication 0,000.00 1,500.00
TOTAL P 9,000.00

2. Counterpart for the Government Mandated Benefits: SSS, PhilHealth and HDMF;

3. 13th Month Pay;

4. Coverage of Health and Accident Insurance.

5. At cost travel and transportation expenses.

ARTICLE III: TERMS OF AGREEMENT

1. The ADMINISTRATIVE OFFICER engagement will start on March 1, 2019


and end on February 28, 2020 subject to performance monitoring and evaluation.
Unless terminated by the Parties in writing, this Agreement shall continue in force
and effect until the term of operation of any Party expires and is not extended.

2. The obligations of the Parties under Article I and II hereof shall survive the
termination of this Agreement.

ARTICLE IV: TAX INDEMNITY

1. BMKC shall not be responsible for the payment of income taxes.

2. Employee income tax payable will be withheld or deducted from the employee’s
compensation and will be remitted monthly to Bureau of Internal Revenue.

3. Income tax to be withheld shall be in accordance to the ruling of the Bureau of


Internal Revenue.
ARTICLE V: CODE OF CONDUCT

1. All members of the BMKC and staff are expected to exhibit a professional
attitude based on deeply held Core Values and Principles.

2. Failure to exhibit appropriate conduct could constitute a disciplinary offence and


may result in dismissal.

ARTICLE VI: OTHER POLICIES

1. BMKC observes a zero tolerance policy on fraud, money-laundering and


terrorism, and other acts related to the same. Should the BMKC Manager
perform any act in pursuit of the said objectives, this shall be a cause for his/her
termination.

ARTIVCLE VII: FORCE MAJEURE

1. If a Party is prevented from performing this Agreement or performing it on the


agreed conditions hereunder as a result of force majeure, including earthquake,
typhoon, flood, fire, war, computer virus, design vulnerabilities of tool software,
hacker attack on the internet, changes in policies and laws and other events,
causes or circumstances that are unforeseeable or whose happenings are
unpreventable or unavoidable, such prevented Party shall forthwith notify the
other Party in writing of the occurrence thereof and within thirty (30) days
thereafter, provide the documentary evidences issued by the notarial organization
where the event occurred, explaining the details of the event and the reasons for
its failure to perform this Agreement or its need to delay the performance of this
Agreement.

2. The Parties may negotiate whether or not to exempt part of the obligations
hereunder or delay the performance of this Agreement depending on the effect of
such event of force majeure upon the performance of this Agreement.

3. Neither Party shall be liable to the other Party in respect of the economic losses
incurred as a result of force majeure.

IN WITNESS WHEREOF, we have set our hands on January 18, 2019 at the City of Gingoog,
Misamis Oriental, Philippines.
