REVIEW AGREEMENT

This Agreement is entered into this ______________ at _________________ by and

between:

JROOZ REVIEW CENTER, INC. (JRRCI), a corporation duly organized and

existing under the laws of the Republic of the Philippines, with principal office
address at Unit 1514 Herrera Tower, Rufino corner Valero Streets, Salcedo
Village, Makati City, Philippines, represented in this act by its Chief Operating
Officer (COO), John Francis C. Lalic, hereinafter referred to as the
“CENTER”;

- and -

__________________________, of legal age, Filipino citizen, single/married

with residence at _______________________________________________,
hereinafter referred to as "STUDENT";

WHEREAS, the CENTER conducts a Review Program to prepare registered nurses to take
IETLS (International English Language Testing System) Exam as the CENTER’s preferred
English test examination in relation to satisfying the Computer Based Test (CBT)
requirements;

WHEREAS, the STUDENT, a duly licensed Registered Nurse in the Philippines, desires to
take the Review Program offered by the CENTER;

WHEREAS, the STUDENT voluntarily applies to take the Review Program of the CENTER
and the CENTER accepts the STUDENT’s application subject to the terms and conditions
hereinafter provided;

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties hereto
agree as follows:

1. The CENTER shall provide the STUDENT with review materials and evaluations
prepared by professionals; conduct lessons, sessions and discussions; and give
advice with the end in view of preparing the STUDENT to pass the qualifying exams
for IETLS.

2. The STUDENT shall study diligently and attend the review sessions promptly and
conscientiously.

3. The review materials over which the CENTER has proprietary or intellectual property
rights are the properties of the CENTER and no part of these may be used, sold or
reproduced in any form without the consent of the CENTER.

4. The CENTER commits to provide the desired review services; however, in no way,
should this commitment be construed as a guarantee to the STUDENT to pass the
IETLS Exam nor as a guarantee to get high grades. The STUDENT is still expected to
exert the necessary efforts and take the responsibility in passing the IETLS Exam. The
CENTER shall not be liable for the failure of the STUDENT to pass the IETLS exam.

5. The CENTER reserves the right to expel the STUDENT should he/she exhibit unruly
and disruptive behavior, come to class under the influence of liquor or prohibited drugs,

 carry illegal weapons, misuse the CENTER’S properties, and commit any other
inappropriate or undesirable acts.

6. The STUDENT shall pay the review fee in full within one (1) month and attend the
review classes otherwise all payments including the reservation free will be forfeited in
favor of the CENTER.

7. The CENTER shall charge a review fee of SIX THOUSAND PESOS (PHP6,000.00)
for IETLS Unlimited Program which is payable in the following manner:

A. The STUDENT may pay the review fee of PHP6,000.00 directly to the
CENTER upon enrollment; or

B. The STUDENT may pay half of the review fee or PHP3,000.00 for IETLS
Unlimited Program provided that the balance would be paid by a prospective
employer’s representative. Otherwise, the review fee shall be paid in full by the
STUDENT.

8. The STUDENT shall diligently complete the review program provided by the CENTER
which shall run for three (3) months.

9. The STUDENT must be in attendance for all the days that classes are offered. If the
STUDENT incurs three (3) cumulative absences for reasons other than illness, death
of the STUDENT’s immediate family member, hazardous weather conditions or
calamities, the CENTER shall issue a Warning Letter to the STUDENT. If the
STUDENT incurs four (4) cumulative absences, the CENTER shall issue a Final
Warning Letter. The STUDENT shall be dismissed from the program if he/she incurs
five (5) cumulative absences, without prejudice to the right of the CENTER to require
payment of the full amount of the review fee. Absence due to work shall not be
considered a valid reason.

10. If the STUDENT quits or abandons the review course before its completion for any
reason whatsoever or if he/she decides to terminate this Agreement, he shall be liable
to pay the whole amount of the review fee and in case of non-payment of said review
fee in full, the STUDENT shall be liable for all the court and litigation costs and
expenses including attorney’s fee for any legal action or proceeding initiated for the
collection of such payment and other damages.

11. The STUDENT may be endorsed by the CENTER to take the IETLS Exam on the
condition that:

A. The STUDENT validly enroll to a specific program of the CENTER and

diligently complete the program for the span of 3 months.

B. The STUDENT must take a minimum of three (3) Mock Tests. The
STUDENT should have an average of at least the required band score
needed.

C. The STUDENT must register for the examination through the Marketing
Division of the CENTER not more than a month after the endorsement,
otherwise the endorsement is forfeited.

D. The STUDENT must address the Test Result Form’s (TRF) or any form that
presents the results of the exam, to the CENTER’s Branch where the
Endorsement was received.

E. The STUDENT must personally present the results to the CENTER’s

Branch Coordinator or assigned OIC, where the Endorsement was
received.

12. The STUDENT, after receiving the endorsement and duly registered, must take at least
one (1) Mock Test and Coaching per week until the STUDENT’s scheduled date of
examination.

13. The STUDENT shall maintain the confidentiality of all confidential information provided
by the CENTER and will not use or disclose such Information to others without the
prior consent of the CENTER except for the purpose contemplated herein or when
such use or disclosure is required by order of a court or governmental agency.

14. The parties agree that any legal action or proceeding arising out of or in connection
with this Agreement shall be litigated in the Courts of Makati City only.
