A RESOLUTION
APPROVING, AUTHORIZING AND
MAKING THE APPOINTMENT OF
CORPORATION COUNSEL/VILLAGE ATTORNEY
OF THE VILLAGE OF MAYWOOD

WHEREAS, the Village of Maywood, Cook County, Illinois is a Municipal Corporation

organized pursuant to the Laws of the State of Illinois;

WHEREAS, the Village of Maywood is a home rule unit of local government pursuant to

Section 6(a), Article VII of the 1970 Constitution of the State of Illinois, and as such may exercise

any power and perform any function pertaining to its government and affairs;

WHEREAS, the Village of Maywood has previously adopted a managerial form of

municipal government that is subject to the requirements of Article 5 of the Illinois Municipal Code;

WHEREAS, Village of Maywood Code of Ordinances Title III, Chapter 30 Section 30.05

provides for the appointment of Corporation in the Village of Maywood (hereinafter referred to as

the “Village); and

WHEREAS, the Village Board in conjunction with the Village Manager desire to change

the Village Attorney/Corporation Counsel; and

WHEREAS, it is the desire of the Village Manager, Mayor and Board of Trustees to make

the appointment of the Village Attorney/Corporation Counsel as provided for herein.

NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the

Village of Maywood, Cook County, Illinois, pursuant to its Home Rule Powers, as follows:

Section One - Recitals

The Corporate Authorities hereby find that all of the recitals stated above in the preamble

to the Resolution are full, true and correct and do hereby, by reference, incorporate and make

them part of this Resolution as legislative findings.

Section Two – Termination of Current Corporation Counsel/Village Attorney

The Board of Trustees and Village Manager hereby authorizes the termination of the

current Corporation Counsel/Village Attorney effective immediately. It is further directed that all

files be transmitted to the new Corporation Counsel/Village Attorney, to the extent that the new

Corporation Counsel/Village Attorney determines that it would be prudent for the files to remain

with the current Corporation Counsel/Village Attorney the current Corporation Counsel/Village

Attorney may be permitted to close those respective files.

Section Three – Appoinment Village Attorney

The Village Board of Trustees and Village Manager hereby appoints the law firm of

Ottosen Britz Kelly Cooper Gilbert & DiNolfo, Ltd. to serve in the capacity as Corporation

Counsel/Village Attorney possessing all of the powers and duties assigned to the office and law

department as set forth by the Village of Maywood Code of Ordinances and Illinois Statute,

respectively.

Section Four – Effective Date

This Resolution shall be in full force and effect from and after its passage, approval and

publication as provided by law.

Section Five – Conflict Clause

To the extent that any board actions, ordinances or resolutions are in conflict herewith the

terms and conditions contained herein shall prevail.

Section Six - Publication

This resolution shall be published in book or pamphlet form as provided by the Illinois

Municipal Code.

Section Seven – Saving Clause

If any section, paragraph, clause or provision of this resolution is declared by a court of

law to be invalid or unconstitutional, the invalidity or unconstitutionality thereof shall not affect the

validity of any other provisions of this resolution, which are hereby declared to be separable.

Section Eight – Recording

This resolution shall be entered into the minutes and upon the journals of the Board of

Trustees of the Village of Maywood.
