ROAD FREIGHT QUOTATION FOR FIRST HALF 2016

Dear Sir

Quotation are invited, in formats attached hereto, for movement of finished products packing
material, raw materials, machinery etc., pertaining to HPC & F&B products and other articles
from our various factories/depot/dispatching Units list being enclosed.

The Contract period for this movement is as under-

1. For Normal Open body Trucks – contract period is 01st Feb 2016 to 31st July 2016
2. For Right Truck Type open body trucks - T3/T4/T5/T6- Tender is also published -Contract
Period -01st Feb 2016 to 31st July 2016.

The freight rates will be applicable for movement of finished products from our Units/depots &
Godown location Ex-Hindustan Unilever Limited, a company incorporated under the Indian
Companies Act, 1913 having its Registered Office at Unilever House, B. D. Sawant Marg,
Chakala, Andheri (East) Mumbai-400099, (which expression shall unless repugnant to the
context or meaning thereof, be deemed to mean and include its successors and assigns and
group companies, subsidiaries & associated concerns as communicated to you from time to
time)

During the pendency of this agreement you have agreed to transport goods as per intimation
given by us from time to time either by letter or on telephone at the rates which are mutually
agreed from time to time and on terms and conditions which specifically stated hereinafter.

No escalations in rates or Transit times, what so ever will not be entertained or accepted during
this tenure.

The Terms and conditions agreed to operate are listed below:

The terms and conditions of the carriage are as follows:

1. Rates
a. The Freight rates are INCLUSIVE OF ALL OTHER CHARGES such as
Warai / Thappi, Hamali, Mamul, Goods Tax, Surcharge, Transit Risk etc.
We will make no additional payment for these charges.
b. Volumes mentioned in this Tender are indicative only and may change
disproportionately
c. Base rate Negotiated will be for truck type T2, No additional payment will
be made for T1 (T1 per vehicle freight = T2 per ton rate X 9mt)

d. Rate for T3&T5 will be base rate Minus 5% eg., ( if Negotiated Rate is
Rs100 then payment will be made for Rs 95 for T3 & T5)
e. Rate for T4&T6 will be base rate Minus 10% ( if Negotiated Rate is Rs100
then payment will be made for Rs 90 for T4 & T6)
f. Rate for L1 is 75% of FTL (9mt).
g. The above calculation of freight will not be applicable to the ruck type
T3/T4/T5/T6/T1/L4, where special freight will be agreed as per separate
RFQ of Truck type T3/T4/T5/T6/T1/L4.
h. Carrier has to quote for the freight rates excluding the fuel charges for
Y2/T2 truck type, fuel charges are already indicated in the RFQ and
subject to change during the allotment date if any fuel price change.
Please refer the fuel policy annexure-I.

2. Fuel Variation Clause:

a. Fuel Surcharge Policy as per Annexure-I is applicable to Primary


Transportation contracts except (DD contracts and inward movements)

Fuel surcharge policy as per below -

 The initial fuel surcharge shall be the average of fuel prices of states
that are en-route between source and destination, including source
and destination states. Any revision during the contract period in the
freight rates based on change in fuel price shall become applicable
only on 25th of the month. Freight rates will be revised upward or
downward based on the fuel price variation i.e. the diesel price
change on the basis of the fuel consumption efficiency rate (as
mentioned in Table 2 of Annexure –I ) km per liter of diesel for truck
type (please read the Fuel policy –Annexure-I)

b. Fuel Variation Clause for One Year Contracts (DD and Inward) ending with
31st Jan 2017. For 6months DD and inward contract clause fuel variation
clause is not applicable.
 Initial fuel price reference is based on the fuel prices of respective
factory /depot locations.
 During the contract period, the freight rate revision due to fuel price
variations will be based on the moving fuel price reference as below:
(i) Up to 5% cumulative increase or decrease: There will be no change in
the freight rate.
(ii) More than 5% cumulative increase or decrease: Any fuel price
changes would lead to a revision in the fuel component
proportionately. Such change would be only to the extent of and in
proportion to the Fuel component in the freight rate, which is a
maximum of 35 % of the total freight rate.

3. Terms and conditions of Services

a. The Company and the Transporter shall appoint a representative who shall be
available for day-to-day liaison for the normal operation of this Agreement and
provision of the Services.
b. Each representative may only delegate his responsibilities to any another person
for a particular time period by giving the representative of the other party a
written notice.

3.2 The Company shall forward its demand for the number of vehicles to the Transporter
and the Transporter is bound to arrange for the number of Vehicles requisitioned by
the Company.

3.3 The Transporter guarantees the supply of such number and specification of Vehicles
requisitioned by the Company. The vehicle shall be deployed at such point as the
Company shall direct from time to time.

a. Right truck type placement bonus/Penalty if any shall be mutually agreed


between two parties and will need a prior written approval from company.
b. The transporter has to ensure 100% placement right truck type for TOP
260 lanes as per Annexure –G.
c. Transporter has to submit Quarterly basis a consolidated invoice for right
truck type placement bonus to 3p Cell with an approval of Ultra logistics
(ALM).

3.4 The vehicles shall be driven by properly qualified/ experienced driver having a valid
driving license to drive a commercial/heavy vehicle along with a Helper.

3.4.1 The vehicle must have a helper


3.4.2 The vehicle shall be driven by Double Driver
3.4.3 Ultra logistics will strictly monitoring the adherence of double driver and
helper.

3.5 All expenses incurred for operating the vehicles, salary and wages of the drivers and
other persons accompanying the drivers and any other person engaged by the
Transporter shall be borne and paid by the Transporter.

3.6 The Transporter shall ensure that all vehicles provided by him are road worthy and
are kept well maintained and regularly serviced by the Transporter.

3.7 The Vehicles will be free of protrusions like nails, sharp objects, etc to ensure that no
damage is caused to the Products on account of such nails, sharp objects, etc.

3.8 The vehicles shall be free of malodour of any nature, foreign particles such as
gravel/cement, etc to ensure that then Products do not get contaminated or spoilt.

3.9 In case of half body trucks, the vehicles to be provided with L angles/or any other
arrangement to prevent damage to Products due to rope marks, etc.

3.10 The Transporter shall deploy Vehicles by the cut-off time as communicated by
the authorised representative of the Company. In case of any delay in deploying the

vehicle or the vehicle arriving at the specified location after the cut-off time, the
Company will not be liable to load/unload the Vehicle.

3.11 The Company may ask for replacement of the vehicle deployed by the
Transporter, if the Vehicle is unfit to carry the goods/materials. The Transporter will
be required to provide a new Vehicle in that case within such time as may be
specified by the Company.

3.12 The Company shall communicate with the Transporter over email, phone or
otherwise about the transportation of the goods/materials on a given day. Upon
receipt of the placement and dispatch plan, specified number/type of vehicles shall
be deployed by the Transporter at the appointed date, time and place. Should the
Transporter fail to supply the number/type of vehicles requisitioned by the Company,
the Company shall arrange the number/type of the vehicles short supplied by the
Transporter and any loss/cost incurred by the Company on such account shall be
debited from the Transporter’s account and shall be recovered from the Transporter
only (further details as per clause 3.19)

3.13 After the loading of the vehicle at the starting point is complete, the Transporter
shall be required to sign the office copy of the challan/invoices/notes stating that the
materials/packages loaded on the vehicle is in good order and condition and the
weight has been correctly mentioned in the challan/invoices/notes. The Transporter
shall also be handed over three copies of the challan/invoices/notes. After delivery of
the material/packages at the destination, the Transporter shall retain with himself
two copies of the challan/invoices/notes signed by the consignee and further obtain
rubber stamp of the consignee thereon and handover one copy of the
challan/invoices/notes to the consignee. The Transporter shall submit one of such
signed copies to the Company immediately and the second copy shall be submitted
alongwith the invoice of the Transporter.

3.14 The Transporter shall ensure that the truck base as well as
materials/packages/goods transported or carried in the vehicles are securely
covered with tarpaulin with at least 3 feet overhang to ensure that the
materials/packages/goods are not damaged en-route.

3.15 The Transporter shall ensure that the driver is not under influence of alcohol
/narcotics or psychotropic substances while driving the vehicle or at the time of
performing any Services or while he is in the premises of the Company. The
Company reserves its right to check any person engaged by the Transporter during
the period he is performing any Services.

3.16 The Transporter’s vehicle should reach the destination within a reasonable
anticipated time as per the instructions issued by the Company. The Company may
deduct such amounts from the account of the Transporter as damages in case of
inordinate delay caused by the Transporter in delivery of the consignment.

3.17 The Transporter shall ensure that no vehicles or employee or persons engaged
by him shall remain in the premises of the Company after completion of
loading/unloading of materials/goods. The Company shall have the right to conduct

a search of the employees, agents and vehicles of the Transporter at the entrance or
exit of the premises of the Company.

3.18 Placement of vehicles

i. Vehicles for all indents given by 10.30am (except east) should report at
the dispatching site by 4.00pm on the same day;
ii. In the eastern region for all indents given by 6.00am, the vehicle should
report at the dispatching site by 4.00pm on the same day;
iii. Information on any possible non placement should be communicated to
the Unit logistics executive by 12.00noon;
iv. Where ever indents are received beyond cut off time, the vehicles need
to be placed on the same day on a best effort basis but should be fully
placed by next day 12.00pm;
v. While Company will be taking every effort to unload consignment
received in all our depot on time, detention at receiving depots cannot be
quoted as a reason for non-placement of vehicle.

3.19 Non placement and Open Market

a) The Transporter shall place the vehicle to transport the goods as and when
they are required by the Company.
b) In the event of a Transporter failing to provide a vehicle as requisitioned
within the stipulated time:
(i) the Company reserves the right to engage a vehicle from any other
transport service provider and debit such amounts for the vehicle so
engaged and the differential freight along with a penalty of Rs.500/-
per vehicle and for X1/X5 truck type a penalty Rs 1000, or
(ii) when the Company has not engaged a vehicle from any other
transport service provider, the Company will charge a Penalty of
Rs.1000/- per vehicle per day for non placement of a vehicle by the
Transporter.

3.20 Road permit collections

(i) The responsibility of collection of Sales Tax/road permits wherever applicable is


on the Transporter.
(ii) The Transporter must collect the Sales Tax/road permits before the vehicle
moves from the factory / collection agents’ office.
(iii) Any penalty charged by the Sales Tax authorities is solely to the account of the
Transporter and such penalties will be borne by the Transporter.

3.21 Stacking norms

(i) The stacking in the vehicle will be done by the Transporter. The Transporter will
ensure that the stacking norms are not violated even during transit.
(ii) The stacking norms are 1.5 times the norm mentioned on the common layout for
dispatch (“CLD”) for truck stacking

3.22 Transit time policy

d. Consignments should be delivered within the transit time fixed for each
destination.
e. Transit time in days is defined as date of arrival minus date of dispatch
(STN date).
f. Any consignment that is delivered later than the stipulated time will carry
a penalty @ Rs 650 per vehicle per day and for X1/X5 truck type penalty
per day per vehicle is Rs 1000.
g. Cut off time for calculation of transit time is 12 Midnight.
h. Transit bonus if any shall be mutually agreed between two parties and
will need a prior written approval from company.

3.23 Detention

a. Revised overnight detention charges will be as mentioned in Annexure A.


b. No detention will be paid for that day where the truck reaches after 14.00 hours
at depot or factory destination.
c. In case of dispatches made on Saturday for destinations with one day transit
time, the detention charges as applicable will be automatically payable since the
trucks will be halting on Sunday at the destination.

3.24 Minimum Guarantee & Truck Dimensions

a. The minimum guarantee and vehicle dimensions are given in Annexure A.

3.25 Damage & Shortage delivery policy

a. The Transporter will be responsible for the safety and shall ensure that the
goods, materials, etc., arrive in a good condition at the destination.
b. The Transporter will be responsible and will cover every manner of risk in the
course of the transportation of the goods.
c. In the event of any loss or damage arising in the course of transporting the
goods, it will be the transporter’s responsibility for making good the value of
such a loss or damage to the Company.
d. The recovery of value of goods delivered in damage condition or short
delivery will be recovered from the Transporter as per the table given below:

e. Any shortage or damage found in a sealed vehicle will be recovered from the
Transporter.

f. The loose stock will be handed over to the Transporter upon the Transporter
making good the value of the Products which are damaged in transit.

4. The Transporter Shall ensure that, :

4.1 Upon arrival at any Location, the Transporter shall make the Vehicles available for
safe and damage-free loading and unloading to be carried out. All collection,
transportation and delivery of the Products pursuant to this Agreement shall be
carried out in Vehicles which will be provided by the Transporter or its
representatives in compliance with all requirements set out in clause 3 hereto. The
Transporter shall ensure that the Vehicles are kept in good, clean and hygienic
condition and are regularly cleaned, serviced and are well maintained. All costs
incurred by the Transporter in the provision and maintenance of the Vehicles shall
be treated as part of the Payment;

4.2 The Transporter shall be liable for the security of each Vehicle and its contents while
it is engaged in the performance of the Services at all times and in all Locations. The
Transporter shall ensure that proper systems and controls are maintained to ensure
the safe and secure storage of the Products at all times. The Transporter shall be
liable for damage to or loss of the Products while the Products are in the custody of
the Transporter;

4.3 The Transporter will also be responsible to keep track and deliver pallets, crates and
any other packaging materials, if any required to provide the Services

4.4 Overloading and Clubbing:

a. The vehicle shall not be overloaded beyond its certified capacity of weight and
height and the Transporter shall ensure compliance with the provisions of the
Motor Vehicles Act, 1988, Carriage by Road Act, 2007 and the policy of the
Company in this regard;

b. The Transporters shall not club loads of multiple vehicles into one vehicle;

c. Material of other companies or parties and/or contraband goods will not be


clubbed with the Products of the Company and the same is strictly prohibited.

4.5 Transhipment of Trucks: The Company may allow the Transporter to tranship
vehicles, with the prior written consent of the Company, which consent may be
granted only in the event of circumstances mentioned below:

i. In case of an accident or a seizure of a vehicle, the vehicle may be


transhipped upon prior intimation to the concerned regional/branch logistics
executive;

ii. On specified routes only as may be specified in writing by the Transporter,


which will be duly approved by the Company.

iii. The Transporter will have to fill the “Transhipment Form” for all approved
transhipment and such approval has to be handed over to the designated
executive at the Delivery Location of the Company. The copy of the
transhipment form is attached herewith and marked as Annexure-B;

4.6 The Transporter shall carry out the Services promptly, efficiently and with the high
standard of care, skill and diligence in accordance with best industry standards. The

Transporter shall ensure that it does not and shall procure that none of its
representatives take any action which is detrimental to the business or reputation of
the Company;

4.7 Its representatives observe all operational, health, safety and security rules and
procedures applicable at the Locations which they are visiting;

5. (a) The Transporter represents and undertakes to the Company that throughout the
Term, the Services will satisfy the targets and the minimum standards. In addition, the
parties have agreed to make additional payments to or deductions from the Payments
based on the Transporter’s performance over the periods and in the manner set out in
Clause-9. The Transporter will also be liable to the Company for loss of revenue that the
Company suffers for the Transporter’s failure to meet any of the targets in the KPI
programme for a month or such longer period, as the case may be.

(b) If the Transporter foresees that its Service performance level is going to fall below
the targets, it shall promptly inform the Company in writing in addition to an email to the
Company’s Representative, specifying the nature of the problem, as well as the
proposed solution and the period of time required to solve the said problem and agree
with the Company on the proposed solution to be adopted and the timeframe for
resolving the problem.

(c) Failure by the Transporter to restore the service levels in accordance with the
proposed solution and period of time to resolve the problem in accordance with the
conditions stipulated shall be deemed to be a material breach of this Agreement.

6. (a) The Transporter shall at all times ensure that the Transporter and its representatives,
will in good faith and co-operatively work together with the Company and the other
service providers (including the other logistics and warehouse service providers) in order
to perform the Services in accordance with this Agreement, to optimise the effectiveness
and efficiency of the Company's supply chain.

(b) If, notwithstanding Clause 6(a) above, an actual or threatened dispute arises
between the Transporter and any other service providers which could be reasonably
expected to have a material impact on the level of performance of the Services or any
services provided by the other service providers to the Company, the Transporter shall
then give the Company notice of any such dispute and the Transporter shall resolve
such dispute as soon as possible. The Transporter shall regularly update the Company
as to the progress of the resolution of such dispute and shall provide the Company with
such assistance at the Transporter's own cost as the Company may request to aid any
effort by the Company to help resolve the dispute. The Company shall use its best
endeavours to mediate between the other service providers and the Transporter to
resolve the dispute amicably. Unless otherwise agreed, the other service providers and
the Transporter shall each bear their own cost incurred in respect of such dispute or
resolution. Where it is anticipated that certain aspects of Service need to be changed in
order to resolve the dispute, such change shall be managed in accordance with the
Change Control Procedure set out in Clause 12.3 below.

7. (a) The Company shall execute a duly executed and completed goods forwarding note.

(b) The Company shall be responsible for the correctness of the particulars furnished in
the goods forwarding note.

8. Theft/Misappropriation/Negligence

8.1 The Transporter shall be responsible to the Company and shall compensate the
Company in case of theft, robbery, dacoity or in the event any Products are
damaged on account of negligence of the Transporter as stipulated the Damage and
Shortage Delivery Policy set out in clause 3.25 hereto.

8.2 The Transporter shall be responsible in case of any issue or dispute regarding non-
delivery/short delivery of the Products and such non-delivery or short delivery will
have to be accounted and paid for by the Transporter. In case there is a dispute
between the Transporter and C&FA regarding the loss or damage of Products, the
same shall be resolved between them amicably. The burden of proof is on the
Transporter to establish that the loss is not on his account.

8.3 Any equipment and other items provided by the Company shall be the sole property
of the Company and Transporter shall ensure that the same are carefully handled
and the Transporter shall bear the cost of the equipment and other items in case of
theft of the equipment or any loss or damage is caused to the equipment or other
items due to the negligent use or handling by the Transporter.

8.4 The Transporter shall not have any lien on the Products of the Company
notwithstanding any dispute in respect of the invoices submitted by the Transporter
to the Company or in the event of non-payment by the Company for any reasons
whatsoever.

9. Payment And Invoicing

9.1 The Transporter shall raise the invoice and the Company shall settle the invoice for
the Services as per the freight rates agreed upon for movement of all products.

9.2 Freight Payments

9.2.1 All the payments shall be made through direct transfer/cheque/demand draft
and the Company will mandatorily deduct the statutory TDS. Such TDS shall
be submitted into the PAN number provided by the Transporter.

9.2.2 All costs incurred by the Transporter with respect to charges/taxes like Warai,
Thappi, Hamali, Mamul, Goods Tax, Toll, Surcharge, Transit Risk and other
incidental charges shall be treated as part of the freight rates. The Company
has a Fuel Surcharge Policy which may lead to the upward or downward
revision of the freight rates; the Company shall specify its Fuel Surcharge
Policy in the Addendum, if the same is to be applicable.

9.2.3 In the event that the Transporter fails, refuses or neglects to carry out the
Services to the satisfaction of the Company and/or there are outstanding on
account of damage and shortage to be paid by the Transporter to the
Company, the Company shall, without prejudice to any of its rights or

contentions under this Agreement or in law, be entitled to set-off and adjust
all such unpaid amounts and interest as applicable thereon under the
provisions hereof against the payments to be made by the Company to the
Transporter and in case the amount is inadequate, to claim the balance
amount from the Transporter.

9.3 Invoicing

9.3.1 The Transporter shall submit its invoice in duplicate along with receipted
challans/invoices/notes as the case may be, on completion of such
transactions or services rendered by him to the Company. The Company will
make payment on verification of challans/invoices/notes after thirty days from
the date of submission of the invoice provided the invoice is in order in all
respects. The payment shall be made by an account payee cheque or
through direct credit to the account of the Transporter. The invoice will be
considered for payment only upon the invoice being complete in all respects.

9.3.2 The Transporter shall follow the process set out below:

 Shipment numbers should be mentioned in all the invoices.


 Only 10 shipments should be billed in a single invoice.
 The shipment number has to be mentioned on the top right hand corner of the
STN/invoice.
 The invoice serial should be different for different dispatch sites.
 Payment will be made only against the negotiated vehicle type.
 All multi point drops will require signed approval on the invoice.
 Any amount which is not a part of this Agreement will need prior written .
 Do not mix normal shipments with shipments where Transporter need approval.
 Check the vehicle type mentioned in the STN/invoice as the payment will be
based on the same. If incorrect vehicle type is used then the Transporter may
not receive the payment. This will require sending site confirmation mail and a
signed approval of the logistics team.

9.4 Payment Term:


9.4.1 Payment will be made within 51 days from the date of bill submission

9.5 In case any freight rate revision is agreed between the Parties during the Term of
this Agreement, written approval is required on for all such invoices.

9.6 Upon execution of this Agreement, the Company shall issue multiple instructions
detailing the vehicles that are requisitioned by the Company and which are required
to be placed by the Transporter at such place as intimated by the Company. The
Transporter shall place the vehicles only upon the Company issuing the instructions.
The Company may issue multiple instructions in respect of vehicles to be placed
under this Agreement. Freight payment will be as the rates agreed for all products
and will be made on receipt of invoice from the Transporter, accompanied by proof

9.7.1 FTL = Where rate is negotiated for a truck (FTL)
9.7.2 Rs/tn – MGT = Rate per ton negotiated X Minimum Guarantee of the truck
type as per Annexure-A

9.8 The Transporters need to submit quarterly Nil Claim Certificates for the previous
quarter to HO logistics within 15 days of completion of the next quarter.

9.9 The Service Tax, at the prevailing rate, shall be paid by the Company to the credit of
Central Government under the Service tax regulations.

10. Bank Guarantee

10.1 The Transporter shall execute an unconditional bank guarantee (“Bank


Guarantee”) in favour of the Company for such amounts as may be agreed between
the Parties, which amount shall be not less than Rs. 500,000/- (Rupees Five Lakhs
only). The Bank Guarantee shall be valid for the entire Term of this Agreement and
shall be in a format such that is acceptable to the Company.

11. Business Review Meeting

11.1 Change control procedure

I. If at any time the Company proposes (or the Transporter wishes to propose)
any material modification to the Services or the transport quality
management procedure, the Transporter shall, as soon as reasonably
possible (and in any event within twenty (20) Business Days of the receipt or
submission of such proposal by the Transporter), prepare and deliver to the
Company a Change Control Notice ("CCN") containing the information set
out in Annexure-C (Change Control Procedure) of this Agreement which
shall, in particular, provide an estimate of any change, if any, to the Payment
payable by the Company and/or any consequential amendments to the
Targets in the KPI programme which it reasonably considers necessary if
such modification were implemented by the Transporter.

II. If the CCN prepared by the Transporter is approved by the Company, the
Company shall notify the Transporter and the Transporter and the Company
shall arrange for two (2) copies of the approved CCN to be signed by both
the parties. A CCN signed by both parties shall constitute an amendment to
the Services in this Agreement.

III. If the Transporter and the Company are unable to reach agreement
regarding any proposed modification in accordance with Clause 12.3(a)
above within twenty (20) Business Days of receipt by the Company of the
CCN from the Transporter, either Party shall have the option to refer the
matter in dispute to be dealt with in accordance with the Dispute Resolution
Procedure or to terminate this Agreement.

12.1 The Transporter in providing the Services is acting as a provider of services and
not as principal supplying goods. All the Products in the possession of the
Transporter shall remain the property of the Company and title to the Products shall
not pass to the Transporter at any time. The Transporter acknowledges that the
Company shall at any time be entitled to require the Transporter to deliver up the
Products to the Company or any other person in exercise of its right of ownership. If
the Transporter fails to do so, the Company shall have the right forthwith to enter the
Vehicles or any other premises of the Transporter or its agents where the Products
are held and repossess the Products at the Transporter's expense.

12.2 In the course of its performance of the Services, the Transporter shall, be
required to carry out the collection, transportation and delivery of the Products to and
from any Location in accordance with the transit times set out during this contract
period, in order to ensure the uninterrupted flow of the Products.

12.3 The Transporter shall not in any circumstances seize, block, mortgage, pledge
the Products or otherwise encumber the Products in favour of anyone for any
reason.

13. Nature Of Relationship

13.1 The Transporter is an independent transport provider and not the agent or
employee of the Company. The relation between the Company and the Transporter
is on a principal to principal basis and neither Party will hold out to any party outside
as an agent of the other.

13.2 This Agreement is an “agreement for service”. There is no express of implied


relationship of employer and employee between the Transporter’s representatives
and the Company. The Company will not have any authority to supervise or control
the work of the employees, representatives or subcontractors of the Transporter and
the Transporter shall have exclusive supervision and control over its employees,
representatives or subcontractors. The Company shall, however, verify and ensure
that the Services provided by the Transporter meets the safety, security and other
specifications and requirements as set out in this Agreement.

13.3 Any loss or damage of whatsoever nature attributable to failure or negligence on


the part of the Transporter in complying with the requirements of this Agreement
shall be to the Transporter’s sole account and the Company shall have no
responsibility therefore.

14. Representations, Warranties And Covenants

The Parties hereby represents and warrants that the statements in this Clause are and
shall remain true and correct as of the date of this Agreement and during the Term
hereof.

14.1.1 has and will continue to have all requisite/material approvals, permits,
registrations, consents, etc., as required under applicable laws to conduct its
business as a private carrier and the Transporter is in and will be in
compliance with all regulatory requirements in respect thereof;

14.1.2 has the power and authority to execute and deliver this Agreement and the
Transporter does not require any further authorisation or consent of any party
or any governmental authority. The Agreement, on execution and delivery,
will be a legal, valid and binding Agreement, enforceable in accordance with
its terms;

14.1.3 by the execution and delivery of this Agreement and the promises,
agreements or undertakings under this Agreement has not and will not
violate any applicable law applicable to the Transporter or any intellectual
property rights or related rights applicable to it or violate or contravene the
provisions of or constitute a default under any documents, contracts,
agreements or any other instruments to which it is a party or which are
applicable to it;

14.1.4 by execution of the Services, the Transporter assures the Company that it
shall be able to achieve the delivery of its Products in an effective, prompt,
safe and secure manner and meet the performance parameters including
lead time, quality of delivery and management reporting as stipulated during
the term of this and the Parties agree that failure to meet this representation,
warranty and covenant will be deemed to be a material breach of a
fundamental term of this Agreement;

14.1.5 has the necessary skill, experience, knowledge, personnel, facilities,


Vehicles and equipment to perform the Services in accordance the terms of
this Agreement and shall regularly and promptly maintain and replace all
facilities, Vehicles and equipment used in the provision of the Services so as
to ensure that it is in good working order and efficient;

14.1.6 will ensure that the consignment reaches the destination as scheduled and
agrees that time for delivery of goods is of the essence for the performance
of Services under this Agreement;

14.1.7 shall obtain all the required government approvals, licenses and necessary
permissions required for executing and implementing the provisions of this
Agreement including assist the Company in obtaining any licences,
registrations, permits, etc., if it so requires and shall comply with and ensure
compliance with all applicable laws;

14.1.8 will comply with all rules and regulations at the Locations and shall indemnify
and hold the Company harmless against any damages, claims, losses and
costs arising from breach or non-performance of such obligations or non-
compliance with such applicable laws.

15.1.1 is either the owner or authorised agent of the owner of the Products; and

15.1.2 Represents that the Products comply with the requirements of all applicable
laws and the requirements of any governmental agency relating to the
nature, condition, packaging and labelling of the Products.

16. Compliance Of Law

16.1 The Transporter hereto agrees that it shall comply with all applicable local laws,
circulars, notifications, ordinances and codes in performing its obligations hereunder,
including the procurement of licences, registration, permits, certificates and any
other requirements with regard to its employees or such persons engaged by the
Transporter, and ensure payment of such taxes, licences or any services as may be
applicable for performing Services to be provided hereunder. The Transporter shall
also file such returns and documents as may be necessary for carrying on business
of Services.

16.2 The Transporter shall comply with the provisions of the Motor Vehicles Act, 1988,
Carriage by Road Act, 2007 and any other law for the time being in force in respect
of the Services. The Transporter shall also comply with the provisions of the Food
Safety and Standards Act, 2006, Contract Labour (Regulation and Abolition) Act,
1970, the Industrial Disputes Act, 1947, the Employees Provident Fund Act, 1952,
the Employees State Insurance Act, 1948, the Workmens’ Compensation Act, 1923
and the rules and regulations made thereunder as well as with the provisions of all
other labour and industrial laws, rules and regulations including the laws, rules and
regulations regarding child labour and obtain all permissions, sanctions, permits, no
objections, licences etc., as may be necessary or required in this regard. The
Transporter should ensure timely and full payment of labour dues (minimum wage,
PF, ESIC etc.) to the persons engaged by the Transporter as required as per
applicable labour laws. In case of non-payment of statutory dues by the Transporter,
the Company shall not be responsible or liable for non-payments of such dues.

16.3 The Transporter shall ensure that all vehicles have necessary registration,
permits, insurance, PUC and any other permissions, licences as may be required
under the road transport office guidelines. The Transporter shall ensure that the
driver of the vehicle used for the Services has a valid driving license. The Company
has the right to inspect the documents, permits, licenses of the Transporter, the
vehicles as well as such persons engaged by him to undertake the Services.

16.4 The Transporter shall not directly or indirectly employ any child labour or any
labour below the age of 18 years and above 60 years of age in the operations
carried out under this Agreement. The Transporter is required to furnish proof of age
if so required by the Company.

16.5 The Transporter shall maintain all statutory records and registers and ensure
timely filing of returns which are mandatory under any labour law or any other law for
the time being in force.

16.6 The Transporter will provide the Company access to all information, records and
registers maintained by the Transporter under any labour Law or any other

applicable law for the time being force. The Company will seek access by giving 3
days notice to the Transporter to provide such information, records and registers as
may be required. In the event, the Company requires immediate access to
information, records and registers for regulatory or judicial reasons, the Transporter
will take such necessary steps to ensure that such information, records and registers
are handed over to the Company immediately.

16.7 The Transporter shall solely be responsible for any fines and/or penalties that
may arise for the breach or non-compliance of any law as may be applicable to the
Transporter.

16.8 The Company shall execute a goods forwarding note, in such form and manner
as may be prescribed under the Carriage by Road Act, 2007 and which shall include
a declaration about the value of the consignment and if the consignment has goods
of dangerous or hazardous nature.

17. Sub-Contract

17.1 The Transporter will not sub-contract the Services assigned to him by the
Company to any other transport service provider or sub-contractor without obtaining
the prior written permission of the Company. However, the Company may assign
this Agreement to one of its affiliates or group companies, by giving notice to the
Transporter and the Transporter will be required to provide Services to such affiliate
or group companies as the Company may assign.

18. Safety, Health And Environment Policy

18.1 The Transporter shall comply with and shall ensure that all his personnel, while
carrying on the Services comply with the Company’s Safety, Health and
Environment, policy (“SHE”) which is annexed to this Agreement and marked as
Annexure -D. The SHE Policy is applicable to all the contractors and service
providers associated with the Company and the Transporter will ensure that the
personnel engaged by the Transporter will follow the SHE policy mandatorily. The
Transporter understands that the Company is committed to safety and security of its
personnel and premises. Such safety and security is of the utmost importance to the
Company and in the event, the Transporter or such persons engaged by him breach
the requirements under this Clause, the same will constitute a fundamental and
material breach of this Agreement and consequences for such breach, including
termination, shall follow.

18.2 The Company and the Transporter agree to ensure the safety at the time of
execution of the Services including at the premises of the Company. The
Transporter shall ensure that the workmen engaged by them to drive the Vehicles
or undertake any works related to the Services are in good health, have proper
eyesight and do not have any medical problems which may endanger the life of the
Company personnel and it’s property. The Transporter, upon a request being made
by the Company, shall have any driver or other person medically examined by a
doctor at his cost and shall produce a certificate from a doctor certifying that the said
workmen are medically fit.

18.3 It is further agreed that without such medical certificate, the Company shall not
permit any such person to drive the vehicle or undertake any Services hereunder.

19. Code Of Business Principles

The Company has evolved a “Code of Business Principles” on the practices to be


followed by all the group, associate, and subsidiary companies and affiliates of the
Company, in carrying out its business as well as by all its affiliates, associates and
all parties with whom the Company deals. The Transporter has been furnished with
a copy of Code of Business Principles and agrees to comply with and follow the
Code of Business Principles, which is set out in Annexure-E.

20. Anti Bribery And Corruption

20.1 The Transporter understands that the Company is committed to comply with
Unilever’s anti-bribery policy. The Transporter, therefore, warrants and undertakes to
the Company that the Transporter:

20.1.1 will not offer gift, consideration or benefit of any kind, which constitute illegal
or corrupt practice to any one, either directly or indirectly, as an inducement
or reward for execution of this Agreement;

20.1.2 will comply with Unilever ’s anti-bribery policy as per Annexure-F and may be
amended from time to time;

20.1.3 will ensure that any person who performs or has performed services for or on
its behalf in connection with this Agreement complies with this Clause;

20.1.4 will not enter into any agreement with any person in connection with this
Agreement, unless such agreement contains undertakings on the same
terms as contained in this Clause;

20.1.5 it has and will maintain in place effective accounting procedures and internal
controls necessary to record all expenditure in connection with the
Agreement;

20.1.6 from time to time, at the reasonable request of the Company, will confirm in
writing that it has complied with its undertakings in this Clause and will
provide any information reasonably requested by the Company in support of
such compliance;

20.2 The Company and its authorized representatives shall have the right to enter the
premises of the Transporter and access and copy from time to time the
Transporter’s records and information in connection with the transactions under this
Agreement for the purpose of verifying compliance by the Transporter with this
Clause 21. The Transporter shall give the Company all the necessary assistance for
the conduct of such audit during the Term of this Agreement and for a period of
seven (7) years after such termination.

20.3 It shall notify to the Company as soon as practicable of any breach of any of the
undertakings contained within this Clause of which it becomes aware. In the event,
the Transporter or such persons engaged by him breaches the requirements under
this Clause, the same will constitute a fundamental and material breach of this
Agreement and consequences for such breach, including termination, shall follow.

21. Liability

21.1 The Transporter shall have full and sole responsibility for and shall save and
keep the Company harmless from any claim or liability arising in connection with any
death, physical injury, and damage to property or loss sustained to persons engaged
by the Transporter during the Term of this Agreement.

21.2 The Transporter shall be liable to the Company for the loss, theft or damage to or
obsolescence of the Products, including any mysterious and unaccounted stock
discrepancy which occurs at any time during the period from delivery into the
Transporter’s custody and ending at delivery out of the Transporter’s custody from
as noted in the goods forwarding note. In the event of any claim brought against the
Transporter for the loss, damage or non-delivery of consignment, it will not be
necessary for the Company to prove that such loss, damage or non-delivery was
owing to the negligence or criminal act of the Transporter, or any of his servants or
agents. The Transporter will furnish the Company with reports on all such loss, theft
of, or damage to or obsolescence of the Products.

21.3 The Transporter shall appoint an authorised representative empowered to act on


its behalf at the starting point or the site of work, who shall receive instructions from
the Company or its officers in relation to the Services. However, the entire
responsibility for the Services, including the safe and secure delivery of the goods,
shall be of the Transporter. The Transporter shall also be fully responsible for giving
proper and adequate instructions to the drivers and other staff engaged for the
purpose of the Services. The Transporter or his duly authorised representatives shall
attend the office of the Company whenever required by the Company.

22. Limitation of Liability

22.1 The Company will not be liable to the Transporter under this Agreement for any
direct, indirect or consequential loss or damage (whether caused by negligence or
otherwise) suffered by the Transporter in connection with this Agreement including,
without limitation, any loss or damage in the nature of:

22.1.1 loss of revenues (other than revenues due to the Transporter under this
Agreement);
22.1.2 loss of profits;
22.1.3 lost opportunities, including opportunities to enter into or complete
arrangements with third parties; or
22.1.4 loss resulting from claims against a party by third parties,

Howsoever caused or suffered in connection with this Agreement.

23. Insurance

23.1 Transporter’s Insurance- The Transporter shall insure the vehicles, the drivers
and other persons engaged by the Transporter in respect of death, injuries or
accidents including insurance for third party death, injuries or accidents. The
Transporter shall also take insurance for any death, injuries or accidents that may
occur in the premises of the Company as well as public and product liability
insurance and third party cover for all persons working at or entering any Location
for business purposes. The Transporter shall ensure that the insurance policy is
renewed from time to time and remains valid at all times. The Transporter is required
to furnish the copy of the insurance policy to the Company within 5(five) days of the
execution of this Agreement and shall furnish the copy of the insurance immediately
upon renewal of the same or as and when requested. In the event of any non-
compliance or contravention of the provisions of this Agreement due to the failure or
negligence of the Transporter, the Transporter shall remain fully liable and shall
keep the Company fully indemnified against any risk, consequences or cost arising
thereof.

24. Indemnity

24.1 The Transporter shall keep the Company fully indemnified against any action,
claim or proceeding under the provisions of any Act, Rules, regulations, bye-laws,
notifications, circulars, directions or orders having the force of law for any omission
or commission by the Transporter in contravention of such provisions or for the
infringement or violations by it, in the course of the execution or completion of the
Services as stipulated by the Agreement. If as a result of such action, claim or
proceedings the Company is adjudged liable to any penalty or to pay any
compensation such liability shall be deemed to be the liability of the Transporter and
the Transporter shall be wholly liable for all such penalties.

24.2 The Transporter shall keep the Company indemnified from any loss/damage
caused due to the delay in receiving the requisite permits from the authorities for
undertaking the Services. It shall be the responsibility of the Transporter to arrange
for and obtain any road permit or other permits as may be necessary from the civic,

police or other authorities for the transportation of the consignment. The Company
agrees to render necessary assistance by way of issuing letters, recommendations
etc., in favour of the Transporter to enable the Transporter to obtain the necessary
permits/ approvals.

24.3 The Transporter shall assume all liabilities and hereby keeps the Company
indemnified against any action or suits, claims, cost, damages, charges and
expenses arising howsoever out of the Services covered by this Agreement,
including any liability for death of employees or persons engaged by the Transporter
or any third party, on account of accidents or negligence that may arise on account
of any action by the Transporters’ employees/drivers/workmen and others persons
engaged by the Transporter.

24.4 The Transporter hereby keeps the Company indemnified and shall be
responsible to make good any damage or loss caused to the Company due to
negligence, lack of proper care and caution on the part of any persons engaged by
the Transporter. The driver or other accompanying person in the vehicle (helper)
shall be deemed to be the Transporter’s employees or agents and the Transporter
shall be held responsible for any loss/damage caused due to the actions, omissions
or commissions of such persons.

25. Confidentiality

25.1 In the course of the Services undertaken under this Agreement, the Transporter
may be have access to or may obtain certain Company Information. The Agreement
applies to all Company Information that the Transporter may have access to in
connection the Services. The Transporter is responsible for compliance of this
Agreement by its employees, agents and subcontractors. “Company Information”
means all information that the Transporter, its employees, agents and
subcontractors, receive from the Company or observe or obtain at the Company’s
facilities relating to the sales, distribution, systems used by the Company and its
affiliates, including stockists and agents; facilities, products, capabilities, financial
information, needs, developments and plans of the Company, its affiliates and group
companies. The Transporter will not, and will not permit its employees, agents or
subcontractors to disclose to any third party or to use for any purpose other than
providing Services to the Company and its affiliates and group companies, any
Company Information, without the Company’s written permission (except as may be
required by law or as necessary to provide the Services. The Transporter will hold all
the Company Information in trust for the Company’s sole use and benefit. This
Clause will not apply to information that is publicly known other than through
disclosure by or through the Transporter or its employees, agents or subcontractors.

25.2 The Transporter will not, and will not permit its employees or agents to disclose
to any third party or to use for any purpose other than carrying out the Service to the
Company and its affiliates and group companies, any Company Information, without
the Company’s written permission (except as may be required by law or as
necessary to carry out the Service.

25.3 Neither the Transporter nor the Company will provide or share any commercially
sensitive information related to any third party/competitor and both Parties shall

respect the confidential business information, which information is not in the public
domain or lawfully made available to the Company and could be used to the
Company’s competitive advantage.

26. Termination

During the Term of this Agreement, if the Company is not satisfied of the
performance parameters of the Transporter including lead time, quality of delivery
and Management Information System (MIS), the Company may seek rectification of
such deficiency in Transportation Services by sending an intimation to the
Transporter in writing calling upon the Transporter to rectify the deficiencies within
14 days. If the Transporter fails to provide satisfactory reasons explaining the
deficiencies or in case the Services are not rectified within 14 days of notice being
given to the Transporter, the Company shall forthwith terminate this Agreement. The
Company shall be entitled to make such alternate arrangements and terminate
agreement as it may deem necessary to restore normalcy in operations in the event
of any fraud or misappropriation is detected by the Company or the Transporter
ceases to carry on its business or there is a change in the ownership or organization
of the Transporter or the Transporter become incapable of carrying out Services
under this Agreement or The Company, shall, have the right to terminate this
Agreement, ipso jure by written notice at any time, having immediate effect to the
Transporter, in the event by giving terminate for default or breach of the terms.

27. Notice

27.1 Any notice relating to any alleged breach or non-performance of this Agreement
shall be in writing, and shall be effective upon receipt by a Party hereto at such
Party’s address hereinafter specified when received in person, by certified mail
return receipt or private overnight courier service requiring signature upon receipt.

27.2 Any of the forgoing addresses/ numbers may be changed by notice in writing in
accordance with this Clause.

28. Dispute Resolution

28.1 Any dispute between the Transporter and the Company arising out of or under
this Agreement must be attempted to be resolved mutually by personal discussion
between themselves. Any such dispute shall be referred by either party to a Dispute
Resolution Committee comprising of a member each as nominated by both the
parties respectively by way of written notice, setting out complete details of the
nature of the dispute with supporting documents;

28.2 In the event that the dispute remains unresolved for a period of 30 days after a
reference has been made to the Dispute Resolution Committee, the party aggrieved
shall submit the dispute for mediation to be administered by an independent

Ombudsman appointed by the Company who shall be a retired judge of eminence
and repute. This provision shall continue in full force and effect subsequent to and
notwithstanding expiration or termination of this Agreement.

28.3 Notwithstanding anything contrary to the provisions of this Clause, either party
hereto shall have the right to obtain temporary restraining orders or temporary or
preliminary injunctive relief from a court of competent jurisdiction, provided, however,
such Party shall contemporaneously submit the dispute, controversy or claim for
mediation on the merits as provided herein.

28.4 The Courts of law located at Mumbai only shall have exclusive jurisdiction in the
event of any legal / judicial proceedings.

29. Force Majeure

29.1 Either Party shall not be held responsible for failure or delay to perform all or any
part of this Agreement due to flood, fire, earthquake, draught, war or any other
events, which could not be predicted, controlled, avoided or overcome by the relative
party. However, the Party affected by the event of Force Majeure shall inform the
other party of its occurrence in writing as soon as possible, and, thereafter, send a
certificate of the event issued by the relevant authorities to the other party within 15
days after its occurrence.

30. Severability

If any provision of this Agreement is held illegal or unenforceable by any court or


other authority of competent jurisdiction, such provision shall be deemed severable
from the remaining provisions of this Agreement and shall not affect or impair the
validity or enforceability of the remaining provisions of the Agreement in such
jurisdiction and shall not affect or impair the enforceability of such provision in any
other jurisdiction.

31. General

31.1 This Agreement supersedes any and all of the proposals, prior negotiations,
writings, purchase orders, discussions, contract, agreement, arrangement, terms or
correspondence between the parties, and neither of the parties hereto shall be
bound by any conditions, definitions, representations, or warranties with respect to
the subject matter other than as set forth in this Agreement.

31.2 The Company may appoint more than one Transporter and the Transporter shall
have no claims whatsoever in the event the Company appoints or uses the services
of one or more transporter.

31.3 This Agreement shall not be deemed or construed to be modified, amended,


rescinded, cancelled or waived, in whole or in part, except by written statement
signed by both Parties hereto.

31.4 The Parties represent that the person signing on their behalf has the requisite
authority to sign this Agreement on their behalf and to bind the respective Parties.

31.5 The failure of either Party to enforce any term or condition of this Agreement
shall not constitute a waiver of either Party’s right to enforce each and every term
and conditions of this Agreement. Except as provided herein, no remedy confirmed
by any specific provisions of this Agreement is intended to be exclusive of any other
remedy and each and every remedy shall be cumulative and shall be in addition to
every other remedy given hereunder or now or hereafter existing at law or in equity
or by statute or otherwise.

31.6 This Agreement is made in the English language and will be executed two
counterparts each of which shall be sufficient evidence of the Agreement but all of
which individually shall constitute one and the same instrument.

Each CCN shall contain:

 The reduction or increase, if any, caused by the change, calculated as costs as

change;
 A schedule of payments if appropriate;
 Details of the likely impact, if any, of the change on other aspects of the Services
and KPIs and their associated target values;
 The date of expiry of validity of the CCN (which shall not be less than 3 calendar
months from the date of the CCN); and

Safety, Health and Environment Policy

Safety and Health Policy


For the purposes of this Annexure, the User shall be referred to as “HUL” or “Unilever”.
Hindustan Unilever Ltd. (HUL) recognizes people as its most important asset and is committed
to a safe and healthy work environment impacting those working on, visiting or living near our
operations. Management at all levels will be responsible and will be held accountable for the
occupational safety and health performance of the Company. At the same time it is the duty of
every employee to work in a safe manner so as not to endanger himself/herself or his/her
colleagues at work and during travel. This is a condition of employment.
HUL is committed to make, handle, use, transport, sell or dispose off products, in a safe and
environmentally sound manner. HUL aims to prevent occupational injuries and ill health through
the following actions:
(i) Integrate safety into all business processes. Proactively evaluate risk of occupational
injury/illness and implement actions to mitigate the risk.
(ii) Design, adapt, operate and maintain technology, plants and other facilities within the
designated safety criteria throughout their working life.
(iii) Develop, introduce and maintain safety and health management systems across the
Company to meet concern standards as well as statutory requirements for safety and
health. Verify compliance with these standards through regular auditing.
(iv) Set annual improvement objectives ad targets and review these to ensure that these are
being met at the individual unit and corporate levels.

(v) Inculcate safety as a personal value through behavioural intervention at all levels,
recognition of positive behaviour and continuous correction of unsafe behaviour.
(vi) Involve all employees in the implementation of this Policy and provide appropriate
training.

(vii) Provide for appropriate dissemination of information on safety and health at work and
travel through suitable communication networks both within HUL and among
stakeholders.

(viii) Implement Mandatory Minimum Standards at Third Party co-packers and


dedicated warehouses.

L. Business Integrity

Unilever does not give or receive, whether directly or indirectly, bribes or other
improper advantages for business or financial gain. No employee may offer, give or
receive any gift or payment which is, or may be constructed as being, a bribe. Any
demand for, or offer of, a bribe be rejected immediately and reported to
management.

Unilever accounting records and supporting documents must accurately describe


and reflect the nature of the underlying transaction. No undisclosed or unrecorded
account, fund or asset will be established or maintained.

M. Conflict of Interest

All Unilever employees are expected to avoid personal activities and financial
interests which could conflict with their responsibilities to the company.

Unilever employees must not seek gain for themselves or others through misuse of
their positions.

N. Compliance-Monitoring-Reporting

Compliance with these principles is an essential element in our business success.


The Unilever Board is responsible for ensuring these principles are communicated
to, and understood and observed by, all employees.

Day-to-day responsibility is delegated to the senior management of the religion and


operating companies. They are responsible for implementing these principles, if
necessary through more detailed guidance tailored to local needs.

Assurance of compliance is given and monitored each year. Compliance with the
Code is subject to review by the Board supported by the Audit Committee of the
Board and the Corporate Risk Committee.

Any breaches of the Code must be reported in accordance with the procedures
specified by the Joint Secretaries. The Board of Unilever will not criticize
management for any loss of business resulting from adherence to these principles
and other mandatory policies and instructions.

The Board of Unilever expects employees to bring to their attention, or to that of


senior management, any breach or suspected breach of these principles.

Provision has been made for employees to be able to report in confidence and no
employee will suffer as a consequence of doing so.

In this Code the expressions ‘Unilever’ and ‘Unilever companies’ are used for
convenience and mean the Unilever Group of companies comprising Unilever N.V.,

GUIDELINES FOR SUPPLIERS, CUSTOMERS and THIRD PARTIES

INTRODUCTION

Unilever is recognized worldwide for its commitment to conduct its business with integrity, in a
fully legal and transparent manner, based on the values and principles set out in the Unilever
Code of Business Principles. We hold ourselves against the highest ethical standards and take

GUIDELINES

Transparency International defines corruption as "the abuse of entrusted power for private
gain". This can mean not only financial gain but also non-financial advantages, such as awards,
promise of promotions, decisions of any nature and any other improper advantage.

Bribery is one of the most common forms of corruption. Bribery is broadly defined as: “offering,
giving or receiving, something of value to encourage or reward something which is unfair,
improper or illegal”. Offering, paying or receiving bribes to influence business deals, decisions,
awards or obtain an improper advantage, directly or through a third party, to or from public
officials or private-sector employees, is a breach of our Code of Business Principles.

Therefore Unilever expects suppliers, customers and third parties (including governments or
regulators, state-owned or controlled entities or commercial/private sector business and
organizations) to refrain from providing or receiving payments, services, gifts, entertainment or
other advantages to/from any Unilever employee or third party associated with Unilever which
are intended to influence the way in which the Unilever employee, public officer or third party

Annexure - I
Fuel Surcharge Policy

o Hindustan Unilever is introducing a new fuel policy for the 2016 Open Truck Equipment Type
Tender. This policy will be based on three core principles of freight movement: a lane distance
measurement by mode, a Unilever expected consumption standard by equipment type, state-
specific fuel pricing using Petroleum Planning & Analysis Cell of India (Ministry of Petroleum &
Nat Gas). This policy applies to the rates agreed in this tender.

The 2016 policy is based on the following principles:


 Fuel reimbursement is calculated based on three principles: distance travelled, fuel consumption rate
and pricing of fuel.
o Distance: Each lane will be assigned a total lane distance in kilometres (KM)
o Fuel Consumption: Each lane will be assigned an expected consumption rate as
determined by equipment type and mode of transportation (see Table 2). Calculated litres of
fuel consumed for a lane will be determined by dividing lane distance in kilometres by
Unilever expected consumption rate, by equipment type.
o Fuel Pricing: Road fuel pricing across each lane will be calculated as a straight average
price for the states that have been travelled through. State-specific fuel prices will be based
on prices published by the Petroleum Planning & Analysis Cell of India (Ministry of Petroleum
& Nat Gas)

 ‘Base fuel rate’ is set as 0.000 Rupees/litre. This means Unilever will reimburse all fuel charges outside
of the price for transportation i.e. Linehaul.

o Linehaul is defined as: The total price to move a load excluding fuel.

 The above fuel principles will be applied to determine fuel prices for every freight movement in scope
of the Open Truck Equipment Type tender.
 The fuel reimbursement will be calculated on a monthly basis, with the relevant fuel reimbursement
being applied to the transport rates for the following month.

1.1 Fuel Price Information Source


 The Indian fuel cost in Rupees will be determined using the Petroleum Planning &
Analysis Cell of India (Ministry of Petroleum & Nat Gas)

This can be obtained from http://ppac.org.in/content/149_1_PricesPetroleum.aspx. The table used


is titled Current: State RSP’s of & Diesel.

1.2 Fuel Surcharge Calculation Methodology

encompass the entire fuel costs for the movement based on the stated consumption rates.
Therefore (as an example) the February 2016 invoices will reflect a fuel reimbursement based on
the January 2016 fuel price derived from the Petroleum Planning & Analysis Cell of India
(Ministry of Petroleum & Nat Gas) table; the March 2016 invoices will reflect a fuel
reimbursement based on the February 2016 fuel price and so on to the year end

 It is required to include the fuel surcharge with your standard invoice as an additional line item in
the invoice against each individual transport order
