KNOWN ALL MEN BY THESE PRESENTS:

This Deed of Exchange made and entered into by and between:

represented in this transaction by it’s President/CEO, Mr. Homer Wang
(herein referred to as “FIRST PARTY”);

unless repugnant to the context shall mean and include their

WHEREAS, the FIRST PARTY is the true and registered owner of a

premises, the first party hereby CEDES,TRANSFERS, and CONVEYS BY
WAY OF EXCHANGE, the parcel of land covered and described under

SECOND PARTY and in the same manner, the SECOND PARTY, CEDES,
