WHEREAS, Tagum Cooperative is a democratic organization that is controlled by its


members and adheres to the cooperative principle to conduct its affairs in
accordance with the universally accepted principles of cooperation.

WHEREAS, it is the duty of a member to participate in the parliamentary affairs of the


cooperative, to attend meetings, to obey the rules and regulations provided by
applicable laws, by-laws and decisions of the representative assembly and to
promote the aims and purposes of Tagum Cooperative, the welfare of its members
and the cooperative movement as a whole.

WHEREAS, Republic Act No. 9520 otherwise known as the Philippine Cooperative
Code of 2008 provides for the implementation of Representative Assembly to
cooperatives with numerous and dispersed membership like Tagum Cooperative.

WHEREAS, it is the policy of Tagum Cooperative to provide a system for the conduct
of free, orderly, speedy, inexpensive and honest election of elective Tagum
Cooperative Officers and District Representatives

WHEREAS, Tagum Cooperative recognizes the need of providing guidelines, rules


and procedures to establish consistency in the implementation of election laws within
the cooperative.

SECTION 1. This Code shall be known as the “Tagum Cooperative Election Code”.

I. APPLICABILITY

SECTION 2. This Code shall govern the election of elective Tagum Cooperative
Officers and District Representatives.

II. GENERAL QUALIFICATIONS AND DISQUALIFICATIONS

SECTION 3. Those who seek elective positions as Tagum Cooperative officer and
District Representative must possess, as minimum, the following qualifications:

A. Must be a regular member of Tagum Cooperative for three (3) years prior to the
date of the election;
B. Must be a bonafide resident of the district’s jurisdiction at least six (6) months
prior to the date of the District Election; and
C. Must be a Member in Good Standing for Twelve (12) Consecutive Months
(MTCM) prior to the date of the election.

SECTION 4. The following are disqualified to run as elective Tagum Cooperative


Officer and District Representative:

A. Those holding any elective and/or appointive position in the government that are
political in nature;
B. Those having conflicting interest with the business of Tagum cooperative,
such as:
i. Those who are directly or indirectly involved in the business of lending
money to other persons; and
ii. Stockholders, directors and employees of banks and/or officers of other
cooperatives which are involved in the same line/type of business as that
of Tagum Cooperative, except when Tagum Cooperative is a member or
stockholder thereon.
C. Employees of Tagum Cooperative;
D. Those convicted of any crime involving moral turpitude, gross negligence or
gross misconduct in the performance of their duties or are found culpable in any
administrative cases involving such offenses;
E. Those who were convicted by final judgment relative to anomalies or
irregularities or wrongful acts involving financial and/or property accountability in any
establishment;
F. Those who are disqualified pursuant to the disqualification prescribed by the
proper government agency;
G. Those who have been expelled/terminated and/or have withdrawn their
membership from Tagum cooperative; and
H. Those who have relatives within the fourth civil degree of consanguinity or
affinity who are working as employees of Tagum Cooperative.

III. ELECTIVE OFFICERS OF TAGUM COOPERATIVE

SECTION 5. OFFICERS OF TAGUM COOPERATIVE OCCUPYING ELECTIVE


POSITIONS. The following shall be elected at large and by secret balloting by the
Representative Assembly:

A. Members of the Board of Directors;


B. Members of the Audit Committee;
C. Members of the Election Committee; and
D. Such other positions as hereinafter may be deemed as elective positions
by law or by TC policy, as the case may be.

PROVISIONS COMMON TO ALL ELECTIVE TAGUM COOPERATIVE OFFICERS

SECTION 6. COMMON QUALIFICATIONS AND DISQUALIFICATIONS OF


ELECTIVE TAGUM COOPERATIVE OFFICERS. A District Representative must
have paid the minimum share capital required of elective officers for at least six (6)
months prior to the date of filing of Certificate of Candidacy, who possesses all the
qualifications and none of the disqualifications provided in Title II of this code shall be
eligible for election as Tagum Cooperative Officer.

The following are disqualified to run as Tagum Cooperative Officer:


A. Those who are directors and officers in their individual capacity and
employees of banks or other institutions having similar business with Tagum
Cooperative including primary cooperatives;

B. Those who are relatives of an incumbent member of the Board of Directors or


any incumbent elected or appointed committee member or officer within the 4 th
civil degree of consanguinity or affinity;
C. Those employees who have been terminated for cause are permanently
disqualified to run;
D. Those whose property/properties, whether paraphernal or conjugal, had been
foreclosed by Tagum Cooperative;
E. Those who are business partners or associates in the practice of the same
profession, who by their established actions or decisions proved to be
detrimental to Tagum Cooperative;
F. Those employees who had either resigned or retired from the employment of
Tagum Cooperative within two (2) years from separation, except due to the
cooperative’s reorganization, personnel streamlining or organizational
redundancy;
G. Appointive Tagum Cooperative Officers who have served three (3) consecutive
full terms in the same office are disqualified to run for election unless they
have complied to the one (1) year rest period; and
H. A District Representative who is seventy (70) years old on the date of the
Annual Representative Assembly Meeting (ARAM) is disqualified to run for
any elective position. Likewise, an incumbent Tagum Cooperative officer
turning seventy (70) years old during his/her term shall continue to serve as
such until the immediate Annual Representative Assembly Meeting (ARAM).

The Representative Assembly by way of resolution, through the


recommendation of the Board of Directors and/or the Joint Officials, shall
complement and supplement the herein provisions on qualifications and
disqualification for Tagum Cooperative Elective Officers.

SECTION 7. TRAINING REQUIREMENTS. Training requirements of Elective


Tagum Cooperative Officers shall be in accordance with the rules and regulations
issued by the Authority and by the Tagum Cooperative By-laws. Non-compliance of
the required trainings shall be considered a ground for disqualification for future
election until such time that he/she has complied with all the trainings required for the
position.

SECTION 8. REMOVAL OF ELECTIVE OFFICERS. Any elected officer may be


removed from office for cause by three-fourths (3/4) votes of the District
Representative present and constituting a quorum, at the Representative Assembly
Meeting called for the purpose after having been given the opportunity to be heard at
the said assembly.

SECTION 9. STATUS AS DISTRICT REPRESENTATIVE IS A CONTINUING


REQUIREMENT FOR OFFICERSHIP. Whenever the term of office of a District
Representative has expired, or he/she has resigned, incapacitated or has been
removed by his/her district as District Representative, his/her term of office as
incumbent Elective Tagum Cooperative Officer shall likewise cease.

SECTION 10. FILLING VACANCY IN ELECTIVE POSITIONS. When a vacancy in


the office of an elective Tagum Cooperative Officer occurs by reason of death,

permanent incapacity, removal or resignation, the candidate in the latest immediate


Representative Assembly election for the office declared vacant, who obtained the
highest number of votes next to the lowest number of winning votes shall be
appointed within ten (10) days from date of the occurrence of the vacancy, by the
Board of Directors to the vacant position, if the Board of Directors is still in quorum.
However, if the candidate who obtained the highest number of votes next to the
lowest number of winning votes cannot assume office by reason of his/her refusal to
serve or his/her whereabouts is unknown or is disqualified under the provisions of
this representative assembly, the next candidate who obtained the next highest
number of votes next to the lowest number of winning votes shall be appointed by the
Board of Directors. In all cases, the candidate so appointed must possess all the
qualifications and none of the disqualifications as provided in this code. Moreover,
the candidate so appointed must only serve until the immediate Annual
Representative Assembly Meeting (ARAM).

In the event that majority of the positions of the Board of Directors is vacant,
Special Representative Assembly Election shall be held for the vacant positions,
provided however that such Special Representative Assembly Election shall be
called before ninety (90) days of the next Representative Assembly and those who
are elected shall serve for the unexpired portion of the office vacated.

MEMBERS OF THE BOARD OF DIRECTORS

SECTION 11. DIRECTORS. The Board of Directors shall consist of such number of
members as provided in the by-laws, elected at large and by secret balloting by the
district representatives at the Annual Representative Assembly Meeting. At least sixty
percent (60%) of the Members of the Board of Directors of Tagum Cooperative must
come from Tagum City and the rest may come from the other municipalities, cities
and provinces within the area of operation of Tagum Cooperative.

SECTION 12. SPECIAL QUALIFICATIONS AND DISQUALIFICATIONS. A District


Representative who have been a Director, Secretary of the Board of Directors,
Treasurer, member of the Audit Committee (AC), Election Committee (EleCom),
Mediation and Conciliation Committee or Ethics Committee of Tagum Cooperative or
any duly registered Savings and Credit Cooperatives as certified to and accredited as
a Cooperative-In-Good Standing by the Cooperative Development Authority (CDA)
for at least three (3) aggregate years prior to the Date of Election, are qualified to be
voted upon as Director.

Those who, during their incumbency, had been absent for three (3)
consecutive regular Board of Directors’ Meeting without being excused shall be
disqualified to be voted upon as director. The Board of Directors Secretary shall
provide the Election Committee all the documents without being asked by it with
respect to any unexcused absences of an incumbent Director.

Those employees who had been terminated for cause are permanently
disqualified to run for the Board of Directors. Further, a Staff of any coop federation
or any coop apex organization where Tagum Cooperative is an affiliate are
disqualified from running for the Board of Directors.

SECTION 13. TERM OF OFFICE. The elected directors shall hold office for a term
of two (2) years unless earlier removed for cause or have resigned or become
incapacitated due to illness or death and until their successors shall have been
elected, qualified and have discharged the duties of the office, provided that at any
given time, at least three (3) seats for each gender shall be allotted in the Board of
Directors, provided further, that during the election at the first Annual Representative
Assembly Meeting (ARAM), majority of the Directors obtaining the highest votes
ranked according to the highest number of votes obtained shall serve for two (2)
years and the remaining Directors for one (1) year. Thereafter, all shall be elected for
a term of two (2) years. However, no Director shall serve for more than three (3)
consecutive terms.

A Director immediately after serving three (3) consecutive full terms, shall not
run for elective and apply for any appointive position within one (1) year.

THE MEMBERS OF THE AUDIT COMMITTEE

SECTION 14. MEMBERS OF THE AUDIT COMMITTEE. The Audit Committee


shall consist of three (3) Members who are elected at large and by secret balloting at
the Annual Representative Assembly Meeting.

SECTION 15. SPECIAL QUALIFICATION. All members of the Audit Committee


shall be Certified Public Accountants. If there are no qualified Certified Public
Accountants (CPAS) from the membership of the Representative Assembly to fill the
audit committee, the board of directors shall appoint CPAs from the individual
members of Tagum Cooperative who are likewise Members In Good Standing and
possesses all the qualifications and none of the disqualifications for the office. The
appointed CPAs shall only serve until the election by the Representative Assembly of
a qualified candidate coming from the members of the Representative Assembly, who
shall only serve the unexpired term of the aforesaid office.

SECTION 16. TERM OF OFFICE. Elected members of the Audit Committee shall
have a term of two (2) years or until their successors have been elected and
qualified, provided that during the election at the first Annual Representative
Assembly Meeting (ARAM), two (2) of the members obtaining the highest votes
ranked according to the highest number of votes obtained shall serve for two (2)
years and the other one (1) member for one (1) year. Thereafter, all shall be elected
for a term of two (2) years. However, no Member of the Audit Committee shall serve
for more than three (3) consecutive terms.

No member immediately after serving three (3) consecutive full terms, shall run for
any Elective Position within one year.

THE MEMBERS OF THE ELECTION COMMITTEE

SECTION 17. THE MEMBERS OF THE ELECTION COMMITTEE. The Election


Committee shall consist of three (3) Members who are elected at large and by secret
balloting at the Annual Representative Assembly Meeting.

SECTION 18. SPECIAL QUALIFICATION. All members of the Election Committee


shall be a holder of a four (4) year degree course.

SECTION 19. TERM OF OFFICE. Elected members of the Election Committee shall
have a term of three (3) years or until their successors have been elected and
qualified, provided that during the election at the first Annual Representative
Assembly Meeting, the candidate obtaining the highest number of votes shall serve
for three (3) years, the candidate obtaining the second highest number of votes shall
serve for two (2) years and the candidate obtaining the third highest number of votes
shall serve for one (1) year. Thereafter, all shall be elected for a term of three (3)
years. However, no Member of the Election Committee shall serve for more than two
(2) consecutive terms.

No member immediately after serving two (2) consecutive full terms, shall run for any
Elective Position within one (1) year.

IV. DISTRICT REPRESENTATIVE

SECTION 20. DISTRICT REPRESENTATIVE. A District Representative is a


constituent of a district who was duly elected during the Regular District Meeting to
represent his/her district in the Representative Assembly Meeting.

SECTION 21. QUALIFICATIONS AND DISQUALIFICATIONS. A District


Representative, regardless of age, shall possess all the qualifications and none of
the disqualifications provided in Title II of this Code.

SECTION 22. TERM OF OFFICE. The Term of Office of a District Representative


shall be two (2) years, which shall commence on the Annual Representative
Assembly Meeting following the Regular District Meeting. No District Representative
shall serve for more than three (3) Consecutive Terms.

SECTION 23. REMOVAL OF A DISTRICT REPRESENTATIVE. Any District


Representative during a District Meeting called for the purpose, shall be removed by
a vote of three-fourths (3/4) of the entire Regular Members who are Members in
Good Standing present and constituting a quorum, on the following grounds:

A. Failure to attend the immediate preceding Representative Assembly Meeting


for unjustifiable reason;
B. Non-performance of any functions and responsibilities stated in the by-laws;
C. Any Violation of the provisions of R.A. No. 9520, the By-Laws of Tagum
Cooperative and other issuances of the Cooperative Development Authority
(CDA);and
D. Any acts or omission inimical or prejudicial to the interest of Tagum
Cooperative.

During the same District Meeting, the district shall fill the vacancy caused by
the removal, resignation, incapacity or death of the District Representative and
his/her term of office as incumbent member of the Elective Tagum Cooperative
Officer shall likewise be declared vacant.

SECTION 24. FILLING VACANCY IN DISTRICT REPRESENTATIVE. Unless


otherwise provided in the Bylaws, the board, in case of a vacancy in the District
Representative, may call an election to fill the vacancy or appoint a person to fill the
same subject to the condition that the person appointed shall serve only for the
unexpired portion of the term and possesses all the qualifications and none of the
disqualifications for the office.

V. ELECTION OF DISTRICT REPRESENTATIVES

SECTION 25. REGULAR DISTRICT MEETING. A Regular District Meeting,


attended by all MIGS of the district, shall be held every two (2) years primarily for the
purpose of electing District Representatives. The first regular district meeting shall
be held in 2018.

SECTION 26. ALLOCATION OF DISTRICT REPRESENTATIVES. Representatives


to be elected shall be within the range of one percent (1%) to ten percent (10%) of
the total regular members who are Members In Good Standing (MIGS) in the district,
which number of district representatives to be elected shall be determined by three
fourths (3/4) vote of all the Board of Directors from time to time, which determination
shall be done not later than ninety (90) days prior to the date of the Annual
Representative Assembly Meeting (ARAM).

SECTION 27. CUT-OFF PERIOD IN THE DETERMINATION OF QUALIFIED


ATTENDEES/VOTERS FOR THE REGULAR DISTRICT MEETING. On November
30 prior to the scheduled regular district meeting or at any date set by the Board of
Directors (BOD) upon the recommendation of the Election Committee, the
management shall determine Members in Good Standing (MIGS) who shall
attend/participate in the Regular District Meeting.

SECTION 28. TRANSFER OF A MEMBER TO ANOTHER DISTRICT. A member


may transfer to another district, however, eighty five (85) days before the date of the
district election, no regular member is allowed to transfer to another district and to
vote or to be voted thereon.

SECTION 29. LIST OF QUALIFIED ATTENDEES/VOTERS AND PUBLICATION


THEREOF. The management shall, within a period of three (3) days from November
30 or on December 3 prior to the scheduled Regular District Meeting or at any date
set by the Board of Directors (BOD) upon the recommendation of the Election
Committee, provide the Board of Directors of the list of Members in Good Standing
(MIGS) who shall attend/participate in the district meeting. The list shall be duly
certified by the Chief Executive Officer (CEO) and the Board Secretary.

The Board Secretary shall furnish the Election Committee a copy of the list of
qualified attendees/voters and the same shall be posted on the bulletin of Tagum
Cooperative and other conspicuous places in the districts/area of operations of
Tagum Cooperative which shall not be later than three (3) days from the submission
of the certified list to the Election Committee.

SECTION 30. INCLUSION/EXCLUSION FROM THE LIST OF MIGS. Any member


who wishes to be included in the said certified list of all Members In Good Standing
shall file with the Board of Directors, through the Secretary, a petition for inclusion in
the aforesaid list of Members In Good Standing at least five (5) days before the
Regular District Meeting.

SECTION 31. CERTIFICATE OF CANDIDACY FOR DISTRICT


REPRESENTATIVES. No member shall be elected as District Representative unless
he files a sworn Certificate of Candidacy in triplicate in a form to be prescribed by the
Election Committee.

SECTION 32. SUBMISSION OF CERTIFICATE OF CANDIDACY (COC) FOR


DISTRICT REPRESENTATIVE. Interested qualified MIGS for District Representative
shall file their verified Certificate of Candidacy (COC) before a Tagum Cooperative
personnel deputized by the Election Committee for that purpose. The period of
submission shall be from December 1 to 15 prior to the scheduled Regular District
Meeting or at any date set by the Board of Directors (BOD) upon the
recommendation of the Election Committee.

SECTION 33. SCREENING AND POSTING OF QUALIFIED DISTRICT


REPRSENTATIVE CANDIDATES. The Election Committee shall screen all
candidates for district representative. The Election Committee shall likewise inform
all members who filed a certificate of candidacy whether he/she is qualified or not.
Any member who failed to qualify shall be informed in writing of the ground/s for
his/her disqualification. The period of screening shall be from December 16 to 31
prior to the scheduled Regular District Meeting or at any date set by the Board of
Directors (BOD) upon the recommendation of the Election Committee.

SECTION 34. SCREENING OF AN INCUMBENT MEMBER OF THE ELECTION


COMMITTEE WHO FILES A CERTIFICATE OF CANDIDACY FOR ANY ELECTIVE
POSITION. The qualifications of an incumbent member of the Election Committee
who files a Certificate of Candidacy for any elective position shall be passed upon by
the remaining members of the Election Committee constituting a quorum. In the
absence of a quorum, the same shall be taken up by the Audit Committee . The
Audit Committee shall inform the candidate concerned whether he/she qualifies or
not. In case of the candidate’s disqualification, he/she shall be informed in writing of
the ground/s thereof.
The concerned member of the Election Committee shall not participate in the
screening of candidates and shall cease to serve as Election Committee member in
the district where he/she belongs ten (10) days prior to the date of election.
In the absence of quorum in the Election Committee to function in a particular district,
the Board of Directors shall appoint, upon the recommendation of the Election
Committee, a district provisional election committee, whose function shall cease
immediately after the conduct of the Regular District Meeting.

SECTION 35. POSTING OF QUALIFIED CANDIDATES FOR DISTRICT


REPRESENTATIVE. The list of members who filed their Certificate of Candidacy
and qualified shall be posted in conspicuous places in the districts/branches of
Tagum Cooperative. The list shall be certified by the members of the Election
Committee.

SECTION 36. CAMPAIGN FOR DISTRICT REPRESENTATIVES. A district


representative is not an officer of the cooperative. As such, no campaign shall be
held by candidates for election purposes. It is the obligation of the management and
Election Committee to make known to all members of Tagum Cooperative the
candidates of their respective districts.

SECTION 37. HOLDING OF DISTRICT REPRESENTATIVE ELECTION. The


election of District Representatives shall be held on the occasion of the Regular
District Meeting, held either simultaneously or sequentially, attended by at least 25%
of the regular members who are likewise Members In Good Standing and are
bonafide residents within the jurisdiction of the district. The Regular District Meeting
shall be held not later than sixty (60) days or in the month of January prior to the
holding of the Annual Representative Assembly Meeting (ARAM).

SECTION 38. DEPUTIZATION OF THE INFORMATION AND COMMUNICATION


TECHNOLOGY (ICT) DEPARTMENT OF TAGUM COOPERATIVE. The Information
and Communication Technology (ICT) shall develop an Electronic Voting System
(EVS) consistent with the policy of providing a free, orderly, speedy, inexpensive, and
honest election of elective Tagum Cooperative Officers and District Representatives.
The ICT shall consult the Election Committee in the development of the Electronic
Voting System (EVS) program.

The ICT shall likewise provide a system to serve as database for all district
representatives.

SECTION 39. DISTRICT ELECTION DEPUTIES (DED). The Election Committee


shall appoint, from among employees and members of Tagum Cooperative, such
number of Election Deputies as are necessary to ensure the orderly conduct of
Elections. After the election, their duties and responsibilities shall cease.

SECTION 40. MANNER OF VOTING FOR DISTRICT REPRESENTATIVES. Each


qualified voter may elect maximum of five (5) candidates for District Representatives.
A voter cannot vote twice for the same candidate.

SECTION 41. PROXY VOTING. All qualified voters shall vote personally. Voting by
proxy, as a matter of policy, is prohibited in the election of Tagum Cooperative
Officers and District Representatives.

SECTION 42. GENERATION OF ELECTION RESULTS. After the close of the


voting period, the ICT, in the presence of the members of the Election Committee,
constituting a quorum, shall generate three (3) printouts of the election results. Each
copy shall be certified by the head of the ICT department and at least two (2)
members of the Election Committee. One copy shall be kept by the ICT department,
one shall be furnished by the Election Committee to the Management, and one copy
shall be kept by the Election Committee.

SECTION 43. ELECTRONIC VOTING RESULTS. In the absence of electronic


glitches, the Electronic Voting results as certified by the ICT and the Election
Committee shall be final and not subject to attack/protest by any member of the
Cooperative. Any protest shall not be on the number of votes but on the
qualification of winning candidates and election irregularities.

SECTION 44. MANUAL VOTING SYSTEM. Manual Voting System shall be resorted
to in case of impossibility of implementation of the Electronic Voting System.

SECTION 45. RESOLVING TIES IN ELECTION RESULTS. In case two candidates


obtained the same number of votes, in order to break the tie, a toss coin shall be
resorted to. The candidate who won three (3) out of the five (5) flips shall be deemed
as the winner. The Election Committee shall be the one to toss the coin, but the
candidates concerned, before the start, shall be the one to select which side of the
coin is their respective choice. In the event there are more than two candidates that
have the same number of votes, the concept of raffling shall be applied wherein the
computer system of Tagum Cooperative shall determine the winning candidates.
SECTION 46. PRESERVATION OF ELECTION RESULTS AND TURN-OUTS. The
ICT Department shall submit/turn-over the electronic data storage relative to the
concluded election of Tagum Cooperative Officers and District Representatives for
preservation/safe-keeping purposes until the conduct of the next Annual
Representative Assembly Meeting (ARAM) or Regular District Meeting, as the case
may be. The said electronic data storage shall be sealed and held by the Treasury for
safe-keeping.

SECTION 47. PROCLAMATION OF ELECTED DISTRICT


REPRESENTATIVES. Immediately after the generation of Election Results, the
Election Committee shall announce and proclaim the winning candidates for District
Representatives whose term of office shall commence on the day of the Annual
Representative Assembly Meeting (ARAM).

SECTION 48. THE LEAD DISTRICT REPRESENTATIVE. The lead district


representative shall be the district representative who obtained the highest number of
votes during the last district election. A director who has served his/her three (3)
consecutive full terms of office under the provisions of the Representative Assembly
is disqualified to serve as lead district representative.

SECTION 49. A District Representative who obtained the highest number of votes
and subsequently elected as Tagum Cooperative Officer shall not serve as Lead
District Representative. The candidate who obtained the second highest number of
votes shall serve as the Lead District Representative.

SECTION 50. FAILURE OF THE DISTRICT TO ELECT DISTRICT


REPRESENTATIVES. In the absence of quorum in a Regular District Meeting, no
election can be had for district representatives. During the said district meeting, the
right to send its district representative/s to a particular representative assembly
meeting shall be deemed waived, and such waiver shall be effective until the next
Regular District Meeting. Hence, no district election shall be conducted whatsoever,
to elect district representatives during such period of waiver.

SECTION 51. POSTPONEMENT OF ELECTION. When for any serious cause such
as violence, terrorism, loss or destruction of election paraphernalia or records, force
majeure, and other analogous causes of such a nature that the holding of a free,
orderly and honest election should become impossible in any district of Tagum
Cooperative, the BOD, upon the recommendation of the Election Committee, shall
postpone the election to a date which should be reasonably close to the date of the

election not held or suspended or but not later than thirty days after the cessation of
the cause for such postponement or suspension of election.

VI. ELECTION OF TAGUM COOPERATIVE OFFICERS

SECTION 52. ELECTION OF TAGUM COOPERATIVE OFFICERS, WHEN


HELD. The Representative Assembly shall meet at least once a year within ninety
(90) days after the close of each fiscal year. The Annual Representative Assembly
Meeting shall be held at the principal office of Tagum Cooperative or at any place
within its area of operation and at such time and date as the Board of Directors may
designate. In the occasion of the Annual Representative Assembly Meeting, vacant
positions in the Elective Tagum Cooperative Officers shall be elected at large and by
secret balloting by the District Representatives.

No election shall be held on the Annual Representative Assembly Meeting


unless attended by at least twenty five percent (25%) of all District Representatives.

For the first Annual Representative Assembly Meeting (ARAM), all elective
positions are considered vacant.

SECTION 53. CERTIFICATE OF CANDIDACY FOR TAGUM COOPERATIVE


OFFICERS. No District Representative shall be elected as Tagum Cooperative
Officer unless he/she files a sworn Certificate of Candidacy in triplicate in a form to
be prescribed by the Election Committee.

SECTION 54. SUBMISSION OF CERTIFICATE OF CANDIDACY (COC) FOR


ELECTIVE TAGUM OFFICERS. Interested qualified District Representatives shall
file their verified Certificate of Candidacy (COC) for Elective Tagum Cooperative
Officers before a Tagum Cooperative personnel deputized by the Election Committee
for that purpose. The submission shall be for a period of ten (10) days from February
1 to 10 prior to the scheduled Annual Representative Assembly Meeting (ARAM) or
at any date set by the Board of Directors (BOD) upon the recommendation of the
Election Committee.

SECTION 55. SCREENING AND POSTING OF QUALIFIED CANDIDATES FOR


ELECTIVE TAGUM COOPERATIVE OFFICERS. The Election Committee shall
screen all candidates for Tagum Cooperative elective positions. The Election
Committee shall likewise inform each candidate whether he is qualified or not. Any
candidate who failed to qualify shall be informed in writing of the ground/s for his/her
disqualification. The period of screening shall be from February 11 to 20 prior to the
scheduled Annual Representative Assembly Meeting (ARAM) or at any date set by
the Board of Directors (BOD) upon the recommendation of the Election Committee.

The list of qualified candidates for Tagum Cooperative Officer shall be posted in
conspicuous places in all districts/branches of Tagum Cooperative. The list shall
likewise be certified by the members of the Election Committee.

The Certificate of Candidacy (COC) of an incumbent member of the Election


Committee who files his/her candidacy for any elective position shall be screened by

the remaining members of the Election Committee constituting a quorum. In the


absence of quorum, the same shall be passed upon by the Audit Committee.

SECTION 56. WITHDRAWAL OF CANDIDACY. A candidate may, at any time before


election day, withdraw his/her candidacy.

SECTION 57. WITHDRAWAL OF CANDIDACY and APPLICATION FOR ANOTHER


ELECTIVE POSITION. A candidate may, at any time within the Screening Period,
withdraw his/her candidacy and file his/her Certificate of Candidacy for another
elective position.

SECTION 58. CAMPAIGN PERIOD OF CANDIDATES FOR TAGUM


COOPERATIVE ELECTIVE POSITIONS. Campaign period for candidates for
Tagum Cooperative elective positions shall commence on February 21 or at any date
set by the Board of Directors (BOD) upon the recommendation of the Election
Committee until the day before the Annual Representative Assembly Meeting
(ARAM).

SECTION 59. CAMPAIGN RESTRICTIONS AND LIMITATIONS. All candidates for


Tagum Cooperative Officer shall observe the following restrictions in the conduct of
their respective campaigns.

A. All printed handbills shall have a maximum dimension of four (4) inches by
six (6) inches, or one-fourth size of a long bond/mimeo paper. Only the name
of the candidate and the office, under which he is seeking election including
his/her bio-data, picture and election platform, shall appear. Any fraudulent
statement or information printed in the handbill as to qualification,
achievement, educational attainment, awards and recognition received and
similar material information or statement shall be a ground for disqualification
of the said candidate.

B. The use of print media, television, radios, social media, text blast or other
similar medium of advertisement is strictly prohibited.

C. The giving of money, foods, drinks, unauthorized handbills and other


propaganda materials to a member or voter by a candidate or his/her
representatives during the campaign and, on or before Election Day is
likewise prohibited.

D. T-shirts, personalized calendars, fans, bookmarks, hats and other similar


devices used for campaign gimmicks shall be likewise prohibited.

E. Violation of any of the foregoing restrictions shall be ground for


disqualification and/or removal from office of the said candidate/official.

F. The act of a candidate or of his/her supporters in providing vehicles or any


mode of transportation to voters and/or in paying the transportation

expenses of voters in going to and/or from the venue of election or


Representative Assembly Meeting on the date of election is strictly
prohibited.

SECTION 60. The Election Committee or its deputies shall have the power to
confiscate handbills or any election paraphernalia that do not follow the specifications
herein mentioned.

The Election Committee shall cause the printing of the common election campaign
materials, which shall be distributed together with the Notice of the Representative
Assembly and/or such other means as the Election Committee shall deem fit and
advisable.

SECTION 61. PROHIBITION ON EMPLOYEES. No employee of Tagum


Cooperative shall campaign directly or indirectly for/or against any candidate. Any
employee violating this provision shall be dealt with accordingly by the management.

SECTION 62. PRESENTATION OF CANDIDATES. During the Annual


Representative Assembly Meeting, the Election Committee shall present all qualified
candidates and each shall be given two (2) minutes to present themselves to the
Representative Assembly. The presentation of candidates shall precede the casting
of votes.

SECTION 63. Each district representative must vote personally and shall be entitled
to one (1) vote. The votes of the district representatives shall be considered as the
votes of all the regular members who are Members in Good Standing (MIGS) of the
district they represent.

SECTION 64. The provisions of Sections 42, 43, 44, 45 and 46 shall likewise be
observed in the election of Tagum Cooperative Officers.

VII. POST ELECTION

SECTION 65. PROCLAMATION OF WINNING CANDIDATES. It shall be the duty of


the Chairman of the Election Committee to proclaim the winning candidates
immediately after generation of the electronic voting results. In case the Manual
Voting System is used, the winning candidate shall be proclaimed by the Election
Committee not later than four (4) days from the holding of the Annual Representative
Assembly Meeting.

SECTION 66. TAKING OF OATH. The elected officers shall take their oath before an
authorized officer to administer oath. On the occasion of their Oath taking, the
members of the Board of Directors shall elect from among themselves a Chairman
and a Vice-Chairman. Members of the Audit Committee and Election Committee shall
elect from among themselves a Chairman, Vice-Chairman and Secretary.

SECTION 67. ASSUMPTION OF OFFICE. The elected officers shall take their oath
before assumption of office which shall be not later than ten (10) days from the
Annual Representative Assembly Meeting (ARAM).

SECTION 68. POST ELECTION PROTESTS. Post-election protests on the ground


of election irregularities, such as vote buying, fraud, harassment and similar acts and
violations of campaign rules and regulations shall be filed within three (3) days from
the date of election. The Election Committee shall resolve all protests within the
period of ninety (90) days from receipt by the Election Committee of all pleadings and
documentary or testimonial evidence relative thereto. Failure of a candidate to file
his/her protest within the given period shall constitute a waiver of his/her right to file
the same.

SECTION 69. APPEAL TO ELECTION COMMITTEE’S DECISION ON POST-


ELECTION PROTESTS. The decision of the Election Committee on a post-election
protest may be appealed to the Cooperative Development Authority within fifteen (15)
days from receipt of the decision by the affected party. In the event that the CDA fails
to act on the appeal within 30 days from receipt thereof, the decision of the Election
Committee shall become final and executory.
SECTION 70. REFUSAL TO ASSUME OFFICE BY AN ELECTED OFFICER. Any
elected official who fails or refuses to take his/her oath of office within one month
from his/her proclamation shall be considered vacant, unless said failure is for a
cause or causes beyond his/her control.

VIII. AMENDMENTS

Section 71. Amendment of this Code may be made to conform to the legal orders of
the Authority and Tagum Cooperative By-laws. Amendments shall be upon
recommendation of the Election Committee and approval by two-thirds (2/3) votes
of all members of the Board of Directors.

IX. MISCELLANEOUS PROVISIONS

SECTION 72. . Manual Recount. Any losing candidate who requests for a manual
recount must be a person in interest who stands to be benefited by the outcome of
the recount. He must file his/her request within the period of filing a post-election
protest, and shall pay for the cost of conducting the same. Manual recount is
applicable only when the Electronic Voting System was not used during the election.

SECTION 73. The Election Committee may from time to time issue rules and
regulations in support of the provisions of this Code to govern the conduct of
elections. The committee shall furnish the Board of Directors a copy of the said Rules
and Regulations.

SECTION 74. If any provision of this Code or any part hereof be declared invalid for
being inconsistent with the provisions of Republic Act No. 9520 or the Tagum
Cooperative By-laws, the remainder of the provision, not otherwise affected, shall
remain valid and subsisting.

X. DEFINITION OF TERMS

“Annual Representative Assembly Meeting” means the convergence of all District


Representatives held within ninety (90) days after the close of each fiscal year.

“Authority” shall refer to the Cooperative Development Authority (CDA).

“Code” shall refer to Tagum Cooperative Election Code.

“District” shall consist of one or more barangays, municipalities, cities and


provinces within the jurisdiction of the Tagum Cooperative’s operation, in all cases, a
district must at least have a minimum of one thousand (1,000) Regular Members.

“District Meeting” means the convergence of Members in Good Standing (MIGS)


from their respective districts.

“Employees” include regular, probationary, contractual, casual and project


based employees.

“Member in Good Standing” (MIGS) is one who has paid the minimum share
capital requirement and with no delinquent loan account as of the cut- off date of
November 30 prior to the Regular District Meeting or at any date set by the Board of
Directors.

“Member in Good Standing for Twelve Consecutive Months (MTCM)” is one


who has paid the minimum share capital requirement and with no delinquent loan
account every end of the month for twelve (12) consecutive months prior to the cut-
off date of November 30 prior to the Regular District Meeting or at any date set by
the Board of Directors.

“Regular District Meeting” means the convergence of Members in Good Standing


(MIGS) from their respective districts held every other year primarily for the purpose
of electing district representatives.

“Representative Assembly” shall refer to the full membership of the body of


representative elected by each district of Tagum Cooperative duly assembled for the
purpose of exercising such powers lawfully delegated unto them by the general
assembly in accordance with its by-laws"

XI. TRANSITORY PROVISION

SECTION 76. APPOINTMENT OF PROVISIONAL ELECTION COMMITTEE


(PEC). For the holding of the First Regular District Assembly and First Annual
Representative Assembly Meeting (ARAM), the Board of Directors (BOD) shall
appoint three (3) members of the Provisional Election Committee (PEC) upon the
recommendation of the Election Committee. The PEC shall assume office after the
Screening of District Representative Candidates which shall be held on December
16 to 31, 2017 or at any date set by the Board of Directors (BOD) upon the
recommendation of the Election Committee, until the assumption of office of the
elected members of the Election Committee.

SECTION 77. EFFECTIVITY. This Code shall take effect on ____________.
