THE SPRING GLEN CIVIC ASSOCIATION

By-Laws

ARTICLE I - Name

The name of this organization shall be THE SPRING GLEN CIVIC ASSOCIATION.

ARTICLE II - Area

Boundaries of the Association shall include:

East - Hartford Turnpike from the junction of Waite Street, north, to Skiff Street;

South - Waite Street and Hartford Turnpike, west, including Doren Avenue, Ford
Street, and Walden Avenue, to the bridge at Lake Whitney;

West - Lake Whitney to the Mill River to Skiff Street;

North - Mill River bridge on Skiff Street to Hartford Turnpike.

ARTICLE III - Purpose

This shall be an organization of the citizens of Spring Glen, Hamden and Spring Glen, North
Haven, Connecticut, dedicated to the preservation of the residential character of the
neighborhood, and for the improvement of health, safety, and general welfare of the residents,
compatible with the needs of the community.

ARTICLE IV - Membership and dues

Section 1 Any property owner, any resident, or any owner of an established business within the
Spring Glen Community, eighteen (18) years of age or older, owning property, or living or
located on property within the Association area, shall be eligible for membership in the
Association.

Section 2 There shall be annual dues of $5.00 per member. There shall be annual
membership dues, the amount which will be set by the Executive Board and may be
increased or decreased by an Executive Board vote. Each paid-up member shall be entitled to
one (1) vote. In addition, anyone may seek membership at any time within an annual year, pay
dues and become a member of the Association until April 30 of that year.

Section 3 Annual dues shall may be paid on or before May 1 from April 1 until the Annual
meeting. for the following membership year and In order for an eligible person to vote, s/he
must be a paid member of the Association. member to vote at the Annual Meeting, dues must
be received seven (7) days prior to the date of the earliest possible date of the Annual Meeting.

ARTICLE V - Officers

The officers of the Association shall be PRESIDENT, VICE-PRESIDENT, RECORDING


SECRETARY, CORRESPONDING SECRETARY and TREASURER. No officer shall hold, or
be a candidate for, any political office.

ARTICLE VI - Duties of Officers

Section 1 The PRESIDENT or, in the event of the President’s absence, the VICE-PRESIDENT,
shall preside at all meetings of the Association and of the Executive Board. In the event of the
extended absence of the President, the Vice president shall act as President, or, if the Vice-
President declines, the Executive Board shall appoint an Acting President for the duration.

Section 2 The RECORDING SECRETARY shall keep an accurate record of the proceedings of
all regular, special and Executive Board meetings of the Association and shall keep records of all
reports of Committees given by the Committee Chairperson, after they have been presented to
the Association and acted upon. The Recording Secretary shall report on the minutes of the
previous regular and special meetings of the Association. and shall keep a current list of
members. The Secretary shall be responsible for all written correspondence between
members and others on behalf of the Association. The Secretary shall keep a permanent
file of all publications, documents, papers etc., issued and received.

Section 3 The CORRESPONDING MEDIA SECRETARY shall be responsible for all official
electronic and social media platforms for the Association. correspondence between the
Association and its addressees and keep a permanent file of all publications, documents, papers,
etc., issued and received,

Section 4 The TREASURER shall collect all monies due the Association and deposit them in
the name of the “SPRING GLEN CIVIC ASSOCIATION” in a bank or trust company,
designated by the Executive Board and shall keep regular accounts and submit them to the
Executive Board whenever required. The TREASURER or, in the event of the Treasurer’s
absence, the VICE-PRESIDENT, shall make all disbursements of the Association. Prior to the
Annual Meeting the President shall appoint two (2) members to audit the records of the
Treasurer and these two members shall report their findings, in writing at the Annual Meeting.

Section 5 Each officer shall turn over to their successor within fifteen (15) days following the
Annual Meeting, all monies, properties or effects belonging to the Association.

ARTICLE VII - Executive Board

Section 1 The Executive Board shall be composed of the officers of the Association, the
chairpersons of all standing committees, and the Immediate Past-President.

Section 2 The general management of the Association shall be vested in the Executive Board
and its recommendations on major issues shall be brought before the membership for approval.

Section 3 Any member of the Association, eighteen (18) years of age or older is eligible for
office on the Executive Board.

Section 4 Any member of this Board who is absent for three consecutive meetings without
good cause, shall forfeit his/her office and the Executive Board will appoint a Replacement to
finish the term.

Section 5 The Executive Board may invite any person(s), ex officio (without vote), to attend
Executive Board meetings.

ARTICLE VIII – Committees

Section 1 The Executive Board shall designate the standing committees to the membership at
the Annual Meeting. The standing committees are: Aesthetics, Legal Advisory, Membership,
Planning and Zoning, Communications, Safety and Welfare, and Nominating.

Section 2 The Chairperson of each standing committee shall be appointed by the President with
the approval of the Executive Board.

Section 3 The Chairperson of each standing committee shall be a voting member of the
Executive Board.

Section 4 The appointment of a temporary committee, its Chairperson and members, shall be
the duty of the President.

Section 5 Any Chairperson who is absent for three (3) consecutive meetings without good
cause, shall forfeit his/her chairpersonship.

Section 6 The Executive Board may, at its discretion, appoint an administrator to oversee and
coordinate activities of all standing and temporary committees.

Section 7 The Nominating Committee chair is appointed by the President from one of the
elected members of the Executive Board. This Nominating Committee chair shall choose two
members in good standing of the Spring Glen Civic Association to serve on the Nominating
Committee.

Section 8 The charge of the Nominating Committee is to provide the Executive Board with a
slate of candidates for the Annual Meeting and election.

ARTICLE IX – Elections and Nominations

Section 1 The officers of the Association shall be elected at the Annual Meeting for a term of
one (1) of 2 consecutive years.

Section 2 The President and Vice-President may not hold their respective offices for a period of
more than two (2) consecutive years. The President and Vice-President may not hold their
respective offices for a period of more than two (2) consecutive terms.

Section 3 The Executive Board shall nominate candidates for officers of the Association and
communicate that slate to the membership no less than forty-five (45) days prior to the Annual
Meeting. The Executive Board shall nominate candidates for officers of the Association and
communicate that slate to the membership no less than 15 days prior to the Annual
Meeting. The Executive Board shall accept written nominations from the membership
provided they are received at least 10 days prior to the Annual Meeting. The Executive
Board shall communicate all additional nominations to the membership not less than seven (7)
days prior to the annual meeting. In so far as possible, the Board shall see that all areas of the
Association are represented.

ARTICLE X – Meetings

Section 1 The Association shall meet at least once each year in additional to the Annual
Meeting, normally during the Fall or Winter. Notification of such a meeting will be made at least
one week prior to the date of the meeting.

Section 2 The fiscal year of the Association shall begin May 1 and end on April 30 of each
year.

Section 3 The Annual Meeting shall be held no earlier than May 8 and no later than June 20 of
the each year for the purpose of: The Annual Meeting shall be held no earlier than May 8 and
no later than Sept. 15th of each year for the purpose of:

• Hearing the reports of the officers and committees;


• To elect officers;
• Other purposes.

Section 4 The President, with the advice of the Executive Board, shall set the date of the
Annual Meeting and shall give notice to the membership at least one week in advance of the
Annual Meeting through electronic publication and/or non-electronic means.

Section 5 The Executive Board shall meet, as designated by the President, at least four (4)
times a year.

Section 6 Special meetings shall be called by the Executive Board either on its own initiative or
when petitioned by twenty percent (20%) of the membership.

Section 7 All meetings shall be run according to the latest edition of Robert’s Rules of Order
on all matters not covered in the Spring Glen Civic Association By-Laws.

Section 8 Twenty percent of the membership may petition for a special meeting of the
membership for a possible recall of an officer. At that meeting, a vote of two-thirds (2/3) of the
entire membership shall be required to remove an officer.

ARTICLE XI – Voting

Section 1 A quorum shall consist of the voting members present at any meeting.

Section 2 A simple majority vote of members present and voting at any meeting shall be
sufficient to pass ordinary motions pertaining to regular activities within the Association.

Section 3 A two-thirds (2/3) affirmative vote of members present at any meeting shall be
required for the adoption of any special Resolution.

ARTICLE XII – Amendments

Section 1 Any proposed alteration, amendment, repeal or addition to these By-Laws must be
submitted in writing to the Recording Secretary. After being read by the Recording Secretary, or
designated substitute, at a regular meeting, the proposed alteration, amendment, repeal or
addition must be laid on the table until the next meeting.

Section 2 A two-thirds (2/3) affirmative vote of members present shall be required to authorize
such alteration, amendment, repeal or addition.

attendance at the SGCA meeting held at Spring Glen School Cafeteria
