This agreement is made and executed on this the 18th day of March 2015 at Hyderabad by and
between:
Preface : Whereas the party of first part contacted the second part and proposed to sell his
ancestral utensil (copper vessel) which is a ‘super antique’ & contains some special characteristics
and he in turn, offered it to sell it to a buyer who can make due utilization of the property or do
research on it.
I. Whereas all the 3 parties hereby to enter into an agreement to define future legal obligations &
are bound by a duty of confidentiality with respect to their source and contacts. The purpose of
this agreement is to facilitate the business by both parties in an amicable way as per clear terms
stated herein, for its smooth completion by the representatives of SELLER AND BUYER.
II. Whereas the party of first part contacted the second part and proposed to sell the ancestral utensil
(copper vessel) which contains some special characteristics and he wants to sell it to the buyer
super antique Article who can make due utilization of the property therein or make research on it.
III. THAT the party on the 1st part is absolute owner and possessor of Copper Article namely, Copper
‘handi’ being approximately 7 Kg, with MR 120 inches (approx) and RR 44 inches located at a
farm house near Belgam, Karnataka and has agreed to sell the SUPER ANTIQUE article.

IV. Copper article in shape of ‘handi’ made out of Mixed Copper alloy used for purpose, referred as
the Article/item which he has agreed to sell to the buyers (Second Party) for an agreed price.
V. Seller has conducted the tests of the Item during the course of the Normal packing:
Approximately MR.120 Inch, RR.44 inch, and weight: 7 Kg, also other tests like, TORCH/
FLAME/NEEDLE/ and Mirror Glass test and offered the same tests to the buyer and his tester and
they are free to any kind of test in front of the seller. The transaction/business shall be based on
the above tests only.
VI. Whereas the party of the Second part has expressed their willingness to buy the Article of the
First part the seller subject to satisfactory compliance/fulfillment of the conditions of the sale and
laid by the seller the First part and whereas it is deemed expedient to reduce the convenience in
writing.
Whereas both parties mutually agreed to the below Terms & conditions of this MOU is set forth
hereinafter.
2. THAT the seller/buyer’s tester/scientist will have to open the packed material and give a demo.
‘Seller’ gives unconditional permission for confirmative and final tests by his and/or company’s
authorized person. The item specifications declared by seller is given below:-
3. THAT only 4 persons from the buyer’s side i.e., Tester/scientist along with 3 persons from agents
will accompany ‘Seller’ & ‘Facilitator’ to the testing site and no other person will be allowed at
the testing process. The ‘Buyer’ and his team are free to do the tests during first two days without
unpacking the article and using the copper wire attached to the article. This is to enable ‘Buyer’
to invest money and get AR suits of suitable specifications for opening the packing.

4. On being satisfied or the results being positive during the two tests, ‘Buyer’ will get AR suits and
will open the article on the third day and will conduct final confirmatory test in 3 sets from 8 am
to 3 pm. First confirmative Test between 8.00 AM -9 AM, and other 2 sets of tests between 10.00
AM -4.00PM.
5. THAT once the article tests positive during the confirmative test, ‘Buyer’ tester will pack the
material. Henceforth the safety, custody and security of the material are buyer’s responsibility
during the period of joint custody after token amount of Rs10 cr. is paid at Vijayavada and Rs.10
cr. at Hyderabad after tests on third day. Any mismanagement/ damage to the article during the
transit for Joint custody place will be buyer responsibility only.
6. THAT once the material is confirmed, the buyer will deliver a sum of Rs.10 Crores to the owner
and Rs. 10 crores to the ‘Facilitator’ as above and move the material to joint custody at a suitable
venue in Hyderabad. The ‘Buyer’ shall make restricted and privacy arrangements with security in
the selected floor and rooms of the venue.
7. That official payments will be 80% of the amount to agents, The second party shall invite the
company for all legal procedure for the registration of material with legal agencies in India and
payment to all the beneficiaries as per agreed and the same list to be provided to the second party
for releasing payment through the first party’s companies or the individuals, such payments to all
the beneficiaries mentioned in the list shall be fully paid tax in India and abroad with back up
documents, shall be provided by the company.
8. THAT cash payments shall be delivered as per attached schedule given by ‘Seller’ only.
9. THAT should the ‘Seller’ fail to produce the article for testing or the material fails the test, seller
is liable to pay a sum of Rs. 5 lakhs only and likewise after the positive results of the material, if
‘Buyer’ fails to honor the terms of payments then, the buyer shall be liable to pay a penalty of Rs.
5 lakhs each to the seller and agents through ‘Facilitator’.
10. THAT Mr. ---------------- will coordinate throughout the deal and ensure that till last penny paid
to each individual. The List of beneficiaries will be produced at the time of final Agreement by Mr.
---------------- during the joint custody period.
11. Once the item comes in to joint custody, next day the schedule of the payment will be followed
strictly as tabulated and attached herewith in Annexure-1. (Seller will prepare and give the
location, addresses and names of the persons authorized to receive the money).
12. During joint custody, the custodians will be - two persons by ‘Seller’ and 2 persons by ‘Buyer’ each
with proper ID proof will be nominated for security till the transaction is completed. Declaration
Format for the authorized Joint-custody persons is enclosed herewith in Annex-2.

13. The persons selected by seller in the joint custody will not be allowed to use either land phone or
mobile phones and will not be allowed to leave the JC premises till the transaction completes.
However they will be allowed to talk to their residences once in a day with buyer’s phone. JC
persons should not use Phone and mobile phones, and no movement outside the venue or
contact with persons outside save their family members will be allowed till the transaction
completed. Utmost confidentiality will be maintained by all custodians regarding the article or
the transaction.
14. The transaction will be completed within 60 working days by payment of cash component on
door delivery basis to ‘Seller’ and his agents. The currency paid shall be post 2005 printed only.
All currency will be Rs. 1000/ or Rs.500/ denominations only and each carton box will have Rs.2-
to- 5 Cr. capacity. All the payments will be made as per the mutual consent written down in
Annexure-1. Joint custody would end after payment of sale consideration in full as above.
15. Cost of Joint custody for the Period till the completion of transaction period shall be buyer’s. Full
payment of sale consideration should be made within 60 normal working days from the date of
joint custody. The seller and connected beneficiaries should make their own arrangements to
receive the cash at per the addresses furnished in the schedule.
16. The Item should be packed in full radiation-proof packing in Joint custody with joint lock system
till the completion of 100% payment of sale consideration.
17. Second day onwards if the buyer fail to deliver the subsequent payment and there is no
communication during the normal working days to seller as well Sourcing agents (Media),
continuously for 2 days, automatically the buyer will forfeit the cumulative payment made to
‘Seller’ and ‘Facilitator’ as of that date and the article will be restored to the seller and he will
take over the item and call off the deal.
18. All the payments should be delivered by the buyer as per the schedule. In case the seller or
sourcing agents fail to receive the amounts without any prior communication to the buyer, the
buyer will stop payment and automatically. Fresh schedule will be negotiated between parties.
19. THAT both the parties herein have agreed to work in amicable manner and both the parties herein
shall cooperate with each other as per demand of unanticipated circumstances till the entire deal
is finished.
20. FORCE MAJEURE – In case of circumstances beyond the control of first or second parties due to
natural calamities or law& order problems, the penalty clauses will be inoperative and will
resume immediately after normalcy is restored.
IN WITNESSES WHEREOF both the parties herein have signed and delivered this agreement with their
own free will and consent without any duress or coercion on the day, month and year
aforementioned in presence of the attesting witnesses.
