AGREEMENT TO SALE BETWEEN

Director of M/S BOUTIQUE FASHIONS PVT. LTD Executor :-First party(Seller)

who will be henceforth be referred to as the first party or executor or seller which
includes his heirs, guardian etc.

2) New India Creation :Executee-The Second party (purchaser)

which includes his heirs, guardian etc.

We, the executor do hereby execute this Agreement to sale in favour of you the
executee i.e. purchaser, and bind ourselves that :-

A unit No. F-12 “C” Type constructed on land of Kudasan , District, Gandhinagar,
in Gujarat Garment Co-Op. Industrial Estate Ltd having plot area 72 x 40 sq. feet
construction in which on ground floor 60X.40 sq. Feet &one upper slab construction
total 4225 sq feet built up for which a share certificate No.80 Share No.1641 to
1690 , each share of Rs.100/- such 50 shares dt 16/05/1994 and provisional
allotment letter dtd. 16 /05 /1994 is obtained by executor i.e. seller by way of
ownership.
The said property is decided to be sold to you with all the right which we are having
which will be by way of ownership to you the purchaser, vide the Agreement to Sale
of that property and same is decided to be sold to you on the following conditions.

The total consideration for the said property is Rs. 25, 00,000.00 (Indian Rupees
Twenty Five lakhsonly ) paid us under :

1. We the executor has received this amount from you the purchaser and for that
consideration the agreement is executed and also general Power of Attorney
is executed and this is to be considered as transfer of full amount of
consideration. The vacant and peaceful possession is handed over to you the
purchaser, and you have accepted the same which is admitted and binding to
us.

2. All the taxes of gram panchayat, electricity bills, society maintenance charges
, etc. which have been incurred to the date of this agreement have to be paid
by us the seller. Any liabilities that will be incurred post the date of this
agreement is to be paid by you the purchaser.

3. Now there is no right, title or interest remaining to us or our heirs on this


property, however if found,· it will be cancelled by this agreement.

4. You the purchaser and your heirs are entitled to enjoy this property as you
like, and you can sale gift, mortgage or have right to take telephone and
electric connection, gutter pipe line, etc in this property and along with all
suchright it is sold to you.

5. If in future the government passes any law to legalize this property and any
registered deed is required to be executed and our signature is necessary we
are bound to execute and sign all documents for the same without any
charges and fees. Expenses will be borne by the purchaser.

6. This property was previously not sold to anybody and neither any sale, gift or
mortgage agreement has been executed on this property. , and also solvency
certificate is issued to any person on basis on this property. The said property
is not under attachment and not pledged as surety to any person or institution
and there is no right or interest of any person on this property except us. We
have not taken any loan on this property nor credit mortgage, and by giving
such faith and assurance this agreement is executed. However if any such
matter is found we undertake to get it cleared and it will be our responsibility
for the same.

7. On the basis of this agreement you the executor can get transfer, electric
connection of power company and connection of Municipal Corporation and
any other statutory requirement. If our consent, kabulat, or affidavit will be
necessary we will execute the same without charging any extra amount. The
expenses of these is to be borne by the executor (purchaser)

8. The file of original documents of this property is handed over to you and you
have accepted the same.

This agreement is executed by both the parties voluntarily, without any undue
influence, and of our free consent after reading and understanding the same and it is
binding to us as well as ourheirs and in token to that we have affixed signatures
hereunder in presence of the witnesses and attested by a notary public.
