Broker Agreement
Broker recognizes that Gold Rush Capital USA (“GRC USA”) is a real estate consulting firm
which assists in funding commercial and residential, non-owner occupied mortgage loans for real
estate investors.
Broker is and shall be responsible for being in full compliance with Laws of the state in which
the Broker transacts business.
Broker shall make prompt, timely, full, accurate, and truthful disclosures to GRC USA and
prospective clients.
Broker is an independent contractor and shall not represent itself in any manner to be the agent,
servant, employee, representative, partner, or co-venturer of GRC USA.
Broker acknowledges that they have made GRC USA aware of any previous convictions or
current legal actions related to financial services, fraud, misrepresentation, theft, bribery, perjury,
forgery, counterfeiting, extortion, or conspiracy to commit these offenses.
Broker acknowledges that failure to disclose this information will result in removal from GRC
USA’s Broker Program, and forfeiture of any broker fees currently outstanding on approved
deals.
GRC USA, reserves the right to withdraw a submission and the Broker’s rights to the client if,
after approval, a document package has not been submitted within fourteen (14) calendar days.
Broker shall have no authority to solicit, bind, or commit GRC USA to any contract or
transaction, whether for replacement of a loan or for any other purpose, and Broker shall not
represent in any manner to anyone that Broker has such authority.
Non-solicitation of Employees – Broker agrees that, for a period of two years from the Effective
Date, neither it nor any of its affiliates will, directly or indirectly, solicit or hire for employment
any person who is currently, or at any time during the period commencing on the Effective Date
through the term of this Agreement becomes, an officer or employee of the Disclosing Party.
GRC USA, in its sole and absolute discretion, may elect to accept or reject any mortgage loans
submitted to it by Broker under Agreement. Further, final approval of any mortgage loan is
contingent upon satisfactory completion of GRC USA’s underwriting partners of both the
borrower and the subject property.
GRC USA or Broker may terminate this agreement at any time.
Overall Broker Payment
• Broker will only receive payment if specific loan submitted by broker closes and funds.
• Broker will receive payment only if borrower 1) is not an existing GRC USA client. or 2) Has
not submitted a GRC USA application for specific property in question.
• Broker shall receive payment at the time of funding, disbursed by closing agent.
• GRC USA may cap points to guarantee a fair and reasonable transaction. Points are set upon
approval submission and may not be increased once the file has been transferred to underwriting.
Broker Payment
Broker may charge additional origination points to be assessed on top of GRC USA’s base rate.

Broker Fees for Repeat Clients:
• Broker can charge points on subsequent transactions. Should a dispute in compensation arise,
broker will be notified and encouraged to re-engage client. GRC USA will always support a
mutually beneficial resolution. If dispute continues past reasonable resolution timeline, GRC
USA will proceed with transaction, and the broker will be paid a referral fee.
• All Broker fees are to be added to the company’s overall origination fee, thereby increasing
origination fee above the advertised rate.
This Agreement shall commence on the date of this Agreement.
