AGREEMENT
This Agreement executed on XX-XX-XXXX between Business Associate and SURYA E-BUSINESS
SOLUTIONS PVT. LTD. Having office at PRAKASH NAGAR, VIJAYAWADA-15.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:
SCOPE OF WORK:
The Business Associate will diligently carry out *.jpeg to *.MDB database file format using customized
software. Business Associates will get *.jpg/ *.tiff/ *.PDF on a regular monthly basis along with customized
software.
The Business Associate should submit the converted data, which has been tested for readability and
has undergone the entire quality process and accuracy levels, in accordance to the instructions as supplied,
through mail on monthly basis.
Client will provide workload of 1000 forms/10 days. 11 MONTHS contract period.
TERMINATION:
THE WORK WILL BE CANCELLED UNLESS THE WORK WILL NOT BE
COMPLETED WITHIN 10 DAYS. WE ARE NOT RESPONSIBLE FOR ANY
CAUSES.

The Business Associate accepts that the Client is at liberty to terminate the contract without any
notice to the Business Associate (If any illegal activities done by the Business Associate)

Received one time association fee of Amount INR 5,000/-(Inc. GST)/ONE SLOT.

Each form we will pay 10/- (depending upon your accuracy we will deduct the form payout.)

The Client cannot be held responsible for non-working occurred on account of natural calamity /
change in law / unforeseen circumstances, and claim / representation shall be entertained.

Accuracy and Payments: Client must provide adequate feed back within 10 working days for all data
and on completion of quality check. Both parties agree to assure highest quality of end service.
Following cycle for accuracy will be followed.
BILLING QC REQUIR: 99.1% TO 100% =10,000/-
96.1% TO 99% = 8000/-
92.1% TO 96% = 5000/-
88.1% TO 92% = 3000/-
80% TO 88% = 1000/-

BILLING CYCLE:
After submission you will get Payment
within 5 working days

FOR 1000 FORMS QC REQUIRED FOR 80%ABOVE AND EACH 3 MISTAKES

COUNTS AS 1%.

AND 80% ABOVE ACCURACY ONLY GET THE WORK AND PAYMENT.
IF ACCURACY BELOW 80% or NOT SUBBMITED or LATE SUBMITTED NO
MORE WORK, NO PAYMENT, AGREEMENT WILL BE CANCELLED.

TERMS AND CONDITIONS AGREED BY THE BUSINESS

ASSOCIATE:
The Business Associate accepts that the percentage deduction list for the errors done

Field missing / Extra Text. 1%
Extra space Each 3 errors 1%
Double space 1%

The company decision will be the final on deciding all the disputes.

Accuracy report will be provided in 5 Working Days from the date of submission.
The Business Associate accepts that Payment will be done within 2 working days after you receive the
accuracy report.

The Business Associate accepts the Rejection Criteria (100%):

1. There is difference between the no. of Forms in JPEG file and the MDB file
2. Incomplete/missing Files we will count as entire form as mistake
3. If you are mistake any record number we will count as entire form as mistake.
4. If files received are less than the files delivered to you
5. Based on accuracy more than 60 mistakes the agreement will be canceled.
6. If you are not done min. accuracy agreement canceled we are not consider the correct forms and
not getting any amount to the correct forms.
7. Any conversion software used or excel files used/Database opened.
8. If you are using conversion/software’s data split or merged so the data merged/split agreement
will be canceled.
9. If the database opens that Size of the database increased. So database size increase agreement will
be canceled.
10. If you are not mentioned characters/symbols as per image count as a mistake.
11. If you are not sending correct database files within given time agreement will be canceled.
12. If you are done your work in two or more different systems at a time agreement will be canceled.
13. If Business Associate fails to submit data on time or, If Business Associate fails to give accuracy of
below 80%, Client reserves the right to terminate the agreement with immediate effect. SURYA E-

BUSINESS SOLUTIONS PVT. LTD will not be responsible for any further data and payment to the
Business Associate.
14. No modification of the terms of this AGREEMENT shall be valid unless it is in writing and signed by
all the parties.
15. The Business Associate accepts and agrees to be bound by the said terms and conditions and to
any changes made therein from time to time by the Client at its sole discretion with the notice to the
Business Associate.
16. We are sending this agreement through mail, we are considering your replay as a sign of this
agreement.
17. The Business Associate agrees that, I have no objection to terminate his account for any kind of
illegal activities.
18. The company decision will be the final on deciding all the disputes.
19. No new work chance available. If you fail in your work, agreement will be canceled. No more work
will provide.
20. We are given QC report as per image so QC report is the final.
21. If you are running any shop or company we will terminate without any information. We are not
providing for centers and shops. We are providing only single’s projects.
22. If you are misusing of the software’s and data files or if you are running any shop or center has to
bear penalty of 60,000/-. We are legally proceeding the actions.
23. IF YOU ARE CONTINUING ONE YEAR PROJECT, AFTER ONE YEAR PROCESS FEE IS REFUNDABLE.
24. IF YOU ARE NOT ACHIVE MIN. ACCURACY OR IF YOU ARE NOT SUBMITTED WITH IN TIME PERIOD
OR IF YOU ARE SUBMITTED LATE AGREEMENT WILL BE CANCELED AND PROCESS FEE IS NOT
REFUNDABLE.
25. IF YOU ARE DISCONTINUE YOUR SELF AGREEMENT WILL BE CANCELED NO REWORK CHANCE AND
PROCESS FEE IS NOT REFUNDABLE.
26. All matters subject to Vijayawada jurisdiction only.
WE, the parties have signed this agreement on understanding the covenants explicitly and clearly

USING EXCEL FOR CONVERSION IS NOT ACCEPTED FOR TECHNICAL
REASONS. ANY OTHER CONVERSION SOFTWARE NOT ACCEPTED.
SUBMISSION DATE NOT CHANGEABLE AT ANY COST.
IF BUSINESS ASSOCIATE FAILED TO SUBMIT DATA WITHIN TIME LIMIT OR IF
SUBMIT WITHOUT ACCURACY NO FURTHER WORK AVAILABLE.
