Contract of Lease

This Contract of Lease made and executed at Quezon City, Philippines, this 28 th day of
August 2019, by and between SPOUSES PEDRO M. and PRISCILA B. SALAZAR, both of
legal age, Filipinos, married and with mailing address at No. 147 A-11 Grem Main Street,
Gremville Subdivision, Tandang Sora, Quezon City, Philippines, hereinafter referred to as the
LESSOR.

-AND-

WILSON BAUTISTA, of legal age, Filipino with permanent address at Spazio Condo,
Sauyo, Quezon City and hereinafter referred to as the LESSEE.

WITNESSETH:

In consideration of the payments, terms, conditions and stipulations hereinafter stated, the
LESSOR hereby leases and lets unto the LESSEE and the latter hires, takes and accepts from the
former, certain of the premises known as Unit No. B-12 of Precious Apartelle located at 147
Grem Main Street, Gremville Subdivision, Tandang Sora, Quezon City, Philippines, AS IS
WHERE IS basis, to wit:

1. Period of Lease – the term of lease shall be for a period of one (1) year to commence on
28th of August 2019 and to expire on 27 th August 2020. Without any option by the
LESSEE, it may only be renewed upon such terms and conditions as may be actually
agreed upon by both parties.

2. Rental – The monthly rental of the LEASED PREMISES during the term of this contract
shall be FIVE THOUSAND FIVE HUNDRED PESOS ONLY (P5,500.00) to
commence on 28th day of August 2019 and thereafter payable within the first three (3)
days of each rent-month, without necessity of demand and/or collector but upon
LESSEE’s initiative. The rental rate shall automatically escalate by TEN PERCENT
(10%) on the annual anniversary of the contract if and when renewed.

3. Deposits/Advance Rental – Upon execution hereof, LESSEE shall pay the LESSOR a
security deposit in the sum of ELEVEN THOUSAND PESOS (P11,000.00) only.
Further the LESSEE agrees to pay the LESSOR an advance rental equivalent to one (1)
month or an amount of FIVE THOUSAND FIVE HUNDRED PESOS ONLY
(P5,500.00) only which shall apply for the first month of the lease upon occupancy.

In addition, the LESSEE is also required to deposit the sum of TWO THOUSAND
(Php2,000.00) PESOS for the electricity with independent meter and the sum of FIVE
HUNDRED (PHP500.00) PESOS ONLY for water consumption which is sub-metered.

Deposits are not considered rental payments and delayed payment of rental is considered
a default or violation of this contract. The LESSOR shall return any balance of these
deposits to the LESSEE upon termination of the lease. The same deposits may be applied
by the LESSOR for unpaid rentals and costs of utilities and expenses that may be
required to put the leased premises back to its clean and orderly manner as set out in
Section 17 hereunder, equivalent to one (1) month rental.

4. Purpose - The LESSEE hereby expressly agrees and warrants that the leased premises
shall be use solely and exclusively as his RESIDENTIAL ABODE. No commercial or
professional undertakings, product storage and unlawful activity shall be done within the
leased premises.

Furthermore, the LESSEE shall not make or permit any unnecessary disturbing noises
within the leased premises caused by himself or by persons under his control. Nor permit
anything to be done by himself or by persons under his control which will interfere with
the rights, comforts and convenience of the other tenants, and acts contrary to law.

Occupancy- The regular occupants shall not be more than 2 persons namely Wilson
Bautista and Mart Bautista without substitution. Visitors may be allowed if registered
and previously cleared by the LESSOR. No overnight staying of visitors is allowed
unless registered with the LESSOR and surcharge of Five Hundred (Php500.00) Pesos
for 3 days or less per visitor is paid in advance. Girl-friends or boy-friends (transgender)
are not allowed.

Entry/Exit Policy – No curfew is impose within the premises of the Precious Apartelle.
However, tenants are advice to personally open the gate upon entry and ensure to close it
after passing through for the security of all concerned. No outsider or guests is permitted
to enter in the premises unless accompanied by tenant and registered with the Lessor.
Utmost care should be exercise in handling their keys to avoid unnecessary disturbance
(ringing the door-bell of Unit 17).

5. Animals – The LESSEE is not allowed to raise animals, fowls and pets within the
premises.

6. Sublease, Transfer of Rights - The LESSEE shall not transfer its right to any third party
nor sublease wholly or partly its premises. For long absence LESSEE shall notify
LESSOR in writing for necessary arrangement.

7. The LESSEE shall pay for electricity, water consumption, telephone, village association
dues and other utility service. Access for telephone, cable TV, and internet may be
availed-of and coordinated only with Mr. Gerardo B. Salazar Lessor’s son at Unit 17, No.
B-5 Don Felipe Pillarville Subdivision, Tandang Sora, Quezon City, Philippines. In this
connection, the LESSEE hereby authorizes the LESSOR to immediately cut-off, for and
in behalf of the LESSEE, the supply lines for the said services in the event the LESSEE
fails to pay or settle the bills therefore. The LESSOR will not the responsible for the
availability of electricity, water and utility services beyond the LESSOR’s normal
control.
8. Alteration, Installation, Addition, Improvements – The LESSEE shall not make any
repairs, alteration, installation, nor put any nail on the wall of the premises. However,
additional improvements may be allowed with the written consent of the LESSOR and at
the LESSEE’s expense. And if and when the premises are vacated the fixed
improvements made may not be removed as they automatically become the property of
the LESSOR.

9. Prohibitions – The LESSEE shall not bring into the building any highly inflammable or
explosive materials nor install any machinery or equipment thereat. No cooking on fossil
fuel is allowed inside the leased premises. The LESSOR has the right to make surprise
inspection at appropriate times. LESSEE shall not disclose in any manner this contractual
relationship to whomsoever without the LESSOR’s consent.

10. Government Regulations – The LESSEE shall comply with all laws, ordinances and
orders required by any branch of the local and/or national government and in no case
shall the LESSOR be held liable to the LESSEE and other persons, for natural injuries
and accident claims arising from the use of the leased premises.

Also, if the LESSEE improves the premises, any corresponding fees so required by the
national and/or local government shall be borne by LESSEE which covers electric plans,
wiring, plumbing, building permits, etc. Upon termination all movable furniture and/or
fixtures shall be taken by the LESSEE without creating damages to the unit or the
premises.

11. Maintenance and Repair – The LESSEE has inspected the leased premises and found
the same in good and tenable condition. As such the LESSOR shall not be liable for any
damage or damages suffered by the said LESSEE. This includes, but is not limited to any
damage done or from plumbing gas, water, or pipes or the bursting, leaking or running of
any cistern tanks, washstands, water closet or water pipes in, above or said premises nor
from any damages arising from acts or negligence of the LESSEE or his agents,
employees, representatives and/or other tenants and/or other persons whomsoever.

12. Thefts – The LESSOR shall not be held accountable or liable for any loss or damage that
may be suffered by the LESSEE by reasons of thefts, robbery and/or other crimes.

13. Penalty in case of Breach – In the event of any suit between the LESSOR and the
LESSEE for any enforcement of any stipulation of this contract, or of the right of one
party hereunder against the other, the LESSEE shall pay the LESSOR attorney’s fees
which shall not be less than Php1,000.00 for services before the City Court, nor less than
Php3,000.00 for services before the regional trial court and not less than Php 5,000.00 for
service before the appellate court in additional to other damages, expenses and cost of
suit.

14. Binding Effect – This contract of lease shall be binding not only upon the parties but also
their respective heirs, successors and assigns.
15. If the LESSEE defaults for no valid reason in fulfilling any of the major covenants of this
lease, or if the demised premises become vacant or deserted, the LESSOR in addition to
such remedies he may be entitled to under t he law, may serve a written notice of
cancellation of this lease and the terms thereunder shall end and expire but LESSEE
shall remain liable for the unpaid rental and shall automatically forfeit to the LESSOR as
liquidated damages the deposit made by LESSEE pursuant to the stipulation made on
page 1 hereof, without prejudice to the LESSOR’S right to indemnification for such other
damages occasioned to the LESSOR on account of such default by LESSEE. Moreover,
in the event of such default, the LESSEE hereby authorized the LESSOR to padlock the
premises and prevent the LESSEE and/or LESSEE’s representative from entering the
same. LESSOR or its authorized representative shall have the right to take possession of
the leased premises without resorting to any court action, to remove all fixtures, articles
or all movable properties found therein and transfer and deposit same in a warehouses, or
storage are designated by LESSOR. All storage costs to be for LESSEE’s account, to
lease the premises to any other party or entity, otherwise to take such steps to protect
LESSOR’s interest in accordance with the provisions with this agreement. Any violation
by the LESSEE of any provisions of this lease is considered absolute ground for the
cancellation of this contract.

16. The LESSEE will not abandon the leased premises. Should the LESSEE maintain the
premises closed for a period of 30 days or more without prior notice in writing to the
LESSOR, this will be considered abandonment on which case the right of the LESSEE to
occupy the premises shall be forfeited and LESSOR shall have the right and authority to
take all actions and remedies as specifically provided in paragraph 17 of this agreement.

17. Return of the Lease Premises – Upon the termination of this contract for any reason
whatsoever, the LESSEE shall immediately vacate the LEASED PREMISES and return
possession thereof to the LESSOR, sixty (60) days prior to the return of the LEASED
PREMISES, the LESSOR may affix a “FOR RENT” sign on the subject premises and
may show the premises to prospective tenants during those sixty (60) days at a reasonable
hours and with notice. The LESSEE shall return the LEASED PREMISES to the
LESSOR in a clean and orderly manner. Cost of such cleaning shall be for the account of
the LESSEE the necessary repairs and interior repainting.

18. Pre-termination- If the LESSEE decides to pre-terminate the Contract of Lease before
its expiration date with a sixty (60) day written notice, a 30 day lease penalty will be
charged to the LESSEE’s account. If no written notice or less than 60 day written notice
is received by the LESSOR before the LESSEE’s intended moving out, a 60 day penalty
will be charged to her account.

19. Destruction of Leased Premises – The LESSOR is not liable for any damage or
damages suffered by the LESSEE whenever the said LEASED PREMISES or any
essential part thereof shall be destroyed by flood, fire, earthquake, war, civil disturbances
or other calamities.
In case the LEASED PREMISES is totally destroyed or, on being rendered unfit for any
further tenancy as caused by the same this immediately terminates the Contract of Lease
and in case of partial destruction, the LESSEE shall inform the LESSOR in writing
whether he shall elect to remain or terminate the Contract of Lease within the twenty (20)
days after destruction or injury.

IN WITNESS WHEREOF, the parties hereof have signed this presents in Quezon City,
Philippines on 28th of August 2019.
