WHEREAS vide an Agreement/Work Order No . ------------------------------------ dated ------------- (hereinafter

referred to as the said “Contract/Order”), M/S O.P. JINDAL GLOBAL UNIVERSITY (hereinafter called
University) have awarded the work of ---------------------------- in ------ Block at O.P. Jindal Global University
located at Village Jagdish pur, Sonipat-Narela Road, Sonipat, Haryana, to M/s ----------------------------, a
company incorporated under the provisions of the Companies Act, 1956, having its registered office at
------------------------------------------------------------------ hereinafter called the said “Contractor”, which
expression shall, where the context so admits, include the said M/s -------------------------------------, its
respective Boards of Directors, its executors, administrators, representatives, successors in office,
successors in interest, and assigns etc.), on the terms & conditions mentioned in the said Contract/Order.

AND WHERE AS the University has agreed to pay to the said Contractor a sum of Rs.-----------/-(Rupees
----------------------------) as PERFORMANCE being 05% of the contract value for the purpose of work broadly
consisting of -------------------------- as per Contract/Order No. ------------------------------- dated --------------------

AND WHERE AS the said Contractor has agreed to refund you the said performance and/or the
balance/un-recovered sum in the event of the said Contract/Order being terminated or coming to an end
for whatever reason or any defect, shortfall or deficiency is found by you in the material installation/goods
supplied by the Contractor. Your decision regarding the Liability and the amount payable under this Bank
Guarantee shall be final and conclusive.

NOW in consideration of the premises and at the request of the said Contractor, We , ------------------ having
its registered office at ----------------------------, and acting through its branch office at Show Room No.
----------------------------------, (hereinafter referred to as “the Bank”) do hereby absolutely irrevocably and
unconditionally guarantee (as primary obligor and not merely as surety) that in the event of the said
contractor failing, neglecting or refusing for any reason whatsoever to execute the said work as per your
Order/Contract No. --------------------------------- dated ----------- or to perform any other obligations under the
work order/Contract and/or to refund and repay to the University, by banker’s cheque / demand draft
favoring “M/s O.P. Jindal Global University” payable at Sonipat, the said sum of Rs.----------/-(Rupees
---------------------- Only)upon the termination of the said Contract/Order or it coming to an end for
whatever reason or any defect, shortfall or deficiency is found by You in the material/goods supplied by the
Contractor, we shall pay to the University without any protest, objection or demurrage or raising any
dispute or contention whatsoever the sum of Rs.----------/-(Rupees ---------------------- Only)or any sum or
sums which may, from time to time, be demanded by the University up to a maximum Rs.----------/-
(Rupees ---------------------- Only) Such written demand by the University shall be final and conclusive of the
failure, neglect, default or refusal by or on the part of the said Contractor as well as with respect to the
amount payable under this Bank Guarantee.

We, the guarantor, expressly agree that our liability and obligations under this guarantee shall be absolute,
unconditional and irrevocable irrespective of (i) any dispute or difference of whatsoever nature between
the said Contractor and the University under the said Contract/Order or any claim or contentions of
whatsoever nature of the said Contractor made under or in pursuance of the said Contract/Order (ii) any
invalidity, illegality, irregularity or unenforceability for any reason of the said Contract/Order. (iii) any other
circumstances and considerations which might otherwise constitute a legal or equitable discharge or
defense of a surety or guarantor including without limitation, any failure, omission or delay in the
enforcement by the University of any of the obligations of the said Contractor under the said
Contract/Order.

Our liability as guarantor under this guarantee shall not be discharged, released, altered or otherwise
affected in any manner by reason of any arrangement or compromise made between the said Contractor
and the University or by any time forbearance or other indulgence whether as to payment performance or
otherwise given or agreed to be given by the University to the said Contractor in respect of all or any of its
obligations under the said Contract/Order and We (as primary obligor and not merely as surety) expressly
waive indulgence of any kind whatsoever as well as any requirement that the University exhaust any right
or any remedy to take any action against the said Contractor under the said Contract/Order or otherwise
and We hereby expressly consent to any extension of the duration of this guarantee as requested by the
said Contractor. Without prejudice to the generality of the foregoing, We hereby expressly and irrevocably
waive all claims for waiver, release, surrender and compromise and all defenses of set off, counter claims,
recoupment’s and reductions, limitations and impairments.

We, the guarantors, hereby expressly agree that we shall not be discharged or released or altered or
impaired or affected in any manner by any change in the constitution or structure of our Bank or by
merger or amalgamation by our Bank with any other Bank, Company, Corporation or Body.

We hereby expressly agree that our liability hereunder shall not be discharged or released or altered or
impaired in any manner by any change in the constitution structure or powers of the said contractor or of
the University.
We, the guarantor, absolutely irrevocably and unconditionally agree that (a) the University shall be entitled
to enforce this guarantee without making any written demand on or taking any action or proceedings
against the said Contractor and (b) the guarantee herein contained shall be continuing during its currency
and as such shall remain in full force up to -------------, virtue and effect and shall be binding in accordance
with its terms on us and enforceable against us.

Notwithstanding anything contained hereinbefore, We, ----------------, -------------------------------,, hereby

irrevocably and unconditionally undertake to pay the University, by banker’s cheque / demand draft
favoring “M/s O.P. Jindal Global University” payable at Sonipat, on written Demand without protest or
demurrage or proof of condition, any and all amount demanded by the University in writing, with
reference to the guarantee and that the liability of the Bank, under this guarantee is restricted to.
Rs.---------------------/-(Rupees ------------------------- Only). Our guarantee shall remain in force until
---------------- and unless a demand or claim under the guarantee is made on us in writing during the
continuance of this guarantee or within 30 (Thirty) days after the aforesaid date. The Guarantor will not
revoke or alter this Bank Guarantee during its currency without prior written consent of the University.

Notwithstanding anything contained herein above;

a) Our liability under this bank guarantee shall not exceed Rs.--------/-(Rupees

b) This bank guarantee shall be valid up to ------------------- (Expiry Date); and
c) We are liable to pay the guaranteed amount or any part thereof under this bank
guarantee only and only, if a written claim or demand is served on the bank on or

d) Thereafter the bank shall stand discharged from all its liability under this guarantee
and all your rights under this guarantee shall stand extinguished, irrespective of the
fact whether the guarantee in original is returned back to us or not

its currency except with the previous consent of the Beneficiary (OPJGU) in writing.
