AGREEMENT

THIS AGREEMENT made and entered into at _____________ this ______ day of ________________
__________ , between _________________________________, presently residing at
_____________________________________________________________, hereinafter referred to as
"the LICENSOR" (which term shall include his/her heirs, executors, administrators and assigns) of the
One part and IDBI Bank Ltd., a company incorporated under the Companies Act, 1956 (1 of 1956) and a
banking company within the meaning of Section 5 (c) the Banking Regulation Act, 1949 (10 of 1949)
having its Registered Office at IDBI Tower, WTC Complex, Cuffe Parade, Mumbai – 400 005 and one of
the branch offices at ___________________, hereinafter referred to as "the LICENSEE" (which term
shall include its successors and assigns)of the Other part :

WHEREAS the Licensor is the owner of a flat No.________ on the ______ floor in the building
known as ____________________________________________________________ ,
at ___________________________________________ along with fixtures and fittings (hereinafter
referred to as "the said flat"). The items of fixtures and fittings are listed in the Schedule annexed hereto.

AND WHEREAS the Licensee has approached the Licensor to allow it the use and occupation of the
aforesaid flat for providing residential accommodation to its staff as Licensee on Leave and Licence basis
for a period of _____ years, on the terms and conditions hereinafter mentioned:
AND WHEREAS the Licensor has acceded to the aforesaid request of the Licensee.
NOW IT IS AGREED BY AND BETWEEN THE PARTIES AS FOLLOWS:
1. The Licensor doth hereby grant and the Licensee doth hereby accept the Licence and use and occupy
the said flat together will all fixtures and fittings as set out in the Schedule hereunder, for residential
purposes of its officers for a period of _____ years/months commencing from _______________.
2. As consideration of the Licence hereby granted to use and occupy the said flat, the Licensee doth
hereby agree and covenant that it shall during the continuance of this AGREEMENT or while the
Licensee shall remain in use of occupation of the said flat pay to the Licensor a sum of Rs._____/- per
month and a proportionate amount for any broken period of less than a month as Licence fee or
compensation on or before the ____ day of the month, and if the said day is a holiday on the next
succeeding working day, the first of such payment to be made by the __________________ .
3. The Licensor covenants with the Licensee that the Licensor shall observe and perform the following
covenants and conditions, namely:
a. To pay water charges, all municipal and other rates, taxes and cesses of whatever nature whether
present or future.
b. To ensure that all external and internal repairs (major as well as minor) to the said flat are carried
out during the term of the Licence or any renewal thereof for keeping the said flat in good and
tenantable condition.
c. To ensure that the possession of the Licensee or of the occupants of the flat are not in any way
disturbed provided the covenants on the part of the Licensee to be observed and performed are
duly observed and performed.
d. To keep the flat in good and tenantable condition and to arrange for its external and internal
painting alteast once in two years.
e. To ensure that all water, electricity and gas (if any) connections to the flat are maintained in good
and tenantable condition and that there is no interruption in the supply of water, electricity and gas, if
any.
4.a. The Licensee shall be responsible for and pay the electricity charges and meter hire only in respect of
the said flat.
b. The Licensor shall bear the electricity charges for operating the water pump and for lighting the
entrances, doorways, staircases, passages, lobbies, common places outside the said flat.
c. The Licensor shall ensure that all charges (for electricity and water consumed) in respect of the said
flat prior to the commencement of the Licence hereby granted are paid. If, these charges are not paid the
Licensee is constrained to pay them with a view to either prevent disconnection of supply of electricity or
water or otherwise, the Licensor shall reimburse the Licensee the said charges together with costs, if any,
and in the event of failure on the part of the Licensor to do so, the Licensee shall, without prejudice to its
other rights, be entitled to deduct the same from the licence fee payable in respect of the said flat or any
other sums payable by the Licensee to the Licensor.
5. The Licensee shall use the said flat for the bonafide purpose of residence of the officers (including the
members of their family) of the Licensee.
6. It is hereby understood and agreed between the parties that the Licence hereby granted is personal to
the Licensee and that nothing in these presents shall be construed to confer any legal rights of tenancy
upon the Licensee or any interest of whatsoever nature in the said flat and that the Licensee can enjoy the
use of said flat subject to the terms and conditions of this Agreement.
7. If at any time during the term of these presents or renewal thereof, the Licensor fails to pay and
discharge the rates, taxes and cesses of whatever nature which are payable by him as provided herein or
fail to carryout the necessary repairs for keeping the said flat in a good and tenantable condition as
provided, herein, the Licensee shall be at liberty, but not bound, to pay such rates, taxes and cesses, etc.
and to carry out the necessary repairs at its cost and recover all such amounts paid or expended from and
out of the licence fee or compensation payable to the Licensor. If, as a result of the Licensor's failure to
discharge any of their obligations hereunder, the Licensee is required or compelled to discharge the said
obligations and incur any expenditure in that regard, the Licensor shall pay to the Licensee on demand all
such payments, costs or expenditure incurred by the Licensee and in case of non-payment, the Licensee
shall be entitled to deduct the amount of all payments, costs or expenditure from the Licence fee or
compensation hereby reserved.
8. In the event of any breach of the terms and conditions of this Agreement by the Licensee, the Licensor
shall be entitled to revoke and/ or cancel the License hereby granted by giving one month's notice in
writing and thereupon the Licensee, its officers and members of their families shall remove itself/
themselves from the said flat with all its / their goods and belongings.
9. The Licensee shall be entitled to terminate this Agreement by giving one month's prior notice in
writing to the Licensor by registered post. In that event, the deposit of Rs.________ (Rupees
_________________________________) may be adjusted against rent payable for the month and balance
refunded by the Licensor to the Licensee before such expiry or termination.
10. The Licensor further agrees and undertakes that in case the Licensor decide to sell or transfer in any
other manner, the ownership of the said flat, the Licensor shall give to the Licensee prior intimation in
writing and the Licensor shall comply with and secure compliance by the transferee with the terms and
conditions contained in this Agreement, till the transferee enters into a formal leave and licence
agreement with the Licensee in respect of the said flat on the same terms and conditions as herein
contained. The Licensor further agrees and undertakes that the Licensor shall join as confirming party to
the said leave and licence agreement.
11. The Licensor and the Licensee shall bear their respective costs of preparation of their Agreement.
12. This Agreement shall be executed in duplicate. The Licensor shall retain the original and the
Licensee the duplicate and each party shall bear the stamp duty payable in respect of his / or its copy of
the Agreement.
13. NOTWITHSTANDING anything therein contained, the Licensee shall have the option by giving to
the licensor three month's notice in writing before the expiry of the terms of the licence hereby granted, to
renew the Agreement and the licence hereby granted for a further term not exceeding ____ years on the
same terms and conditions as are herein contained and on the Licensee giving such notice, this Agreement
and the licence hereby granted shall automatically stand renewed for the further term indicated in such
notice.
14. Any communication addressed to the Licensee at its office at ________________________ (Pl. write
the address) shall be sufficient service thereof. Any communication addressed to the Licensee at his last
known place of abode or business shall be sufficient service thereof.
15. For the due performance of the terms and conditions of this Agreement, the Licensee has on or before
the execution of these presents, deposited with the Licensor a sum of Rs.___________/-
(Rupees____________________________________________________________ only) which
deposit may be adjusted against the rent payable or balance refunded by the Licensor before such expiry
or termination.
