SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

I, MR. JUAN DELA CRUZ of legal age, Filipino, single, with residence and postal
address at ___________________________, do hereby appoint ___________________________
of legal age, Filipino, single, with postal address ___________________________ as our
true and legal representative to act for and in our name and stead and to perform the
following acts:

1. To sell, transfer and convey all whatever price and terms and conditions
that she may deem proper and fit, to whosoever may buy or purchase our

2. To receive the proceeds of the sale, either in cash or in check of the afore
described properties and sign for the receipt thereof;

3. To pay any and all unpaid or accrued property taxes including such capital
gains and documentary stamp taxes necessary to effect the registration of
the sale and the transfer of title of the said properties to the buyer or
purchaser of the same;

4. To engage the services of a licensed real estate broker, a lawyer, a tax


professional and such other professional real estate practitioner, if
necessary, to ensure the expeditious and smooth sale of the properties and
to pay their respective fees and/or commissions from out of the proceeds of
sale of the same;

5. To do and perform any and all other lawful act and deeds necessary to
undertake the execution and finalization of sale, transfer or conveyance of
the said properties.
6. To transact and make various follow-ups with with SM Development
Corporation (SMDC), GeoEstate Development Corp, and Picar Development,
Inc., or any of their subsidiaries and affiliates, in order to expedite the
release of Condominium Certificates of Title (CCTs).

7. To receive and acknowledge receipt of the aforementioned CCTs from SM


Development Corporation (SMDC), GeoEstate Development Corp, and Picar
Development, Inc. as well as other documents in connection with the
sale/transfer of the said units

8. To manage and take full control, possession and administration of the above
described unit from the date hereof onwards

9. To process and effect the transfer of CCT to his/her name with the Bureau
of Internal Revenue, Assessor’s Office, Registry of Deeds, the concerned
Local Government Unit and other government agencies; and

10. To sign, execute, deliver any and all documents, papers necessary in order
to carry out the aforementioned powers and authority.

HEREBY GIVING AND GRANTING unto my said Attorney-in-Fact full powers


and every acts and things whatsoever requisite or necessary to be done in and about
the premises, as fully to all intents and purposes as I might or could do if personally
present; and,

HEREBY RATIFYING AND CONFIRMING all that my said Attorney-in-Fact shall


lawfully do or cause to be done by virtue of these presents.
