MEMORANDUM OF UNDERSTANDING

ODELLE W. BARNESCENTER FOR COMMUNITY SERVICES, INC.
And
THE GAMMA BETA OMEGA CHAPTEROF ALPHA KAPPAALPHA SORORIlY, INC.

I. Introduction

The Odelle W. Barnes Center for Community Services, Inc., of Wilson, North Carolina, a 501c(3)
non-profit: corporation and determined to be exempt from federal income tax under Section 501
(a) of the Internal Revenue Code, as an organization described in Section c (3), hereinafter
referred to as the "OdelJe W. Barnes Center for Community Services, Inc.", enters into the
following Memorandum of Understanding (MOU) with the Gamma Beta Omega Chapter of Alpha
Kappa Alpha Sorority, Incorporated.

This agreement updated on this day, January 7,2017, by and between the Odelle W. Barnes
Center for Community Services, Inc. and the Gamma Beta Omega Chapter of Alpha Kappa Alpha
Sorority, Inc. shall establish a contractual management, occupancy and program administration
partnership for program implementation in the provision of a comprehensive human services
program utilizing local, state and federal financial resources.

II. Scope of the Agreement

Under this agreement, the "Odelle W. Barnes Center For Community Services, Inc." and Gamma
Beta Omega Chapter of the Alpha Kappa Alpha Sorority, Inc. agree to engage in cooperative
efforts to enable the "Odelle W. Barnes Center for Community Services, Inc." to utilize and
maintain a public facility for the administration of a comprehensive human services delivery
system to meet a variety of economic,eclucatiqnal and cultural needs. The Odelle W. Barnes
Center for Community Services, Inc., will serve as the primary tenant of any building owned or
operated by Gamma Beta Omega Chapter of Alpha Kappa Alpha Sorority, Inc.

m. Other Provisions

A. Donors, including members of Gamma Beta Omega Chapter of Alpha Kappa Alpha Sorority,
Inc. may deduct contributions to the Odelle W . Barnes Center for Community Services,
Inc., as provided in Section 170 of the U.S. Internal Revenue Code. Bequest, leqades,
devises, transfers or gifts are deductible for federal estate and gift tax purposes provided they
meet the applicable provisions of Sections 2055, 2106 and 2522 of the U.S. Internal Revenue
Code.

B. The Odelle W. Barnes Center for Community Services, Inc. will provide at a minimum
quarterly reports to the Gamma Beta Omega Chapter of Alpha Kappa Alpha Sorority, Inc. on
matters relating to program administration, tenancy and strategiC planning.

IV. Period of Agreement

The period of agreement shall be perpetual if agreed to by both parties.

V. Modification

Each party has the right to modify or amend the provisions set forth in this Memorandum of
Understanding.
