CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract made and entered into by and between;

____________________, Filipino, of legal age, married and with postal address at


________________________________________, hereinafter known and referred to as the LESSOR,

___________________________________hereinafter known and referred to as the LESSEE,
WITNESSETH;
That the ; LESSOR is the registered owner of a ______________________ commercial building,
constructed and located along _______________________________, Tarlac, Philippines . TCT#

That in consideration of the rent which the LESSEE binds himself to pay the LESSOR, as hereinafter
specified and in further consideration of the covenants hereinafter contained and to be performed and
observed by the LESSEE, the LESSOR by these presents hereby LETS and RECEIVES from the former in
good condition one (1) ______ sqm. Commercial unit of the said building.

1. LEASE PERIOD: The lease is for a definite or fixed period of _______ year starting
____________. Renewable for a period of at least (____) year if a new contract is executed one (1)
month before the expiry date hereof on _______________________.

2. RENTAL: The LESSEE shall pay the LESSOR without the necessity of any demand, a monthly
rental of ___________________________PESOS (__________ ) Philippine Currency, inclusive of twelve
percent (12%) Expanded value added tax and a five percent (5%) retention from rental before E-VAT as
witholding tax to be remitted by the LESSEE directly to the Bureau of Internal Revenue (BIR), payable in
advance within the first (5) days of every calendar month. Non-payment of RENTAL for TWO (2)
consecutive months will automatically mean the termination of this Lease Contract and the LESSOR has
the right to possess the said property.

3. ADVANCE RENTAL: The LESSEE shall pay the LESSOR the amount of _________________
(P ________________) Philippine Currency upon signing of this Contract of Lease as two months
advance rental to be applied on the last two months of the lease contract . Pre-termination of the contract
by the LESSEE would automatically forfeit the LESSEE’s advance rental in favor of the LESSOR.

4. DEPOSIT: The LESSEE shall deposit with the LESSOR the amount of
_______________________ ( P _______________ ) Philippine Currency upon the signing of this
Contract of Lease, the same to guarantee the LESSEE’s obligation under this lease, to cover damages to
the leased property and unpaid obligations and liabilities of the LESSEE in accordance with this contract
shall be refunded to the latter after the same have been determined, the LESSEE has agreed that the
deposit made under this paragraph shall not be applied to the rental of the leased property, but for the
obligations and liabilities of the LESSEE stated herein.. Pre-termination of the contract by the LESSEE
would automatically forfeit the LESSEE’s deposit in favor of the LESSOR.

5. IMPROVEMENTS AND REPAIRS: No improvements shall be introduced in the leased property


by the LESSEE without prior written approval of the LESSOR and LESSEE hereby agrees that all
improvements shall be at the expense of the LESSEE and shall upon termination of this contract and its
renewals or their early cancellation become the property of the LESSOR without any right of the
LESSEE for its reimbursement of the cost of such improvements. The LESSEE shall bear the following
expense and repairs; replacement of lighting and toilet fixtures, fuses, lost or broken keys and locks,
installations or removal of equipments including restoration of any damage due to the LESSEE’s
negligence. In making repairs and replacements, the LESSEE shall maintain the quality of the fixtures
of the leased property.

6. USE OF THE LEASED PROPERTY: The use is exclusively for ________________________.

7. ALIENATION: The LESSEE hereby agrees not to dispose, sell, assign, mortgage or encumber its
leasehold rights under this contract without the prior written consent and approval of the LESSOR.
8. COMPLIANCE WITH LAWS, ORDINANCES AND REGULATIONS: The LESSEE hereby
agrees to comply at their exclusive risk, account, liability and responsibility with any and all laws,
ordinances, requirements or order of the national, provincial or municipal government arising from or
regarding the use, occupation and sanitation of the leased property.

9. SANITARY AND SAFETY RULES: The LESSEE further agrees that it shall comply with all
reasonable safety regulations which maybe promulgated from time to time by the LESSOR and shall
dispose the garbage or waste matters at their own expense, account, liability and responsibility.
10. INSPECTION: The LESSOR or its authorized representative shall have the right to inspect the
leased premises during reasonable hours during the life of this contract.

11. UTILITIES: Electricity, water and telephone bills shall be for the account of the LESSEE up to the
date when the LESSEE vacates the leased property in accordance with terms of this contract.

12. THIRD PARTY LIABILITY: The LESSEE during his occupancy of the leased property shall hold
the LESSOR free and harmless from any damage, liability or responsibility to any person or property
arising out of or as consequence of the use of the leased property by the LESSEE, his agents, employees,
domestic help, guests or costumers.

13. MORTGAGE OR SALE OF PROPERTY: The LESSOR reserves the right to mortgage, sell or
otherwise dispose the property provided the rights of the LESSEE's under this contract are respected.
