TERMS AND CONDITIONS

1. DELIVERY AND DEFINITION. The Photographer has delivered to the Client those Images listed on the front of
this form.“Images” are defined to include transparencies, prints, negatives, or digital images in any form in which the images
submitted can be stored, incorporated, represented, projected, or perceived, including forms and processes not presently
in existence but which may come into being in the future.
2. GRANT OF RIGHTS. Upon receipt of full payment, the Photographer shall license to the Client the rights set forth
above for the listed Images.
3. RESERVATION OF RIGHTS. All rights not expressly granted are reserved by the Photographer.Without limiting the
foregoing, no advertising or promotional usage whatsoever may be made of any Images unless such advertising or promo-
tional usage is expressly permitted above.
 4. PAYMENT. Payment is due to the Photographer upon receipt of this Invoice. Overdue payments shall be subject to
interest charges of 2 percent (2%) monthly.
6. COPYRIGHT NOTICE. Client agrees to place a copyright notice in the name of the Photographer adjacent to the
Photograph(s) when reproduced. If such copyright notice, which also serves as authorship credit, is required hereunder
but is omitted, the Client shall pay as liquidated damages triple the usage fee agreed to between the parties in addition to
the stated usage fee on the front of this invoice.
7. ALTERATIONS. No alterations may be made to the image or any derivative by use of computer or any other
means; this would include any changes, deletions, or additions to the image and its content.This prohibition shall include
processes not presently in existence but which may come into being in the future.
8. OWNERSHIP AND RISK OF LOSS. The Photographer shall be the owner of the images, and ownership shall not
transfer at any time from the Photographer unless expressly stated.The Client agrees to assume full responsibility and be
strictly liable as an insurer for loss, theft, or damage to the Images. Delivery of Images from the Client to Photographer
shall only be acceptable by commercial overnight courier which requires proof of receipt or personal delivery.
Reimbursement for loss, theft, or damage to any Photograph(s) shall be in the amount of the value entered for that
Photograph(s) on the front of this form. Both the Client and the Photographer agree that the specified values represent
the fair and reasonable value of the Images. Unless the value for an original Image is specified otherwise on the front of
this form, both parties agree that each original Image has a fair and reasonable value of $2,000 (two thousand dollars).The
Client agrees to reimburse the Photographer for these fair and reasonable values in the event of loss, theft, or damage.
9. RELEASES. Client agrees to indemnify and hold harmless the Photographer against any and all claims, costs, and
expenses, including attorneys’ fees, arising when the uses exceed the uses allowed pursuant to this agreement and an
action is commenced by a third party due to the Client’s misuse.
10. ARBITRATION. All disputes shall be submitted to binding arbitration before _________________ in the follow-
ing location ______________________________ and settled in accordance with the rules of the American Arbitration
Association. Judgment upon the arbitration award may be entered in any court having jurisdiction thereof.
11.ASSIGNMENT. The Client shall not transfer or assign any rights or obligations hereunder without the consent of
the other Photographer. Additionally, the Photographer shall have the right to assign monies due.
12.TOTAL AGREEMENT AND NONWAIVER. This Agreement constitutes the full understanding between the par-
ties hereto. Its terms may only be modified by a written instrument signed by both parties.A waiver of a breach of any of
the provisions of this Agreement shall not be construed as a continuing waiver of other breaches of the same or other
provisions hereof.This Agreement shall be governed by the laws of the State of _______________.
