Procedure of Engagement for PT TSJAFIUDDIN (Indonesia)

OPTION 1 (Using Thailand Receiver Bank Facilities)

1. Loan amount USD$ 100 million to USD$ 400 million, Yearly interest 3 to 6 percent (subject
to Thailand Prime Bank Time Table Meeting TTM), interest servicing only. Minimum loan
tenor is 1 year, maximum up to 3 years. Capital to pay off at end of tenor of 1 year and
any change in repayment subject to TTM in Thailand with Receiver and Thailand Bank.
Management fees applicable
a. Example is, Issue BG USD$100 million from Mandiri Bank or any Indonesia Prime/state
bank. LTV will be 40% to 60%. Depend on receiver facilities in Thailand. Using Siam
Commercial bank or Kasikorn Bank. Taking lower LTV 40% for calculation purpose only
USD$ 40 million is available for loan
b. Cost of Thailand lender will be 10% one time off upon cash disbursement
Payment by Bank Thailand will be in progress base on project submit, if pay up from
Thailand bank to borrower bank is agreed base on USD$40 million for USD$100 million
BG issue. Only USD$ 36 million be disbursement to Borrower Bank (10% of USD$ 40
million is USD$ 4 million). 10% cost Only base on disbursement by Thailand Bank to
Borrower
2. Borrower needs to provide BG. Cost of BG borne by borrower. Cost of BG depends on
borrower relationship with bank.
3. Client that is name PT TSJAFIUDDIN agrees on engagement, sign the NDA (Non Disclosure
Agreement) and AOE (Agreement of Engagement). Submit project details. Prepare
CIS.
4. Client that is name PT TSJAFIUDDIN produce BCL (Bank Confirmation Letter) from the
intended BG issuing bank confirming that client is with the bank and the bank is
able to issue a BG equivalent to the intended loan amount. Submit copy of banker’s
name card too.
5. Once clear above, client submit CIS and LOI. Lender details will be disclosed to
complete this LOI. CIS can be prepared by client’s banker too.
6. Meet up between lender and borrower and their bankers to complete following:
a. Term Sheet
b. MOA (Memorandum of Agreement)
c. SI 103 (standing Instructions)
d. MT 760
e. RWA
Option 2 ( Using Thailand Receiver 20 tonne of Gold as collateral to Thailand Bank )

1. Loan amount USD$ 500 million to USD$ 800 million ( Base on cost of 1 lot of 20tonne
Gold ), Yearly interest 3 to 6 percent (subject to Thailand Prime Bank Time Table Meeting
TTM), interest servicing only. Minimum loan tenor is 1 years, maximum up to 3 years.
Capital to pay off at end of tenor of 1 year and any change in repayment subject to TTM in
Thailand with Receiver and Thailand Bank. Management fees applicable
a. Example is, Issue BG USD$ 500 million from Mandiri Bank or any Indonesia
Prime/state bank. LTV will be 40% to 60%. Depend on receiver facilities in Thailand.

b. Cost of Thailand lender will be 10% one time off upon cash disbursement
Payment by Bank Thailand will be after bank receive Gold after smelt and stamp by
refinery ( Take 45 days ), if pay up from Thailand bank to borrower bank is agreed base
on USD$40 million for USD$100 million BG issue. Only USD$ 36 million be
disbursement to Borrower Bank (10% of USD$ 40 million is USD$ 4 million). 10% cost
Only base on disbursement by Thailand Bank to Borrower
