A. Statement of purpose

Vital medical services (VMS) started out in 2013 with a vision to be recognized as a
leading and independent provider of on-the-site clinical and diagnostic services to the
arrestees of jails and other law enforcement agencies/institutions. Our mission is to preserve
the rights and dignity of our patients, develop and nurture a culture of peace and respect for
everyone, and ensuring compliance with the regulatory requirements through continuous
education and training of our staff.

B. Description of business

Vital Medical Services is known for providing customized services to its patients, delivering
satisfaction, anticipating the needs of state and encouraging best medical and health education
practices. We are the preference for value and time optimization and are committed to our
service through our core values of:

We offer all of the customary pre-medical services provided by a physician together with the
services performed by a hospital’s typical emergency department. Statistics derived from
environmental scan have shown that over ninety percent of reported complaints can be handled
by our medical specialist without the patient having to utilize the hospital’s core services.

Our team of highly qualified, service oriented and experienced personnel is ready to listen to
complaints and respond as quickly as possible. The employees have gone through extensive
licensing and accreditation requirements and are certified by the state’s reputed health care
associations.

Besides, we ensure adherence with the applicable provisions and guidelines of the American
Academy of Emergency Physicians, American Medical Association and the Emergency Nurses
Association with Board Certified Emergency Physician Oversight.

C. Products/Services

Vital medical services will serve as an integrated mobile health care service for the
detainees of state, police and other government entities. Our services covers from visiting the
jail/prison, to collecting blood samples, pre-screening, pregnancy/maternity tests, booking
the appointment and performing all those non-ancillary activities that does not necessarily
involve visit to the hospital’s first-aid room.

Our services are aimed to eliminate process bottleneck (of transporting the patient from in-
custody to public environment), reduces the risk (of exposing the criminals to sensitive public
places) and cutting the overall transportation costs of city police.

i. Geographic area

Vital medical services primarily operate in California. The service is only available in the
areas where VMS have pre-established contracts in place with the government agencies. Since
this is a rare practice in industry, it may have disruptive outcomes within the traditional health
care sector. Our goal, however is to create an environment that will be conducive for law
enforcement, which will be an innovation in the existing industry and create even more
diversification opportunities.

According to the statistics shown above, a total of 171,935 arrests have been reported in
2013 out of the total population of 311,591,890 citizens. This counts on an average 3201 arrests
per day.

Places such as Nevada, Yosemite Valley, Lake Tahoe, Mount Shasta and those consisting
redwood forest have traditionally been susceptible for criminal activities. The ratio of in-custody

ii. Target Market Segments

About 125 million of American populations (42%) have some kind of chronic medical
issue. This category approximately equals 80% of the total health care spending budget and is

Four most commonly reported chronic diseases are hypertension, asthma, diabetes and

for health care --- American Public Health Association.

Vital medical services have a competitive edge in offering on-the-spot medical services as we
have local medical centers from where immediate transfers can be made in case of emergency.

Therefore the main target market segment for VMS will be the citizens within the age
bracket of 19 – 27 years as statistically over 70% of total arrests booked are of the people within
the mentioned age range.

This segment earns an average income of $16,236 according to the census of 2012 with
an average growth of 2.58% every year. With nearly 28% of population in this category, 370,440
(1323000*0.28) potential patients comes in this market.

The second important target segment is the kids aging 1 – 18 years since the ratio of
chronic disease is relatively high in this case. As mentioned earlier, approximately 15 million
children come in this market with an average household income of $15,000 or more.

B. Social Values

(i) Social Media and Healthcare

Undoubtedly social media has fundamentally transformed the traditional health care industry
practices. The platforms allowing open door policy are a source of immense opportunities for the
industry to grow on positive patient perception and build a trusted support community to actively
engage with.

Vital medical services will be viewed as a benchmark to help improve patient sentiments of
an industry which were traditionally been called skepticism and mental disorder. VMS highly
encourages social media cooperation so that negativities and skepticism can be highlighted by
proactively engaging with patients and addressing their concerns/complaints in addition to
prescribing a usual treatment.

The California Penal Code section 4015(c) precludes the cities from being financially
responsible for the medical treatment of arrestees. Provisions of current applicable laws are that
an arrestee cannot be placed under-custody until he/she has been through a pre-booking medical
clearance.

Traditional health care institutions are under no legal obligation to provide such a service. To
obtain medical clearances cities would have to transport all detainees to the County hospitals
which would result in significant downtime for police officers and huge transportation costs.
This will also increase the risk of harm to average citizens as newly arrested are placed in un-
controlled general public set-up.

Vital medical services staff handles all the pre-booking/pre-screening process before the
detainee is sent to the prison. Each time an arrest is reported our medical specialist from the
respective area will visit the site and complete all the preliminary procedures so that the in-
custody person can be transported to the office of sheriff for further inquiries.

i. Hybrid medical entities

Numerous healthcare entities are utilizing social media platforms to build a “namely”
