Note : The terms EXW, CIF, etc. shall be governed by the rules
prescribed in the current edition of INCOTERMS, published by the
international chambers of commerce, 38, Cours Atbert 1er. 75008, Paris, France
CLAUSE NO GENERAL SECTION

DEFINITIONS:

(i) "Act" means The Electricity Act, 2003 (Act No 36 of 2003, Dated 2.6.2003) and shall include any
statutory amendment, modification or reenactment thereof the time being in force.

(ii) "Accepting authority" means the authority which is competent to accept tenders.

(iii) Whenever the term 'Coal Fired' is appearing above, "Coal" shall be deemed to also include
bituminous coal/brown coal/ anthracite coal/lignite.

(iv) "Corporation" means the Punjab State Power Corporation Limited formed and registered
under Companies Act, 1956 (1 or 1956).

(v) “CMD” means Chairman-cum-Managing Director of PSPCL appointed by the Government of


Punjab pursuant to the provisions of the companies act and Article of Association of PSPCL.

(vi) "Competent Authority” means the Board of Directors (BODs) or the Committee of Whole
Time Directors (WTDs) or a committee appointed by PSPCL or an officer authorized by
PSPCL to exercise the powers for acceptance of tenders for execution of work/project/Service
contract as per Corporation's Delegation of Powers in force from time to time.

(vii) “Commissioning” means trial/initial operation of the Facilities or any part thereof by the
Contractor, which operation is to be carried out by the Contractor as provided in
(Commissioning) hereof, for the purpose of carrying out Guarantee Test(s).

(viii) ''Contracting "Agency/Purchasing Agency" means officer of PSPCL who invites tenders
and/or issue purchase orders for the procurement of material, equipment and services.

(ix) “Consultant” shall mean a person or a firm or an undertaking or an institution duly engaged by
PSPCL or its duly authorized officer to give expert advice, specification, design and drawings in
connection with the execution of a work/project. M/s NTPC Ltd., is Consultant for this tender.

(x) “Contract Period” shall mean the period during which the work shall be executed as agreed
between Vendor/Contractor/Fabricator and Contracting Agency in the contract including
extensions, if any, granted by the competent authority

(xi) “Completion” shall be defined to be a state of readiness for use after completion of all items of
work covered under the scope of contract to the satisfaction of Engineer-in-charge.

(xii) "Company Secretary" means Company Secretary as defined under Section 2(24) of companies
Act 2013.

(xiii) "Contracting Agency" means an officer of PSPCL, who invites tenders for execution of works/
services.
CLAUSE NO GENERAL SECTION

(xiv) “Day" means a calendar day of Gregorian Calendar.

(xv) “Date of Contract” means the calendar date on which the Contracting Agency and
Vendor/Contractor/Fabricator have executed/signed the contract. Effective date of contract shall
mean the calendar date on which the Contracting Agency has issued letter of Intent/Award to
the vendor / Contractor/Fabricator.

(xvi) “Date of Completion” Date of Completion means the date or dates for completion of whole or
any part of the work as set out in or ascertained in accordance with the individual work order or
the tender document or any subsequent agreed amendments thereto.

(xvii) “Date of award of Contract” shall mean the date of issue of the work order/ allotment letter or
the letter of intent, whichever is earlier.

(xviii) “Defect Liability Period” means the period of validity of the warranties given by the Contractor
commencing at Completion of the Facilities or a part thereof, during which the Contractor is
responsible for defects with respect to the Facilities (or the relevant part thereof) as provided in
GCC Clause 27 (Defect Liability)hereof.

(xix) “Design Offices” means organizational unit under various Engineer in Chief/G.M./C.E. assigned
with the work of designing and laying down the specifications, invitation and finalization of
tenders.

(xx) "Directors” means Directors of PSPCL duly appointed by Government of Punjab under
pursuant to provisions of Companies Act and Articles of Association.

(xxi) “Drawing” means the drawings, plans and tracing or prints thereof referred to in the
specifications and/or appended with the tender documents, any modification of such drawings
approved in writing by the Engineer-in-charge including drawings issued for actual construction
of the works from time to time by the Engineer-in-charge.

(xxii) “Engineer-in-charge” means the Additional Superintending Engineer/ Senior Executive


Engineer in executive charge of the work and shall include his superior officers i.e.
Superintending Engineer /Deputy Chief Engineer and Chief Engineer/General
Manager/Engineer-in-Chief.

(xxiii) “Effective Date” means the date from which the Time for Completion shall be determined as
stated in Article 3 (Effective Date for Determining Time for Completion) of the Form of Contract
Agreement.

(xxiv) “Emergency/Urgent Works” means any urgent measures, which in the opinion of the
Engineer-in-Charge, become necessary during the progress of the work to obviate any risk of
accident/ failure or which becomes necessary for /safety/security.

(xxv) “Facilities” means the Plant and Equipment to be supplied and installed, as well as all the
Installation Services to be carried out by the Contractor under the Contract.
CLAUSE NO GENERAL SECTION

(xxvi) “Flue Gas Desulphurisation System” or “FGD System” wherever appearing above shall mean-
Dry Sorbent Injection based Flue Gas Desulphurisation System with Sodium Bicarbonate as
reagent.

(xxvii) “Guarantee Period” shall mean the period during which the work or plant or equipment shall
give the same performance as guaranteed by the vendor/Contractor/Fabricator in the Schedule
of guarantee in the contract as per contract agreement.

(xxviii) “Guarantee Test(s)” means the test(s) specified in the Technical Specifications to be carried
out to ascertain whether the Facilities or a specified part thereof is able to attain the Functional
Guarantees specified in the Technical Specifications in accordance with the provisions of GCC
Sub-Clause 25.2 (Guarantee Test) hereof.

(xxix) "Government" means The Government of Punjab or Govt. on India as the case may be.

(xxx) “GST” means Goods and Services Tax under the Central Goods and services Tax Act,
integrated Goods and Services Tax Act, Goods and Services Tax (Compensation to States) At
and various State/Union Territory Goods and services Tax Laws and application cess, if any
under the laws in force (here in after referred to as relevant GST Laws.

(xxxi) "Head Office" means Head-quarters of PSPCL functioning under the overall control of the
Secretary CMD.

(xxxii) “Installation Services” means all those services ancillary to the supply of the Plant and
Equipment for the Facilities, to be provided by the Contractor under the Contract; e.g.,
transportation and provision of marine or other similar insurance, inspection, expediting, Site
preparation works (including the provision and use of Contractor’s Equipment and the supply of
all construction materials required), installation, testing, pre-commissioning, commissioning,
operations & maintenance required for achieving Completion of Facilities, the provision of
operations and maintenance manuals, training of Owner's Personnel etc.

(xxxiii) "Local Authority" means a Municipal Committee or Corporation, or other authority legally
entitled to or entrusted by the Government with the control of management of a Municipal or
Local Body.

(xxxiv)
“Manufacturer” refers to a person or firm who is the producer and furnisher of materials or
designer and fabricator or both under the contract.

(xxxv) “Month” means calendar month of Gregorian Calendar.


CLAUSE NO GENERAL SECTION

(xxxvi) "Minutes" means the proceeding of the meetings in respect of the meeting of the members,
Board or any committee constituted by competent authority.

(xxxvii) “Plant and Equipment” means permanent plant, equipment, machinery, apparatus, articles
and things of all kinds to be provided and incorporated in the Facilities by the Contractor under
the Contract (including the spare parts to be supplied by the Contractor under GCC Sub-
Clause 7.3 hereof), but does not include Contractor’s Equipment.

(xxxviii) "Project Manager" for this project means Dy. Chief Engineer/MM-2, GGSSTP, RUPNAGAR
or any other officer of PSPCL so assigned to perform the duties of Project Manager.

(xxxix) “Operational Acceptance” means the acceptance by the Owner of the Facilities (or any part
of the Facilities where the Contract provides for acceptance of the Facilities in parts), which
certifies the Contractor’s fulfillment of the Contract in respect of Functional Guarantees of
the Facilities (or the relevant part thereof) in accordance with the provisions of GCC Clause 28
(Functional Guarantees) hereof and shall include deemed acceptance in accordance with
GCC Clause 25 (Commissioning and Operational Acceptance)hereof.

(xl) 'Owner' shall mean the Punjab State Power Corporation Limited on whose behalf the tender
enquiry is issued and shall include their successors/assigns/ authorized
officers/representatives.

(xli) „QDSIM‟ (Qualified Dry Sorbent Injection System Manufacturer) means a manufacturer
meeting requirements stipulated at clause 6.1.1.1.

(xlii) 'Quotation' means the rate(s), terms and conditions quoted by a contractor in response to a
specific enquiry for a work and/or supply to be executed on 'work order' basis.

(xliii) "Registered Contractor" means contractors registered with the various offices of the PSPCL.

(xliv) “Sub-Vendor'/Sub-contractor/Sub-Fabricator” shall mean the person named in the


'Contract' undertaking a part of the work or any person to whom a part of the 'Contract' has
been sublet with the written consent of the owner and shall include his heirs, legal
representatives, successors and assigns.

(xlv) “Specification” shall mean collectively all the terms and stipulations contained in those
portions of the contract known as general conditions, the specifications, drawings/sketches
and such amendments, revisions, deletions or additions as may be made in the agreement
and all written agreements made or to be made pertaining to the method and manner of
performing the work or to the quantities and qualities of the material to be furnished under the
contract.
CLAUSE NO GENERAL SECTION

(xlvi) “Site” means the Land and/ or other places, on, under, in or through which the work is to be
executed including any other lands or places which may be allotted for the purpose of the
contract.
(xlvii) “Tender” means rates, terms & conditions quoted by Contractor in response to notice
inviting tender issued by the contracting agencies on prescribed forms and accompanied
with requisite amount of Bid Security/EMD for works to be executed.
(xlviii) “Week” means 7 days without regard to the number of hours worked or not, on any day, in
that week.

(xlix) “Work” means the work described in tender documents work orders and/or drawings &
Specifications accompanying as may be issued from time to time to the contractor by the
Engineer-in- Charge within the powers conferred upon him, including all modified or additional
works and obligations to be carried out either at the site or at any Factory workshop or other
place as required for the performance of the contract.

(l) "Whole-time-Director" means Directors appointed as such by Govt. of Punjab pursuant to


provision of Companies Act and Articles of Association.

(li) „BOD‟s‟ means Board of Directors of PSPCL.

(lii) Proprietary works/material: The Proprietary works/material related to O&M of thermal Plants
means works/material of proprietary nature carried out/ being provided by single service
provider/ manufacturer and supplied by it or its authorized dealer or any other tailor made item
or component to match with the manufacturer’s equipment.
Introduction

The Punjab State Power Corporation Limited (“PSPCL”) is the power generation and distribution
company in the state of Punjab and is fully owned by the Government of Punjab. The entity was
formed in 2010 when the Punjab State Electricity Board (PSEB) was unbundled into two companies –
Punjab State Power Corporation Limited (PSPCL) and Punjab State Transmission Corporation Limited
(PSTCL). PSPCL owns three thermal power plants in the state of Punjab – Guru Nanak Dev Thermal
Plant (Bathinda), Guru Gobind Singh Super Thermal Plant (Rupnagar) and Guru Hargobind
Thermal Plant (Lehra Mohabbat) with installed capacities of 460 MW, 1260 MW and 920 MW
respectively.

GURU GOBIND SINGH SUPER THERMAL PLANT(GGSSTP):

GGSSTP is situated near village Ghanauli on Chandigarh-Manali highway. It is about 12 Km


from Roopnagar and 55 km from Chandigarh. The power plant is one of the coal based power plants of
PSPCL. The plant has an installed capacity of 1260 MW i.e. six units of 210 MW each. The first unit
was commissioned in September, 1984. During March 1985, the second unit was commissioned and in
later years four more units were added.

The plant has its source of water supply from Nangal Hydel Channel canal. The coal used mainly
comes from mines in Bihar. West Bengal, Jharkhand, Chhattisgarh and Madhya Pradesh from more
than 50 sources called collieries. It has 210 MW, 3 cylinder mixed flow tandem coupled, 3000 rpm
BHEL make turbines. It has 247 MVA, 15.75 KV, 9050 A at 0.85 lag, 50 Hz, 3 phase, double star two
pole generators.
