DEED OF ASSIGNMENT AND WAIVER OF RIGHTS

KNOW ALL MEN BY THESE PRESENTS:

That I, CORAZON A. SUMALLO, Filipino, of legal age, widow and with

postal address at Block 56 Lot __, NHA Southville 7 Subd., Site 3, Sto. Tomas,
Calauan, Laguna, Rizal, hereinafter referred to as the ASSIGNOR,

and

The MISSIONARY SERVANTS AND HANDMAIDS OF ST.

FRANCIS OF ASSISI, INC. (MSHF), a religious corporation
(CONGREGATION) duly registered with the Securities and Exchange
Commission (SEC) with office address at Blk 2 Lot 1 Primavera Heights, Skyline
Road, Tungkong Mangga, City of San Jose Del Monte, Bulacan, Philippines 3023,
herein represented by VERY REV. ARCHPRIEST YITZHAK PASCUAL D.
MONSANTO, JR., RPSYY, JD, likewise Filipino, of legal age, with postal
address at Blk 2 Lot 1 Primavera Heights, Skyline Road, Tungkong Mangga, City
of San Jose Del Monte, Bulacan, Philippines 3023, hereinafter called the
ASSIGNEE,

WITNESSETH:

That the ASSIGNOR is the registered owner of a parcel of land, more

particularly described as follows:

“A parcel of land located at the mountainside of NHA Southville

7 Subd., Site 3, Sto. Tomas, Calauan, Laguna, Rizal, containing an area
of Fifteen Thousand (15,000) Square Meters.”

That the ASSIGNOR is a devout member of the MSHF;

That FOR AND IN CONSIDERATION of the ASSIGNOR'S devotion

and affection to the mission and purposes of the MSHF, and as an act of liberality
on her part, the ASSIGNOR hereby voluntarily ASSIGNS, WAIVES HER
RIGHTS OVER THE ABOVE MENTIONED REAL PROPERTY,
TRANSFERS, and CONVEYS by way of assignment and waiver of rights, unto
the ASSIGNEE, her heirs and assigns, the above described property, together
with all the improvements found thereon, free from all liens and encumbrances;

That the ASSIGNOR affirms that this assignment and waiver of rights is
not made with intent to deceive her creditors, and that she has reserved for herself
sufficient funds and property;

That the ASSIGNEE hereby accepts and receives this donation made in her
favor by the ASSIGNOR, and hereby manifests her gratefulness for the latter's
generosity.

IN WITNESS WHEREOF, both the ASSIGNOR and the ASSIGNEE

(represented by THE VERY REV. ARCHPRIEST YITZHAK PASCUAL D.
MONSANTO, JR. RPSY, JD) have hereunder subscribed their names this 18th
day of October 18, 2019 at Calauan, Laguna, Philippines.
