CONTRACT AGREEMENT
 CONTRACT AGREEMENT

This OPERATION AND MAINTENANCE AGREEMENT (hereinafter called the

“Agreement”) is made and entered into on Month, Date, Year by and between

Green Atom Renewable Energy Corporation a company duly organized and

existing under the laws of Republic of the Philippines with its head office at 5th Flr.,
RUBLOU Business Center, Ortigas Extension Brgy. Sto. Domingo, Cainta, Rizal,
Philippines 1900 (hereinafter referred to as “the Employer” especially needed) of the
one part,

and

China Energy Engineering Group International Co, Ltd, a company duly

incorporated under the laws of the People’s Republic of China, whose address is at

Building 1,No.26, Xidawang Road, Chaoyang District, Beijing 100022,

China)(hereinafter called “the Contractor”) of another part.

WHEREAS, the Owner owns a Green Atom Laoac Pangasinan 12 MW

Waste-To-Energy Power Plant(“Project”) and desires to sign contract for operation,
maintenance and management of the Project,

WHEREAS, the Contractor desires and has agreed to provides operation, maintenance

and management services for Projects on the terms and conditions set forth in this
Agreement,

NOW this Agreement is reached as follows:

1. In this Agreement words and expressions shall have the same meanings as are
respectively assigned to them in the Conditions of Contract hereinafter referred to.

2. The following documents after incorporating addenda shall be deemed to form

and be read and construed as part of this Agreement, viz:

(a) The Contract Agreement.

(b) Conditions of Contract

(c) Payment Schedule

(d) Price Schedule

3. In Consideration of the payments to be made by the Owner to the Contractor as

herein specified, the Contractor hereby covenants with the Owner to provide the

operation, maintenance and management services therein in conformity and in all

respects with the provisions of this Agreement.

4. The Owner hereby covenants to pay the Contractor, in consideration of the

operation, maintenance and management services, the Contract Price of USD

45,000,000 (in word Forty-five million USD only) at the times and in the manner
prescribed by the Contract.
5. Communication

Any notice forwarded to the Owner shall be written in full address and sent to:

Any notice forwarded to the Contractor shall be written in full address and sent

Contractor’s name:China Energy Engineering Group International Co, Ltd,

Contractor’s address: Building 1,No.26, Xidawang Road, Chaoyang District,

Beijing , China.

6. Miscellaneous

This Contract is made in two (2) originals with same effect and each Party
holding one original.

IN WITNESS WHEREOF the parties hereto have caused this Agreement to be

executed on the day, month and year first before written in accordance with their
respective laws.
