CRUCIGRAMA

WEBSITE DESIGN PERFORMANCE CONTRACT

Among the undersigned, namely, MARTHA SONIA VEGA, of legal age, resident of the city
of Pereira, identified with citizenship card No. 43,736,588 acting on behalf of the company
GRUPO EMPRESARIAL TACTICA S.A.S. (GRUPO EMPRESARIAL TACTICA S.A.S.),
NIT: 911.422.432-8, who from now on, for the purposes of this contract, will be called THE
SUPPLIER and ELENA VELASQUEZ, of legal age, identified with citizenship card number
XXXXXXXX issued in XXXXXX (XXXXX), acting on behalf of the company
COMERCIALIZADOR EL JEAN.., NIT: XXXXXXXXXXXX, who for the purposes of this
contract will be called THE CLIENT, have agreed to enter into this WEB SITE DESIGN
contract, which will be governed by the following clauses and as not provided in them by
Colombian law.

OBJECT: The purpose of this agreement is to establish the terms that will govern the
service that the SUPPLIER will provide to the CLIENT in its development, consisting, as
previously expressed, in the design, development and assembly of a corporate website,
which will have the characteristics and conditions described in the updated proposal #
GT00857 delivered to the CLIENT dated August 30, 2019.

SECOND CLAUSE. TOOLS: Project development. Tools This project will be developed
using the tools that THE SUPPLIER considers necessary for its execution.

THIRD CLAUSE: THE CLIENT unconditionally warrants that all text elements, graphics,
photos, videos, designs and trademarks delivered to THE SUPPLIER for inclusion in this
project are its property or that THE CLIENT has written permission from their owners to
make use of them, leaving THE SUPPLIER free from any liability or claim by their owners.
In case of requiring images, illustrations, videos, animations, and/or any other graphic
element, this may be supplied using files owned by the SUPPLIER, files of free use under
public licenses, or producing the required pieces, in which case they will be charged as
additional to this contract.

THE SUPPLIER may include the design and development credits at the bottom of the
website with a link to its website. The SUPPLIER shall have the right to keep a copy of this
project to be exhibited as a sample of its services and to be included in its portfolio.
CLAUSE FOURTH TIME AND DELIVERY OF MATERIALS, INFORMATION, FILES: The
CUSTOMER and the SUPPLIER must work together to finish the project on time. THE
SUPPLIER undertakes to deliver the project within a period not exceeding fifteen (15)
calendar days, after the client has delivered all the material, information and files
necessary for its execution. In the event of an extension of the time stipulated for delivery,
this must be agreed in conformity and notified by e-mail to the parties or annexed to this
contract. Otherwise, and bearing in mind that without the information required from the
SUPPLIER, it will be

The project will be considered delivered when the website has been published in a web
server, in a computer provided by THE CLIENT, or when THE CLIENT receives the files
and content in a storage medium.

FIFTH CLAUSE: APPROVAL OF DESIGN AND MODIFICATION OF DESIGN AND


INFORMATION: For the approval of design and appearance of the website, THE
SUPPLIER shall submit 1 initial proposal for CLIENT approval. If THE CLIENT is not
comfortable with the design proposal, THE SUPPLIER will deliver up to two (2) more
proposals, of which THE CLIENT must choose one of them. The approved design will
serve as the basic pattern for the elaboration of all the pages of the website.

During the design and development of the website, THE CUSTOMER may make small
changes in content on each of the pages. These modifications are limited to small changes
in sentences or paragraphs of text, to replace photographs with others of the same format,
update external links to other websites. It does not include replacing all the text in a page,
new pages, changes in the navigation system, changes in the structure of the pages,
modification or change of fields in forms connected to Data Bases, change, update or
correction of the applications, or attempts by third parties to make modifications to the
pages.

SIXTH CLAUSE: VALUE AND FORM OF PAYMENT: The cost of the project is
$1,235,000 (One million two hundred and thirty-five thousand pesos m/c). THE CLIENT
agrees to pay at the time of signing this contract forty percent (40%) of the cost of the
project in the account indicated for that purpose by THE SUPPLIER. Subsequently, in the
middle of the project, THE CLIENT will pay (30%) of the cost of the project and at the time
of delivery of the project, THE CLIENT will pay (30%) of the cost of the remaining project.
SEVENTH CLAUSE: AUTONOMY: Both THE CLIENT and THE SUPPLIER shall enjoy full
technical, managerial, operational, financial and commercial autonomy. The personnel of
workers linked to the fulfillment of this agreement, consequently, will depend on each
contracting party, without configuring any kind of labor relationship with the other party.

EIGHTH CLAUSE: INTELLECTUAL PROPERTY: THE CLIENT shall have the right to use
the software created or used by THE SUPPLIER for the technical operation of the service
object of this Agreement and shall retain the intellectual property rights of the information
placed therein. The intellectual property rights over the software created or used by the
SUPPLIER shall belong to the latter. Disputes arising from intellectual property shall be
resolved in accordance with the regulations of the Commercial Code.

NINTH CLAUSE: EXCLUSIVITY AND CONFIDENTIALITY: The contracting parties


undertake to maintain due confidentiality on all information to which they have access in
the course of this contract, for cause or on the occasion of the same and to respond for
damages caused to the other by the violation of this clause.

THIRD CLAUSE: ASSIGNMENT OF CONTRACT: This contract may not be assigned by


either party without the prior written consent of the other party.

FIRST CLAUSE: LEGAL PROVISION: This contract is considered to be one of the atypical
commercial legislation. Nevertheless, the analogous and related provisions of the Code of
Commerce and rules that add and reform it will be applicable to it.

SEVENTH CLAUSE: CONCILIATION: Any difference or conflict that arises between the
SUPPLIER and the CLIENT on the occasion of execution, compliance, termination and/or
liquidation shall be initially resolved between the parties in a period not exceeding fifteen
(15) calendar days and otherwise may go to a Conciliation Center.

In constancy the xxxxxxx (xxxx) of the month of xxxxxxxx of two thousand sixteen (2019)
is subscribed by the intervening parties.
