DEED OF SALE WITH ASSUMPTION OF MORTGAGE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Sale with Assumption of Mortgage is made and entered into
by and between:

CARMELITAA ELQUIERO MAGAT, of legal age, Filipino Citizen and a

resident of __________________________, hereinafter referred to as the VENDOR;

AND

EDILBERTO ANDAYA CRUZ, JR. of legal age, Filipino Citizen and a

resident of ___________________________, hereinafter referred to as the VENDEE;

WITNESSETH:

That the VENDOR is the lawful owner of a certain motor vehicle which is
more particularly described as follows:

WHEREAS, the VENDOR has offered to sell the said motor vehicle and the
VENDEE has agreed to purchase the same under the terms and conditions herein
below specified;

NOW THEREFORE, for and in consideration of the foregoing premises and of

the terms and conditions contained herein, the PARTIES hereby agree as follows:

1. For and in consideration of ______________________________________

hereby sells, transfers, conveys the said motor vehicle, as well as all the appurtenant rights, title
and interests thereto, unto and in favor of the BUYER.

2. That the SELLER warrants that the above-described motor vehicle is in good
working condition and free from all liens and encumbrances of any kind and nature whatsoever.

3. That the SELLER likewise warrants that the above-described motor is not among the
car napped, wanted or stolen motor vehicle.
