Professional Services Ag reement

This Professional Services Agreement is dated DD/MM/YY (the ‘Effective Date’) by

and between Lakshmi International, Mumbai, India (hereinafter called as
Lakshmi) a company registered under the provisions Of the Companies Act,1956
and [Prospective Client Name] shall also be individually referred to as “Party” and
collectively as “Parties”.

1. Validity & Duration of Agreement

This Agreement shall commence as of DD/MM/YY (Effective Date) and shall remain
in effect until DD/MM/YY, unless terminated pursuant to the provisions in the section
3 (“Termination”) of this Agreement.

2. Termination

This Agreement may be terminated by either Party upon giving thirty (30) days
prior written notice. In addition to other relief, either Party may terminate this
Agreement if the other Party breaches any material provisions of this Agreement
and fails after receipt of notice of default to correct such default promptly or to
commence corrective action.

It is explicitly provided that [Prospective Client Name] shall pay for services
already performed prior to the effective date of such notice. [Prospective Client
Name] shall remain obligated to pay for Services performed up to including the
date of termination, provided Lakshmi continues to perform the scheduled Services
as outlined in this Agreement.

3. Scope of Services

Lakshmi International will perform the following Services:

• Source the talent specified by [Prospective Client Name] through

Lakshmi’s network, online search and headhunting techniques.
• Initial screening/shortlist of the candidates.
• Act as an interface between [Prospective Client Name] and the
candidates.
• Facilitate meetings/interviews for [Prospective Client Name] with the
candidates and if required other events to facilitate further i n t e r a c t i o n
with the candidates.
• Identify specific requirements, constraints and preferences of the candidate
• Keep engaged with the candidate on behalf of client and provides necessary
• Follow-ups with the candidate till the candidate joins.
• Provide necessary reporting requirements to [Prospective Client Name]
with updates on status of candidates in various stages of the recruitment
process.

4. Engagement Fees

Terms and Condition.

Consulting Fee

1. Lakshmi International would charge as below:

Senior Level Positions (Exp: 10 + Years): 16.66%
Middle Level Positions (Exp: 4 to 10 Years):12.5%
Junior Level Positions (Exp: 0 to 4 Years): 10%

2. We enter into an exclusive consulting partnership with clients for each

assignment. It is hence agreed that clients will not appoint another
recruitment firm for the same position during the period we work on the
assignment as it can seriously impact the perception of the job and of the
organization. In the unlikely event that such a need develops, we request
that we be consulted in advance to enable us to evaluate the impact. Lastly
we reserve the right to resign should there is a conflict of interest that cannot
be resolved.

*The guaranteed annual compensation will mean CTC (Cost to the Company)
minus (NOT Including) ESOP, Joining Bonus and any perks like Club Membership
etc.

3. Recruitment for Unskilled and Skilled Labour Category will

be provided from our Subsidiary Meridian Management with labour Liscense
number _________________. All the Documents for legally conducting
interviews will be provided by the client under the name of Meridian
Management.

5. Cost of Advertisement

Lakshmi International will release Co-brand Advertisement in all the Leading

Newspapers and Media with the Consent from the Client . Client will be charged for
Advertisement Response Management provided by Lakshmi International.

6. Payment Terms

Lakshmi International will raise the invoice on the day of joining of the
candidate. Service Tax as applicable will be levied on all the above billings. TDS
applicable as per law is deductible from the said consulting fee and Service tax.

[Prospective Client Name] will make the complete payment of Consulting

Fees within 30 days of the receipt of invoice or from date of joining of the
candidate whichever is earlier.

7. Non-Disclosure

 Lakshmi International shall maintain c o n f i d e n t i a l i t y of all information received
from [Prospective Client Name] including but not limited to employee
requirements, level of skills required and other information as regards to which is
not in the public domain.

8. Others

Expenses such as those for hiring a venue (if required) for conducting written
tests and interviews or any other sources will be borne by the client at cost.

9. Survival

The following sections Section 7. “Non Disclosure” shall survive termination of

This Agreement and wherever relevant the corresponding provisions in the
Schedules to this Agreement (Statement of Work).
