Business Confidentiality Agreement

This agreement between [Company name] and [Contact name] is hereby entered into on this date: [Date
here].

Purpose: [Company name] and [Contact name] will be entering into discussions involving [Company name]'s
development and operation, which require [Company name] to disclose confidential information to [Contact
name] on an ongoing basis. This agreement’s purpose is to ensure confidentiality and to prevent [Contact
name] from disclosing such confidential information.

[Company name] and [Contact name] hereby agree to the following:

A: Throughout this agreement, the term “confidential information” will refer to any information related to
[Company name] that is generally not known to any third parties, and is owned by [Company name].
Confidential information includes, but is not limited to:

1. Product strategies
2. Finances
3. Contract discussions
4. Trade secrets
5. Investing strategies
6. Marketing strategies
7. Business plans
8. Other business affairs of [Company name]

B: [Contact name] understands that any intentional or unintentional disclosure of confidential information may
be detrimental to [Company name] and accordingly agrees:

1. Not to disclose discussions with [Company name] except when required by law
2. Not to use any confidential information in any way other than for authorized purposes
3. To maintain confidentiality at all times unless expressly written permission is received from [Company
name]
4. That upon dissolution, all records related to [Company name] will be returned

C: The terms outlined above shall not apply when specific information:

1. Becomes part of public domain


2. Can be proven to be already owned by [Company name] before signing the agreement
3. [Company name] expressly gives written permission of disclosure
4. Is court-ordered for disclosure

D: Should a court order for disclosure of confidential information be received by [Contact name], [Company
name] must be notified immediately in order to either seek protective orders or waive this agreement according
to the circumstances involved.

E: Both parties understand that confidential information is owned by [Company name] and any disclosure of
such to [Contact name] does not convey any manner of license, title or right to this information and may not
appropriate any portion of it for unauthorized uses.

F: Termination of the relationship between [Company name] and [Contact name] does not relieve [Contact
name] and associates of their obligations outlined in this agreement, including the return of all records.
G: This agreement shall be governed under the jurisdiction of the state of [State name]

Client Confidentiality Agreement
Purpose: To ensure compliance with non-disclosure of potentially sensitive material, and to establish authority
over confidential information.

The disclosing party and receiving party each hereby agree to the following:

1. The disclosing party may intentionally or unintentionally disclose confidential information to the receiving
party.
2. Confidential information may include but is not limited to: financial information, marketing strategies,
investment strategies, trade secrets, growth opportunities, and other business affairs.
3. The receiving party will not disclose confidential information to any unauthorized third parties.
4. All confidential information is and will remain under the ownership of the disclosing party.
5. Disclosure of confidential information to the receiving party in no way conveys any rights or license to the
usage of confidential information in an unauthorized manner.
6. This agreement will remain in effect for 12 months, starting from its signing date.
7. At the end of the duration of this agreement, the receiving party will return all confidential information to the
disclosing party, including, but not limited to, letters, files, copies, discs and documents.
8. The receiving party understands that any unauthorized disclosure, whether intentional or unintentional, of
confidential information may be detrimental to Smith Communications.
9. The receiving party understands that unauthorized disclosure of confidential information may result in legal
action being taken by the disclosing party.
10. The receiving party understands that in the event of premature dissolution of the partnership, all
confidential information must be immediately returned to the disclosing party, including, but not limited to,
letters, files, copies, discs and documents.

The undersigned parties are in agreement in regards to the terms outlined above. This agreement shall be
governed under the jurisdiction of the state of [State name]
