Para las empresas que cotizan en bolsa en los Estados Unidos, la SEC exige que MD&A discuta las
tendencias e identifique eventos e incertidumbres importantes que afectan la liquidez, los recursos
de capital y los resultados de las operaciones de la empresa. MD&A también debe discutir:
The standard auditor’s opinion contains three parts and states that:
1. Whereas the financial statements are prepared by management and are its responsibility,
the auditor has performed an independent review.
2. Generally accepted auditing standards were followed, thus providing reasonable assurance
that the financial statements contain no material errors.
3. The auditor is satisfied that the statements were prepared in accordance with accepted
accounting principles and that the principles chosen and estimates made are reasonable. The
auditor’s report must also contain additional explanation when accounting methods have not
been used consistently between periods.

An unqualified opinion (also known as a clean opinion) indicates that the auditor
believes the statements are free from material omissions and errors. If the statements
make any exceptions to the accounting principles, the auditor may issue a qualified
opinion and explain these exceptions in the audit report. The auditor can issue an adverse
opinion if the statements are not presented fairly or are materially nonconforming with
accounting standards. If the auditor is unable to express an opinion (e.g., in the case of a
scope limitation), a disclaimer of opinion is issued.

estados financieros. Esto no significa que esté en desacuerdo con ellos, significa simplemente que no tiene suficientes
elementos de juicio para formarse ninguno de los tres anteriores tipos de opinión.

B) Opinión con salvedades (o calificada, con reservas o con excepciones)
Este tipo de opinión es aplicable cuando el auditor concluye que existen una o varias circunstancias en relación con las
cuentas anuales tomadas en su conjunto, que pudieran ser significativas. Tratamiento distinto requieren aquellos casos en
los que este tipo de circunstancias, por ser muy significativas, impiden que las cuentas anuales presenten la imagen fiel o no
permitan al auditor formarse una opinión sobre las mismas. A continuación, pasamos a estudiar las distintas circunstancias
que pueden originar una opinión con salvedades.
Limitaciones al alcance
▪ Existe una limitación al alcance cuando el auditor no puede aplicar uno o varios procedimientos de auditoría o éstos no
pueden practicarse en su totalidad; asimismo, los procedimientos no practicados se consideran necesarios para la
obtención de evidencia de auditoría, a fin de satisfacerse de que las cuentas anuales presentan la imagen fiel de la
entidad auditada.
Dentro de las limitaciones al alcance, hemos de diferenciar entre dos tipos:
- Aquellas que provienen de la entidad auditada (limitaciones impuestas).
- Aquellas que vienen causadas por las circunstancias (limitaciones sobrevenidas).
Entre las primeras podemos referirnos, a modo de ejemplo, a la negativa de la entidad a entregarnos determinada
información o a dejarnos practicar determinados procedimientos de auditoría (por ejemplo, el de confirmación de saldos
de clientes).
Entre las segundas podríamos incluir la destrucción accidental de documentación o registros necesarios para la auditoría, o
la imposibilidad de presenciar recuentos físicos de existencias por haber sido nombrados auditores con posterioridad al
cierre del ejercicio.

a) La naturaleza y significación del efecto potencial de los procedimientos omitidos, y
b) la importancia relativa de la cuenta o cuentas afectadas.

EXAM FOCUS
Now we’re getting to the heart of the matter. Since forecasts of future earnings, and therefore estimates of firm
value, depend crucially on understanding a firm’s income statement, everything in this topic review is important.
Some of the items requiring calculation include depreciation, COGS, and inventory under different cost flow
assumptions, as well as basic and diluted EPS. The separation of items into operating and non-operating categories
is important when estimating recurring income as a first step in forecasting future firm earnings. Note that
questions regarding the effect on financial ratios of the choice of accounting method and of accounting estimates
are one common way to test your understanding of the material on those topics presented here.

A coherent financial reporting framework is one that fits together logically. Such a
framework should be transparent, comprehensive, and consistent.
Transparency—Full disclosure and fair presentation reveal the underlying economics of
the company to the financial statement user.
Comprehensiveness—All types of transactions that have financial implications should be
part of the framework, including new types of transactions that emerge.
Consistency—Similar transactions should be accounted for in similar ways across
companies, geographic areas, and time periods.

Barriers to creating a coherent financial reporting framework include issues related to valuation,
standard setting, and measurement.
Valuation—Measurement bases for valuation that require little judgment, such as historical cost,
may be less relevant than a basis like fair value that requires more judgment.
Standard setting—Three approaches to standard setting are a “principles-based” approach that
relies on a broad framework, a “rules-based” approach that gives specific guidance about how to

Measurement—Another trade-off in financial reporting is between properly
valuing the elements at one point in time (as on the balance sheet) and properly
valuing the changes between points in time (as on the income statement). An
“asset/liability” approach, which standard setters have largely used, focuses on
balance sheet valuation. A “revenue/expense” approach would tend to place more
significance on the income statement.

importance of monitoring developments in financial reporting standards.
As financial reporting standards continue to evolve, analysts need to monitor how these
developments will affect the financial statements they use. An analyst should be aware of new
products and innovations in the financial markets that generate new types of transactions. These
might not fall neatly into the existing financial reporting standards.
The analyst can use the financial reporting framework as a guide for evaluating what effect new
products or transactions might have on financial statements.
To keep up to date on the evolving standards, an analyst can monitor professional journals and other
sources, such as the IASB (www.ifrs.org) and FASB (www.fasb.org) websites. CFA Institute produces
position papers on financial reporting issues through the CFA Institute Centre for Financial Market

LOS 22.i: Analyze company disclosures of significant accounting policies.
Companies that prepare financial statements under IFRS or U.S. GAAP must disclose their
accounting policies and estimates in the footnotes. Significant policies and estimates that
require management judgement are also addressed in Management’s Discussion and Analysis
(management commentary). An analyst should use these
disclosures to evaluate what policies are discussed, whether they cover all the relevant data
in the financial statements, which policies required management to make estimates, and
whether the disclosures and estimates have changed since the prior period.
