This agreement entered into between (SAPL WITH LOCATION)

represented by it’s Plant Head, Mr. hereinafter called the


Principal AND. Represented by its Proprietor / Partner Thiru
Son of ……………… hereinafter called the Contractor.

WHEREAS the Principals have an establishment which is engaged in


the Manufacture of automotive components and have no capacity to
employ persons for Crane or mechanised operations for loading,
unloading and movement of material / equipments belonging to
Principal within or outside the premises. And whereas the Principals
have registered themselves with the Factory Inspectorate to employ
such labour on contract.

AND WHEREAS the Contractor hereto was desirous and having


agreed to take up such work of on a rate contract basis given the
requisite materials and implements for such Crane or mechanised
operations for loading, unloading and movement of material /
equipments.

NOW THEREFORE IT IS AGREED AS FOLLOWS:-

1 That the Principals shall allow the Contractor for carrying out the work
of Crane or mechanised operations for loading, unloading and movement of
material / equipments for the agreed period and the Contractor in turn
agrees to carry out the Crane or mechanised operations for loading,
unloading and movement of material / equipments at the Principal's works
and also agrees to carry out the work at such at the rate of Rs. /- Per

2 The Contractor specifically and explicitly agrees to recruit their own


labour on such terms and conditions as he may think fit and proper and
further agrees that they shall be solely responsible for the payment of
wages that is fair and for the supervision and control of the labour so
employed and to the ultimate keeping up of the work schedule.

3 It is agreed to by the Principal shall not be liable or responsible for any


or all claims by or of the workmen employed by the Contractor under the
Factories Act, Industrial Disputes Act, 1947 and other allied labour
legislation which shall be met by Contractor. It is understood and agreed
again that the Contractor shall be solely responsible for payment of wages
and other allowances if any, wages for National and Festival Holidays as
per the Statute and other compensation or payments as required by and in
accordance with Chapter V of the Industrial Disputes Act 1947 and of all
claims under the Payment of Bonus and Payment of Gratuity Act.

4 It is agreed to by the Contractor that he shall invoke the provisions of


the ESI scheme in the event of the area wherein the factory situate being
covered by paying all the necessary contributions therein and in its absence
he the Contractor hereby agrees to have his workmen insured against any
accident that may arise in the course of employment and in any event
agrees to indemnify and save harmless the Principals in the event of their
being called upon to pay any compensation to the workmen employed by
the Contractor in respect of any injury scheduled and required to be paid
under the Workmen's Compensation Act, 1936.

5 It is agreed to by the Contractor that he shall maintain all records


relating to labour legislation for submission to the Inspector of Factories,
ESI and PF Inspectorate as the case may be.

6 It is explicitly agreed that during the tenure of the Agreement in the


event of the Contractor failing to supply labour / crane as required in terms
of this agreement the Principals shall withhold Rs. /- or % of the monthly
bills /rate contract made out by the Contractor as deposit in addition to the
indemnity as agreed to help the Contractor discharge their responsibility
and satisfy the requirement that he may be called upon to perform under
any industrial or labour statutes.

7 That the Contractor shall account for the entrusted materials and
implements issued by the Principals. .

8 The Principals or and shall stand indemnified at all times by the


Contractor in respect of any legal obligation under the Factories Act,
Industrial Disputes Act 1947 and or any other legislation relating to labour
and employment enacted by the State/ Central Govt as are demanded
from and as the case may be and the Contractor shall bear such and all
other expenses so incurred.

9 The Principals having registered themselves as such under the Contract


(Abolition and Regulation) Act, the Contractor also agrees to abide by and
obtain license under the said Act in the event of his employing 20 or more
workmen at any time as also to maintain all registers under the said Act
and submit returns therein as required.

10 The Principal will have privity of contract only with the Contractor and
will give instructions to him and will have nothing to do or concerned with
the conditions of employment of the employees working for Contractors.

11 The Contractor will be free to work anywhere else or to undertake any


contract provided that he will remain responsible to the Principal for the
due and efficient execution of the jobs entrusted to him by or on behalf of
the Principal.

12 In case, the Contractor or his employees are allowed to work at the


premises of the Principal, the Contractor will have no right or lien
whatsoever upon the premises and the Contractor and his employees will
move out of the premises at the instance of the Principal.

13 That this agreement shall be in force for a period of years from with the
liberty to the Principals to continue the agreement or discontinue the same
after the expiry of the said period. It is however agreed that in the event of
the Contractor committing a breach be entitled to terminate the agreement
forthwith.

14 That the termination of this contract on ground aforesaid shall not


entitle the Contractor to claim any amounts excepting the actual amounts
excepting the actual amount due to him on grounds of supply of casual
labour to the Principals, deducting all or any amount due by the Contractor
by way of damages, contribution and other payments in relation to which
they stand indemnified and agreed upon between the Principals and
Contractor.

IN WITNESS WHEREOF the parties herein to have agreed to the


conditions embodied in this agreement and have set their hands
this day of July 2008 signed in the presence of the following:
