Mohd Rafiq Zakaria

MOHD RAFIQ ZAKARIA graduated from International Islamic University of Malaysia (IIUM) in 2007. He started his
career in legal profession first at Mohamed Ridza & Co. as a pupil-in-chambers. He was attached under Corporate &
Islamic Banking division, under the supervision of Encik Nazran Basirun. There, he was greatly exposed to corporate
legal works i.e. due diligence works, assisting his Master in the drafting and preparing various kinds of corporate
agreement such as Joint Venture Agreement, Shareholders Agreement, Master Concession Agreement and many
more.

During his chambering period, Rafiq attended the Dock Brief Programme conducted by KL Bar. He appeared before
Magistrate for mitigation process, interviewed detainees, draft paper works and submission pertaining to various kinds
of provision in the statutes, i.e. Immigration Act, Penal Code and Dangerous Drugs Act.

Rafiq also assisted partner and solicitor-in-charge in drafting various security documents for facilities granted by
KUWAIT FINANCE HOUSE (MALAYSIA) BERHAD collating the documents for drawdown and attending to drafting and
preparing letters of confirmation and advice for drawdown. He also assisted for developer namely MAH SING GROUP
BHD in conducting due diligence enquiries on land and relevant parties, as well as drafting Subscription Agreement and
Musyarakah Joint Venture Agreement for purchase of commercial buildings known as The Icon @ Tun Razak and The
Icon @ Mont Kiara.

Apart from that, Rafiq was also involved in drafting, perusing, reviewing and commenting of the Master Concession
Land Development Agreement (MCLDA) for the Mega Project, Iskandar Development Region “WILAYAH
PEMBANGUNAN ISKANDAR”. He dealt with various type of agreement, which are the MCLDA, Lease Transfer
Agreement, Novation Agreement, Subscription and Shareholders Agreement, Memorandum of Understanding
Agreement and Joint Venture cum Shareholders Agreement. Besides that, he also facilitate the firm in drafting,
perusing, review and comment the transfer of shares and appointment and resignation of directors, which includes the
Sale and Purchase of Shares and Sale and Purchase of Business and Business Assets Agreement for foreign
company, CGG VERITAS (FRANCE).

Although Rafiq was just a pupil, he was entrusted in assisting partner and solicitor-in-charge for Sukuk (Islamic Bond)
projects, which amount to RM1.1 Billion, the first ever large Sukuk in Malaysia involving TM, Menara ABS Sdn Bhd and
CitiBank as principal adviser and financier. Apart from that, Rafiq also assist the firm in the disposal of Ladang Sebauh
and Ladang Semilajau by one of their biggest client, Lembaga Tabung Haji. He was also involved in preparing sale and
purchase agreements and other relevant documents for the property with or without title, direct purchase from
Developer and sub-sale; i.e. Pavilion Apartments Projects.

Rafiq was also involved in several company and corporate matter whereby he helped in perusing the corporate
documents, i.e. Form 9, 24, 44, 49 and Memorandum and Articles of Association of various types of companies. He has
the experience in the application for Foreign Investment Committee's (FIC) approval for acquisition of shares and
acquisition of land by foreign company. Rafiq was responsible in drafting and conducting research for conference on
various legal issues such as Directors Duties and Liabilities to Promote Corporate Governance, Take Over and
Mergers, Drafting and Negotiating in Commercial Contracts and Sukuk and its Legal Structure for various corporate
clients.

After Rafiq was called to the Bar, he joined Messrs. Donald Lai & Associates as a Legal Assistant. He was responsible
in dealing with conveyancing works i.e. sub-sale & refinance case. He is in charge of preparing loan documents
(Islamic and conventional) for various kind of Financial Institution such as BANK ISLAM, BANK SIMPANAN
NASIONAL, RHB BANK, CIMB BANK, CIMB ISLAMIC BANK, STANDARD CHARTERED BANK, OCBC BANK, HONG
LEONG BANK, MAYBANK, ALLIANCE BANK, ALLIANCE ISLAMIC BANK, PUBLIC BANK and EON BANK. He also
deals with various kind of financing work for individual as well as company such as refinance (with or without title) sub-
sale (with or without title). In this firm, Rafiq was taken to various meetings, liaise up which help him to build
communication skills with various kind of clients (overseas and local), end-financiers, bankers, real estate agents and
developers.

Later, Rafiq joined Messrs. Abdul Raman Saad & Associates as Legal Assistant as he would like to learn more about
Intellectual Property and Trademark. He was attached in Biotechnology, Intellectual Property, Trademark and
Telecommunication works. He was involved in dealing with TELEKOM MALAYSIA BERHAD (TM) in drafting, reviewing,
perusing, and negotiating in technology agreement such as IPVPN, Router Maintenance Agreement, Service
Agreement, Teaming Agreement, Subscription Agreement, Supply Agreement, Master Delivery Order Agreement and
many more. He also in charge for conducting trademark search, registration applicants at MyIPO for various kind of
companies such KRU STUDIO, CIMB, Animation production house and many more. Further, Rafiq also deal with
CYBERSECURITY MALAYSIA, an agency under MOSTI which inter alia, conducting research on digital forensic,
cybercrime in Malaysia and many more.

Prior to establishment of his own firm, Rafiq was a Legal Assistant at Ghazi & Lim. He handled mainly conveyancing
works and focus on Developer project, namely PLENITUDE PERMAI SDN BHD and SP SETIA; beginning from
meeting for appointment as panel’s solicitor for Developer, perusing, reviewing and editing Sale and Purchase
Agreement under Schedule G & H of the Housing Development (Control and Licencing) Act 1966 and preparing various
kind of Letter of undertaking, attending launching of the property, attending signing and others. Apart from that he also
deals with various kind of financial institution for the above developer's projects, such as BANK ISLAM, HONG LEONG
BANK, RHB BANK, OCBC BANK, STANDARD CHARTERED BANK, HSBC BANK, BANK KERJASAMA RAKYAT
MALAYSIA BERHAD, CIMB BANK and others. Apart from dealing with sub-sale cases, he is also experience in dealing
with liquidated Developer.

Since he has experience in handling Intellectual property and trademark, he assists the firm in conducting trademark
search for various kind of companies. He also helps in conducting research and registration for resident society, which
is governed under Societies Act 1966.

At Rafiq & Co., he focuses on Conveyancing works, including drafting and perusing Sale and Purchase of Residence
and Commercial building (individual and developer), banking law, land law as well as advising and preparing legal
documentation for Corporate and Commercial works.

Kamaliah Muda
The Partner
KAMALIAH MUDA has extensive experience in handling various conveyancing, retail and corporate banking matters.
Kamaliah pursued her legal studies at International Islamic University Malaysia (IIUM) and graduated from Ahmad
Ibrahim Kulliyah of Laws, International Islamic University Malaysia (IIUM) with Second Class Upper LL.B (Hons) in
June 2002 and was called to the Malaysian Bar in 2003.

She joined Yacob & Rakan-Rakan in August 2003 till October 2004 as a Legal Assistant. At Yacob & Rakan-Rakan, she
has been exposed to conveyancing and banking litigation works. Subsequently, she joined Chung, Huang & Khalid as a
conveyancing lawyer for 4 years. At Chung, Huang & Khalid, she gained vast experience in conveyancing and retail
banking works. She loves challenges and wanted to explore more knowledge besides law. In September 2007, she
furthered her studies at Universiti Kebangsaan Malaysia in Master of Business Administration (MBA) on part time basis.

She joined Azmi & Associates in December 2008 and was attached to the Financial Services & Banking Practice
Group. Even though she was pregnant for her second baby while continuing her part time studies in MBA, she
successfully completed her MBA studies and graduated from Universiti Kebangsaan Malaysia in August 2009 with
Second Class Upper Master of Business Administration. Her last position in Azmi & Associates was a senior associate
before joining Rafiq & Co.

She practiced with Azmi & Associate for 3 years, during that period, she handled numerous corporate banking
transaction in Islamic banking and corporate conveyancing works involving HICOM, INGRESS FABRICATORS SDN
BHD, PUNB, MIDF, BANK MUAMALAT MALAYSIA BERHAD, MAYBANK, AFFIN BANK BERHAD, BANK
PEMBANGUNAN MALAYSIA BERHAD and many more. She is part of the team that advised on the issuance of Sukūk
al-Ijārah and al-Mudārabah for Tranche 3 by Malaysian highway concessionaire Projek Lintasan Shah Alam Sdn. Bhd.,
which garnered the Islamic Finance News Deal of the Year 2008 award for its innovativeness. She was also involved in
the development of common Islamic banking documentation based on the Sharīcah concepts of Tawarruq and she was
also the head of the teams for translation works entrusted by several well-known banks in Malaysia

With skills and expertise in Islamic Banking and corporate matters, Kamaliah will be in charged for corporate matters as
well as Islamic Banking matters at Rafiq & Co.

Nurul Fadzilah Kamaluddin
The Associates
NURUL FADZILAH KAMALUDDIN completed her secondary education from the Institute Al-Quran Kuala Lumpur
(IQKL) in 2006 with excellent in memorizing 30 Juzu’ of the Holy Quran. She pursued her studies in law at the
International Islamic University Malaysia (IIUM) and was awarded with 2nd class bachelor’s degree in 2013. She was
admitted as an Advocate & Solicitor before the learned judge, Datuk Zaleha Binti Yusuf in August 2014.

Prior to joining the firm, Nurul embarked on her legal career at Julita Ilhani & Co. as a pupil-in-chambers for a solid 9
months. There, she was greatly exposed to litigation, conveyancing and the Shari'ah field. Among the tasks that she
was directly involved are maintaining detailed records of litigation files, preparing and attending to legal documents
relating to all conveyancing matters such as the Sales and Purchase Agreement, Memorandum of Transfer, Discharges
of Charges, Receipt & Reassignments from the initial stage until the completion, preparing subpoena & summon to
clients, statement of claim, affidavits and other correspondence.

During her chambering period, she was also involved in a legal aid program conducted by the KL Bar. In that particular
program, she was attached for 14 weeks to an Islamic NGO, which she was exposed in rights of women in Malaysia.
Apart from that, being a practical student at Khaled Awang & Associates for 3 months in 2012 also led her to various
skills in conveyancing & land law.

At Rafiq & Co., with strong background in Islamic teaching, Nurul will hold the task in Syariah department, and she will
assist the Partner in charge in doing conveyancing and litigation works.

Mohd Salleh bin Togimin
The Associates
MOHD SALLEH BIN TOGIMIN pursued his legal studies at International Islamic University Malaysia (IIUM) and
graduated from Ahmad Ibrahim Kulliyah of Laws, International Islamic University Malaysia (IIUM) with LL.B (Hons) in
September 2013 and was admitted as an Advocate and Solicitor of the High Court of Malaya on 5th October 2014.

During his pupilage period, Salleh focuses on various conveyancing and civil litigation cases. He is able to help the
client to deal with contentious problems and regulatory enforcement action across a wide spectrum of subject matters.
He has the ability to ensure that the legal strategies employed directly support to the client’s business goals. He is also
highly conversant in Islamic financing and the various instruments employed as security documents.

Among clients attended by Salleh during his pupilage including; International Islamic University (IIUM Holdings), Public
Bank Berhad, Bank Islam Malaysia Berhad, OCBC Bank Malaysia Berhad CIMB Bank Berhad / CIMB Islamic Bank
Berhad, RHB Bank Berhad, Malaysian Building Society Berhad and Ambank (M) Berhad.

In addition to his work in the legal field, he is actively involved in non-govermental organizations including the
Gabungan Pelajar Melayu Semenanjung (GPMS). Currently, Salleh holds the position of Assistant Secretary General in
GPMS.

At Rafiq & Co., Salleh will hold the position as the solicitor-in-charge for our Johor Bahru branch. His task mainly in
conveyancing matters, as well as Shariah matters and litigation matters.

Norhidayati Jamaludin
The Office Manager
NORHIDAYATI JAMALUDIN, started her career in early 2000 at Messrs. Ten & Colin, Jalan Ampang Kuala Lumpur.
There, she was exposed in preparing various legal documents such as preparing Sale and Purchase Agreement for
Developer's projects, loan documents and assisting lawyers in attending to the signing of the Sale and Purchase
Agreements.

As she has a certificate in secretary and management at RIMA Secretarial College Malaysia, she enhanced her
secretarial skills and knowledge further by joining Imbangan Damai Sdn. Bhd., where her task was mainly in secretary
duties such as arranging appointment for her superior, preparing minutes of meeting, taking appointments and
messages for her superior and other basic secretary duties. After a while, she joins few other legal firms, namely Ajmer
Sandhu & Ong and Chung Huang & Khalid. Her last firm was at Radzlan low & Partners, where she focused on
conveyancing works i.e. sub-sales, developer project works, banking loans and refinancing. She has deal with various
developers for example IJM PROPERTIES, EQUINE CAPITAL BERHAD, I & P. Apart from that, she also deals with
various banks as well such as CITIBANK, AL-RAJHI BANK, BANK ISLAM, RHB BANK, BANK SIMPANAN NASIONAL,
MAYBANK, CIMB and many more. With wide and vast experience in conveyancing matters, she believes that clients
are the most important aspects in a legal firm and she has the high confidence level in taking a good care for the entire
files at Rafiq & Co.

At Rafiq & Co., she is given the opportunity to hold the position of Office Manager. Her responsibility covers the scope
of Human Resource (HR), Employees recruitment, training new staff, as well as managing the firm's account.
