MEMORANDUM OF UNDERTAKING

I, --------------------, S/O Sri -----------------------------------, aged

----------------- years, Resident of -------------(Permanent address to be
mentioned)--------------------, in pursuant of my selection and taking me
as -------------------------------- at ---------------------- Unit, do hereby
execute this Bond/Memorandum of undertaking (herein after referred
to as Bond/ MOU) in favor of --------------------------, having its
Corporate Office at ----------------------------(herein after referred to as
Company) and I hereby by give my full consent and agree the
following:

1. I hereby agree to serve the company as ---------------and salary

of Rs. ---------------- per month offered to me vide Offer
letter/appointment order dated ------------------ for a period of
---------- ( ) years commencing from the date of execution of this
Bond.
2. I shall bind myself to follow the Rules and Regulations
issued from time to time and presently in force as well as the
Standing Orders.
3. I do hereby by agree that during the above said period of
three years, I shall not leave the company for any reason
whatsoever. In the event I leave the company before the
completion of three years from the date of execution of this
MOU, I hereby agree to pay an amount equivalent to the sum of
Six (6) months emoluments, last drawn by me.
4. I do hereby undertake that I will not leave the company, at
any circumstances during the months of 1 st October to 31st May
or during the crushing season, whichever is later. (For seasonal
Industries only)
5. I do hereby undertake to execute a bond for Rs.
------------------- (-----------------------) in favour of the company
stating that I would serve the company for a minimum period of
----------- years
6. During the tenure of my working with the company, I shall
serve the company faithfully, diligently and devote my whole
 time. I further undertake to comply with all the directions and
orders issued to me by the Company or its Officers, from time
to time, without any deviation.
7. I shall not divulge or disclose any affairs of the company,
which come to my notice during the tenure of my working with
the company.
8. During the above period of my service with the company, I
shall not engage myself directly or indirectly with any other firm/
company/ business for any salary or retainer fee or honorarium.
9. I do hereby undertake that the company is at liberty to
terminate my services without assigning any reason, in case I
am in insubordination with, insult or disobedience to any of my
superiors or responsible officers of the company, gross neglect
of work, non-performance of work, damage to the company
equipment/property, misappropriation etc.
10. I do hereby undertake to leave the company unconditionally,
if I found not medically fit to continue in the service of the
company and I shall not be entitled to any compensation.
11. I do hereby agree that after completion of the period of 3 years
of service as per this MOU, I shall not be deemed to continue in
service with the company unless and until the said period is
specifically extended in writing.
