LEASE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This agreement made and entered into by and between A &M GRUENBERG REALTY INC., a corporation
duly registered in the Philippines with postal address at 318 P. Gomez Street, Quiapo, Manila, hereafter
designated as the LESSOR, and Meranjie S. Aldeguer, of legal age, Filipino, and with postal address 16
Lt. Linum St. Del Nacia Ville 4 Brgy. Sauyo, Novaliches, Quezon City hereafter designated as the LESSEE.

WITNESSETH:

1. That the LESSOR subleased to the LESSEE And the LESSEE hereby accept from the LESSOR, stall
located at 709 R. Hidalgo St., Quiapo, Manila that the LESSEE CONTRACT, shall be for one (1) year,
commencing on June 1, 2018, and terminating on June 30, 2019.
2. That the LESSEE agrees to pay the LESSOR a monthly rental fee of Four Thousand Pesos (P4, 000.00)
net of withholding tax plus value added tax, and shall be paid on or before the 15th day of each month
extendable up to two (2) calendar days only. After such extension, the LESSOR shall automatically
cancel and terminate the said contract without notice to the LESSEE and to declare the same of no force
and effect.
3. That the charges of water consumption, electric bills, telephone services, advertisements, salaries
and wages of their own regular employees and laborers, taxes and all necessary permits of the business
shall be for the account of the LESSEE.
4. That the LESSEE agrees to comply with any law and ordinances, regulation or orders promulgated
by the proper government authorities from a regarding the use, occupation and sanitation of the said
premises and non-compliance thereto, shall be at the exclusive risk and expense of the LESSEE and the
LESSOR shall be free from any liability arising therefrom.
5. That the LESSEE will not store contraband products within the premises such as but not limited to
illegal drugs and pirated media (DVD’s, VCD’s etc).
6. That the LESSEE shall not introduce any temporary or permanent improvements in the said stall
subject of this sublease contract without the prior approval of the authority of the LESSOR in writing
such as but not limited to electrical and structural
7. That the LESSEE shall not transfer or sublease the premises or any part thereof without the consent
of the LESSOR.
8. That the LESSOR may enter the rented stall at any reasonable time of the day to inspect the state
or condition of the said rented stalls.
9. That the LESSEE agrees to furnish the LESSOR of the paid monthly bills for the water and
electricity consumed to ensure that the said bills were duly paid, plus the Certificate of Creditable Tax
Withheld at Source (Form 2307).
10. That in any case of any concerted acts of that may cause any injury or damage to the person or
any fortuitous event that may arise beyond the control of man like earthquakes, fire totally affecting
the premises, it is understood by the LESSEE, that the LESSOR is free and harmless from any liability
whatsoever and the said LEASE CONTRACT shall be suspended and or terminated the option of either
party.
11. The LESSEE will shoulder all minor repair and to provide fire extinguishers for each stalls and to
maintain the premises in good condition.
12. That the LESSEE agrees not to remove any permanent fixture or any additional improvements at
the said rented stalls upon termination of the LEASE CONTRACT.
13. That in the case the LESSEE withdraws before the expiry date of the said LEASE CONTRACT said
deposit shall be forfeited to the LESSOR without any court proceedings
14. That upon the expiration of the contract, the LESSEE shall voluntarily vacate the premises
peacefully without any prejudice to the LESSOR,
15. That in case there is any violation regarding the foregoing terms and conditions of the LEASE
CONTRACT by the LESSEE, the LESSOR has the right to terminate the said LEASE CONTRACT and to
forfeit any deposit put up by the LESSEE to answer for the damage suffered thereby.
16. In case the LESSEE is no longer interested to renew the LEASE CONTRACT, the LESSEE shall notify
the LESSOR three (3) months before the expiration date of the said LEASE CONTRACT.

IN WITNESS WHEREOF, the parties have hereunto set their hands at the City of Manila, Philippines this
